(Nasdaq: CODX) ("Co-Dx", or the "Company"), a molecular diagnostics company with a unique, patented platform for the development of molecular diagnostic tests, today announced that it has entered into a securities purchase agreement with certain institutional investors to sell an aggregate of 1,647,447 shares of common stock (or pre-funded warrants in-lieu thereof), together with warrants to purchase up to an aggregate 3,294,894 shares of common stock, in a private placement priced at-the-market under Nasdaq rules (the "Offering"). The combined effective offering price for each share of common stock (or pre-funded warrant in-lieu thereof) and accompanying warrants to be issued is $1.821. The warrants will have an exercise price of $1.571 per share, will be exercisable immediately upon issuance, and will expire five years from the date of issuance. On January 7, 2026, Co-Diagnostics, Inc. (the “Company”) received written notice (the “Notice”) from the Listing Qualifications Department (the “Staff”) of The Nasdaq Stock Market LLC (“Nasdaq”) informing the Company that the Staff had determined to delist the Company’s common stock from The Nasdaq Capital Market due to the Company’s continued non-compliance with the minimum bid price requirement set forth in Nasdaq Listing Rule 5550(a)(2) (the “Rule”). The Company plans to timely request a hearing before the Nasdaq Hearings Panel to address the bid price deficiency; however, the Company’s securities will be suspended from trading on The Nasdaq Capital Market effective at the open of trading on January 14, 2026, in accordance with Nasdaq Listing Rule 5815(a)(1)(B)(ii)(d), notwithstanding the hearing request. There can be no assurance, however, that the Company will regain compliance or that any such determination would affect the timing or implementation of the trading suspension described in the Notice.

By way of background, and as previously disclosed, on January 10, 2025, the Company was notified by Nasdaq that it did not satisfy the Rule because the bid price of the Company’s common stock had closed below $1.00 per share for 30 consecutive business days. The Company was provided with an initial 180-calendar-day compliance period, which expired on July 9, 2025, and was granted a second 180-calendar-day compliance period, which expired on January 5, 2026. Because the Company’s shares of common stock did not trade above $1.00 per share for 10 consecutive trading shares prior to January 5, 2026, the Company did not evidence compliance with the Rule, which in turn resulted in the Staff’s issuance of the Notice.
