Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 2, 2024, J. Michael McGuire, a member of the Board of Directors (the “Board”) of Akoustis Technologies, Inc. (the “Company”), informed the Company that he was resigning from the Board, effective immediately. Mr. McGuire’s decision to resign from the Board does not involve any disagreement on any matter relating to the Company’s operations, policies or practices.
