In accordance with section 198 of the Companies Act 1985 (as amended), Property
Fund Management plc ("the Company") has been notified on 23 March 2004 by
Fleming Mercantile Investment Trust Plc ("FMIT") that FMIT acquired 449,000
ordinary shares of 5p each in the share capital of the Company. Following this
acquisition FMIT has a material interest in 950,000 ordinary shares representing
approximately 4.29 per cent. of the Company's issued share capital.
