(b) admission of 64,384,000 new ordinary shares of 1p each in the capital of 
D1 Oils plc to trading on the AIM market occurring on or before 8.00 a.m. on 
12 May 2008 (or such later time and date as D1 Oils plc and Dresdner Kleinwort 
Securities Limited may agree being no later than 27 May 2008)
