Item 7.01 Regulation FD Disclosure.

On May 15, 2017, Towerstream Corporation (the “Company”) issued a press release (the “Press Release”) announcing financial results for the quarter ended March 31, 2017. A copy of the press release is attached to this report as Exhibit 99.1 and is being furnished pursuant to Items 2.02 and 7.01 and shall not be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, as amended (the “Securities Act”) or the Exchange Act, except as shall be expressly set forth by specific reference in such filing.
