Those restricted hold control. If those are being transferred before big news, it's a weird way to do it. You can just sell your block of restricted for a set amount and have the T/A transfer ownership.
Negotiate what ever price ya want. Screw the Bid/Ask. Synergy does that all the time.

I actually read a few of the disclosure statements.
Looks to be heading to the R/M shelf.
Tequila didn't pan out. Share holders hold the debt. CEO and an insider hold a small amount of toxic debt.
Nothing a guy like Synergy can't negotiate into a new story.
With a float this small you have to buy on the Ask. And your not going to get many. We might be seeing a change of control with this action.

Say throw $10 bucks at a .60 stock to paint it up. The trade never shows. The buy never gets published. I get my shares but for all anyone on L2 knows it didn't happen. But these are.
I'm wondering if small size trades hide the volume from regulators SEC or IRS.

I can't see why any split, forward or reverse, would cause weirdo trades like we've been seeing.

Yes, a split causes all shares to be accounted for, but a MM with a block of vapor shares would cover in bigger blocks.
Something is definitely going on behind the scenes.

They can be very nice and helpful. Its causing a lot of work for them too. They don't want to keep track of 4 share trades. Definitely not 600 per day.

I remember a few years back everyone one was jumping into tequila. It was the flavor of the month on the OTC. And we know the types attracted to the flavor of the month sectors.

I've seen this before in QASP. A massive transfer of Shares. But that volume was in the 10's of million on one day. Big blocks going off like mad. 3or5 a second.

These 1-3 share trades makes no sense.
Maybe this is heading to be one the next shell up for sale?

These trades are not retail. No one is paying commission on these. No retail broker would allow this.
It's not insiders either. It has to be MM to MM. not to say some toxic funding guy doesn't own two MM businesses.

On September 17, 2018, Sears Oil and Gas Corporation, a Nevada corporation (the "Company") filed a Form 8-K to disclose that on September 13, 2018, it had entered into an Asset Purchase Agreement (" Agreement ) with Human Brands International, Inc., a Nevada corporation (" HB I"). Pursuant to the Agreement, the Company agreed to acquire from HBI certain assets of HBI (the “ Assets ” ) in exchange for 3,5000,000 shares of common stock of the Company and $50,000 in cash (the " Acquisition "). The acquisition transaction was completed on September 28, 2018 and the shares were issued and delivered and the cash portion of the purchase price was paid on that date. The Assets acquired are certain “ Tequila Alebrijes Products and Property Rights ”


We believe that as a result of the acquisition of the Assets in the Asset Purchase transaction, we are no longer a shell corporation. The Company intends to file a “ Super Form 8-K ” in the near future
