The part I don't understand (besides how he got away with this) is, he sold 813,336 shares and his gross proceeds were $353,632.

$353,662 divided by 813,336 shares is an average of $0.435 which is below the lowest part of the range of $.45 and a $1.00. What kind of expenses did he have that his gross proceeds are below the lowest sales price?

Meanwhile the company is selling shares at a discount from the Strata and we are at a nickel.

This A-hole sells 813k personal shares between .45 and 1.00, then loans that money back to the company.

During the year ended December 31, 2025, Mr. Wood sold 813,336 shares of common stock of the Company at prices ranging from $0.45 to $1.00 and received gross proceeds of $353,632. Mr. Wood reinvested a significant portion of these stock sale proceeds into the Company as a shareholder advance to support the Company’s net working capital requirements.

Additionally, shareholders are paying his mortgage and his personal company bills (not SPTY).

In lieu of a cash base salary for the CEO, we cover his personal living expenses and other expenses incurred by other entities controlled by Mr. Wood. These amounts are not going to be repaid and thus were treated as compensation.

Man, I wish I could short SPTY.

That is why they need the equity dilution financing by selling shares to the bid through third party. This might even trade below $0.01. Cash burning machine. Jason claims they won't utilize STRATA agreement every month. YEA RIGHT.
