Annual Report out. SLDX cancelled its licensing agreement effective12/31/2025. I believe it was with BZWR, but I don’t think they ever disclosed that. A few coincidences makes me suspect BZWR was a party to the agreement. (See the BZWR board on iHub.)

The annual Statement of Operations from Stella Diagnostics (SLDX) should show License Agreement revenue from Business Warrior (BZWR) once again. This report could hit sometime in late March. Last year it appeared on March 26.

The next Statement of Operations from Stella Diagnostics should show License Agreement revenue from Business Warrior (BZWR) once again. This report could hit sometime in mid-November, I suppose. growth in this revenue should be a good thing for Stella, and it may also keep BZWR in an environment where it can remain operational while attempting to grow its services. All of this is speculation, mainly because neither party has publicly acknowledged dealing with each other, to my knowledge. SLDX & BZWR have both disclosed a License Agreement, but not saying with whom so far.

BZWR activity in SLDX is now visible in the SLDX first quarter report, through March 31.

The SLDX First Quarter Report includes a Statement of Operations that shows License agreement revenue for the first time. Here are the first few lines:

I presume the portion down to "Gross Loss" is the BZWR activity only since there are no previous year values. I also presume that since revenue started sometime after January 1, this is not a whole quarter of BZWR activity.

12. SUBSEQUENT EVENTS
The Company’s management has evaluated subsequent events occurring after December 31, 2024, the date of our most recent balance sheet, through the date our financial statements were issued. Based on this evaluation, management determined that there were no subsequent events requiring disclosure as of the filing date of these unaudited condensed consolidated financial statements.

On February 14, 2025, the Company entered into a license and royalty agreement. Under this agreement, the Company was granted an exclusive license to market, sell, and distribute licensed products. The agreement has an initial term of one year and will automatically renew for an additional two-year term unless either party provides written notice of cancellation. Upon execution of the agreement, the Company paid an initial fee of $200,000 and agreed to pay royalties equal to 30% of the net margin derived from the licensed products. Additionally, the Company assumed responsibility for employee-related expenses and technology costs associated with the license.

Item 1.01 Entry into a Material Definitive Agreement.
On February 14, 2025, Business Warrior Corporation (“Business Warrior” or the “Company”) entered into an Exclusive License Agreement (the “Agreement”) with an Exclusive Licensee. (the “Licensee”), pursuant to which Business Warrior granted the Licensee the exclusive right to market, sell, and distribute the Company’s proprietary financial technology platform, PayPlan, along with associated marketing services and legacy software, within the United States.

Under the terms of the Agreement, the Licensee will assume Business Warrior’s current customers and pay Business Warrior a license fee equal to Business Warriors employee and technology costs plus 30% of the Licensee’s Net Margin derived from the Licensed Products each month. Business Warrior also received an initial fee of $200,000. The Agreement is for an initial term of twelve (12) months, with automatic renewal for up to two additional twelve-month terms unless either party provides at least sixty (60) days' notice of termination. Additionally, the Licensee has a right of first refusal for licensing opportunities outside of the United States.

This agreement will allow the Company to focus on growing revenues by scaling its PayPlan product, getting current with its financial reporting with the SEC, and achieving compliance with SEC Rule 15c2-11 to facilitate the resumption of public quotations of its securities.

Business Warrior retains ownership of all intellectual property associated with PayPlan and related products. The Agreement allows the Licensee to sublicense the Licensed Products on a Software-as-a-Service (SaaS) basis. Furthermore, the Agreement includes provisions regarding confidentiality, compliance, financial reporting, and a buyback option whereby Business Warrior may repurchase the license after six months under specified conditions.

Ownership & Licensing Rights
a. Retention of Ownership – BZWR retains full ownership of all proprietary rights, including source code, trademarks, patents, and business processes associated with the PayPlan Software.
b. Scope of License – The Licensee (SLDX) only receives the right to use, market, and generate revenue from the software within the licensed term and territory but does not receive any ownership rights
c. No Sublicensing Without Approval – The Licensee may not sublicense, resell, or modify the PayPlan Software without prior written consent from BZWR

It is entirely possible that the observation was of two earthquakes? The four pieces of roll represented 4 days - Monday, Tuesday, Wednesday, Thursday - to get to the earthquake with the hot oil = offshore lava epicenter in California. But, the pan and the gridwork of square workstations still points to the Tarim Basin in Xinjiang. The question is the date? Is the lynch pin that allows two earthquakes to share one observation a Thursday, December 12 2024, superimposed upon another Thursday, December 5 2024? Time will tell and then I will know too.

I wish I had retained more of this observation. On Monday, December 02 2024, I had the dream (observation of a created event) of walking into what could have been a cooking institution classroom, like I've seen in China. There were multiple cooking stations, all very neat and clean, and empty, except for one on which there was a cream colored skillet with a flat bottom and low straight sides with oil frying and getting hot. I saw what looked like a spring roll, sort of, that was then divided into four pieces cooking in the oil. Then, the oil got overheated and burst into flames.

I think the spring roll represents a unit of time divided in four, a month divided into four weeks? The pan on the heat represents an earthquake. The oil is hot lava. Normally, hot oil points to offshore lava activity. The extreme heat represents a very powerful earthquake. And I think the cream colored pan with the flat bottom and low sides represents a geological feature in Bayingolin Mongol Autonomous Prefecture, Xinjiang Province. The earthquake in Xinjiang is on December 30 2024.

So this ticker had 9 billion (or 12b. Simon Kogan's letterhead reads "c/o Clove Lakes Healthcare and Rehabilitation Center, Inc" where he was recovering from a stroke so I assume the 12b is a mistake).

POINT BEING... new management pulled a 1-for-50,000 R/S BUT only reduced the A/S from 9 billion to 1 billion. IF they had reduced the A/S by the same amount it would have been a mere 180,000 shares.

So all things being equal, the 1 billion A/S (cough cough) "reduction" was actually equivalent to a gigantic increase in the number of shares... +555,455% if my math is correct. And that O/S of 7,259,674,499 which was reduced to by the R/S to 145,193 has since exploded to >>96,365,470<< ...equivalent to a pre-R/S increase of >> +66,271%
