By transferring 6.9 million Preferred Shares and 6.9 million warrants from NMC to Abstract Concepts 1618, LLC, the company can technically claim to investors that "NMC no longer holds dominant equity control." In reality, the equity was simply handed over to Lloyd B. Hendricks III, who is a paid, active consultant for MineralRite and a long-time associate of CEO James Burgauer. The paper changed hands, but it never left the inner circle.And zero money changed hands.

Legally, they only have the right to dig up low-value industrial sand, gravel, and common stone. They do not possess the legal permits or rights to mine or commercialize gold at that site.

I've been meaning to post something similar to what you just posted; the State Land lease is for Common Variety Mineral Materials (i.e. sand and gravel), not for gold, platinum (idiotic), or REE (even dumber). The State of Arizona knows there is NO value to those gravels except maybe as parking lot gravel, or road material (if they could find a buyer).

As you know, it is a classic desert dirt scam.

Under their current Arizona State Land Department (ASLD) lease structure.Legally, they are trapped by the exact paperwork they signed, creating an insurmountable barrier to any actual gold mining operations:

1. The Legal Definiton of a "Common Variety" Lease. The lease MineralRite secured from the Arizona State Land Department is explicitly designated for "Common Variety Mineral Materials." Under state and federal law, common variety materials are strictly restricted to low-value industrial aggregates:Sand and grave,lCommon clay, Cinders and slag. Crushed rock or stone, Precious metals like gold, silver, and copper are legally classified as "Locatable Minerals" or "Hardrock Minerals." An aggregate or common variety lease does not grant the right to extract, process, or sell locatable precious metals. If they commercialize gold extraction on a lease permitted exclusively for sand and gravel, they are subject to immediate lease cancellation, property seizure, and state prosecution for theft of public trust resources.

2. Tailings Are "Chattel," Not a Permitted Gold ReserveMineralRite's defense in their SEC disclosures is that the Skull Valley material consists of historical mine tailings (waste piles) left over from legacy operations. They argue that because these tailings sit on the surface, they own them as personal property ("chattel") rather than underlying underground mineral rights.However, this is a massive legal loophole that does not permit commercial gold mining:The Permitting Roadblock: To set up an industrial processing plant to leach, chemically separate, or mill those tailings for gold, they must obtain active environmental, hazardous material, and metallurgical processing permits from the Arizona Department of Environmental Quality (ADEQ).
The Land State Block: The Arizona State Land Department will not approve an industrial metallurgical operating plan for a property that is legally bound to a basic gravel-digging contract.

3. The SEC Admissions Prove It In their actual Form 8-K filings, MineralRite’s legal counsel had to explicitly insert boilerplate risk disclosures admitting that they do not possess a permitted gold mine. They warn that there is an "absence of any established mineral resources or reserves under SEC Regulation S-K Subpart 1300," and that "no economically recoverable minerals exist at the Skull Valley project."

The Bottom Line . MineralRite has the legal right to dig up dirt, sand, and old rock waste on those 377 acres. They do not have the legal right to operate a commercial gold mining or recovery facility there. Any marketing or promotional material telling retail investors that this lease secures a multi-million-dollar gold production future is a direct, actionable misrepresentation.
