I can almost recite it all but as you say it has been too many years!
I still have the book of poems by Robert Service and was lucky to
visit the original bar where the events took place where he witnessed

came on the stage, played old rag piano and sang like a song bird. Ten years
later I accompanied my dance instructor who was a member of the Screen Actors
Guild and had bit parts on the "Dallas" TV series. Low and behold I met most of
the actors and was fortunate to dine with them on a few occasions. There I met
Larry Hagman "JR" who was extremely polite and super friendly. Then did I learn
his mother was none other than Mary Martin!! I then got a few spots as a second
in some scenes most when some dancing took place. Well, such memories are
to be cherished! PS, Victoria Principle was a real bitch on and off the set. No one
not even the other actors socialized with her between takes. She was blessed with
a helluva bod, but that's about all she had positive going for her that I ever witnessed.

Moving to a private, Singapore-centric corporate structure ensures we remain in full compliance with these measures while eliminating the substantial annual legal, audit, and administrative costs associated with maintaining a US public quotation. These saved resources will be redirected immediately into our core technology development.

2. The Singapore Merger: A New Chapter

This delisting is a prerequisite for our upcoming merger with a Singapore-based technology group. This merger is not just a structural change; it is a strategic leap. By combining our expertise, we are creating a powerhouse in the Industrial Service/AI sector.

Dear Shareholders,

The Board of Directors (the "Board") of Icon Media Holdings, Inc (the "Company") hereby announces its intention to voluntarily delist its common stock from the OTC Pink Sheets and initiate a formal privatization of its operating entities.

1. Rationale: Compliance with China’s New Regulatory Framework
Following a comprehensive review of the Trial Administrative Measures of Overseas Securities Offering and Listing by Domestic Companies issued by the China Securities Regulatory Commission (CSRC), the Board has concluded that maintaining our current U.S. listing structure poses significant regulatory risks.

Approval Constraints: The current "Pink Sheet" status do not meet the stringent filing and security review requirements mandated by the CSRC for continued or future main-board listings (e.g., Nasdaq).

Regulatory Impossibility: Without formal CSRC approval, the Company is legally restricted from seeking the investment required to move to a Tier-1 exchange, rendering the current public status unsustainable.

2. Strategic Pivot: Privatization and M&A with Singapore Tech Partner
To unlock shareholder value that is currently trapped by these regulatory barriers, the Board has approved a plan to privatize our operating entities.

M&A Agreement: The Company has entered into preliminary negotiations for a merger with a leading technology firm based in Singapore.

Future Listing Path: This restructuring is a prerequisite for a combined entity listing on a major exchange (e.g., Nasdaq or other equivalent) at a later date, structured in a manner that complies fully with both Singaporean corporate law and China’s cross-border listing regulations.

3. Implications for Shareholders

Cessation of Quotes: Upon delisting, public quotes for the Company's shares will cease, and the stock may move to the Expert Market or Grey Market with limited liquidity.

Shareholding Rights: Current shareholders will retain their beneficial ownership in the private entity. Details regarding the share exchange or "exit offer" for the upcoming M&A will be provided in a follow-up circular.

4. Board Recommendation
The Board believes this path is the only viable method to safeguard the Company’s operational future and provide a realistic exit for investors through a future compliant listing.

Economic & voting control are firmly with the preferred holders, especially Kuora Inc, Eastwin Capital, Nunissait Tjandra, etc.

No change in control during the period is checked “No”, but the real control is in the Series A that was shuffled around in 2022–2023 and then partially converted.

This group has destroyed every ticker they own. They bleed it dry of everything it has and then move on. Hmm 🤔 Where is the audit?  Still ongoing? Sure it is, con man.  
They paid themselves hundred of millions for a company that barely makes a dime.  The CEO , whatever his real name is , has dumped a billion shares after converting. What a joke of a ticker and men. Never trust these people.

Balance sheet improving. The company IMO is ripe for solid growth with a half dozen 5% owners.
Looks like they are gearing up to make some big moves.
