( 3)	The Series C Convertible Preferred Stock have an indefinite date for conversion but are redeemable by the Issuer at any time.
( 4)	Each share of the Series C Convertible Preferred Stock converts into a number of shares of common stock that is equal to each share being divided by the average of the 3 lowest intra-day bid prices in the 20 days prior to conversion or $0.10 or 125 shares of common stock per Series C share, whichever is greater.
