Today they updated their filings with the notice they will now roll back the stock on a one for 500 basis --- Here we go again with another terrible maurizio takeover!!!!!!!!!!!!!!!!

the company posted its financial updates on the otc board to july 31, 2020-- A nothing except falsehoods about properties the company never owned and does not as of today.--WHEN will the truth be told??

Maurizio issues himself 350,000,000 shares and goodin issues himself 20 million shares to take total control of the company in exchange for 4 mineral claims of 100 hectares each, or 400 total hectares for a property that is not contiguous and has no engineering report. They value this purchase at 2.5 million dollars. They have no cash in the kitty and do not indicate they have any way of raising any nor do they say they will do any work on the property. This change of control and the purchases completed with no shareholders meeting or approval. This give goodin and maurizio total control of another company to do nothing with like mdmn, cdch and auryn and the original auryn chile which we were told was to be his first public company. It is now 4 years since goodin and maurizio took control of the entire alto claims and absolutely nothing has been done!!!!

Great to see the current filings and the removal of the stop sign on pinks. Now maurizio has taken complete control of amnp by issuing himself 350,000,000 shares.--Is amnp now scheduled to be his flagship and he abandons mdmn and aumc????

I havent look at the stock for a long time but is this stock the old symbol SGCP? When I look up SGCP it just shows .0001 --is this the old stock or did SGCP end

we have just been informed that the issued share capital of american sierra gold corp has been increased from the reported 128,000,000 shares to over 445,000,000 shares with no explanation and no news releases indicating why or for what consideration was paid for these additional plus 3 million shares we have been dupped again!!!!

it has been brought to my attention that a formal complaint has been forwarded to the compliance office of the otc bulliten board indicating that the directors, gary goodin and has crew might have been involved in some criminal and most definitely civil wrong doings re their activities with the company. there have been no filings or news releases for over 3 years They do keep their standing in the state of nevada up to date, which of course medinah does not. As goodin is president of amnc, past president of mdmn, and a director of auryn usa and auryn chile he has a major conflict of interest to deal with. It will be intersting to see how this all play out!!!

AMNP is severely delinquent in filing their Financials and corporate filing obligations to the SEC. On Feb. 20, 2015 the SEC suspended 7 stocks from the Delinquent SEC Filers list, and it is likely that more delinquent Filers will be suspended.

Since Jan 1st, 2010 the SEC has suspended over 1290 stocks for Financials delinquencies. All of those Suspended stocks had their stock registrations revoked.

Shareholders should contact the company and pressure the Mgmt to file their delinquent Financials because ALL shareholders would be wiped out IF the SEC suspends the stock.

On Friday, Medinah Minerals announced that it acquired a 20% interest in Sociedad Contractual Minera American Medinah Gold (AMG), the property owner of the JOTA group of claims in Chile. AMNP is a 10% co-owner in AMG (and the JOTA claims) via their recent merger with Medinah Gold.

You will see in the AMG's Certificado filed with Chile's Ministry of Mines, that Medinah Gold (AMNP) is listed as a 10% owner in AMG.

And as an FYI, here is a list of claims for the JOTA property.

What may be of interest to AMNP shareholders in this update, is that Medinah reports that "in late January into Early February 2013, the JOTA claims were subject of an extensive filming by the Discovery Channel Television Producers." Medinah shareholders for weeks have been following the Twitter and Facebook updates posted by various members of Gold Rush's Hoffman crew for clues confirming that the Gold Rush crew was filming on the JOTA property in Chile.

Last night on the Gold Rush finale, The Discovery Channel confirmed the Hoffman crew's involvement with JJ and the JOTA property when they played a 30 second or so teaser regarding the Hoffman crew's latest "adventure" in South America. The clip showed JJ Quijano, one of the co-owners of AMG and the JOTA property, in a helicopter with the Hoffmans commenting on the property.

The show is planned on airing in March, so that will provide AMNP and MDMN shareholders with some free publicity and also a first-hand opportunity to view footage of how the JOTA property looks and how they go about mining it on a small scale for the show.

Termination of a Material Definitive Agreement.


On November 29, 2012, American Sierra Gold Corp. (the “Company”) and its wholly owned subsidiary American Sierra Gold Merger Corp., a Nevada Corporation, (“MergerSub”) terminated the Agreement and Plan of Merger entered into with Medinah Gold, Inc., a Nevada corporation, (“Medinah”) on August 13, 2012 (the “Merger Agreement”). As a result of the termination, the Company withdrew the registration statement on Form S-4, filed on October 31, 2012 with the Securities and Exchange Commission. The Company, MergerSub and Medinah mutually agreed to the Merger Agreement’s termination and there are no early termination penalties incurred by any of the parties for doing so.


Pursuant to the Agreement, Medinah would have merged with and into MergerSub, each outstanding share of common stock, par value $0.001, of Medinah would have been converted into the right to receive the one share of common stock of the Company, on a one-for-one basis and MergerSub would have been the surviving corporation in the merger. Each share of common stock issued would have been duly authorized, validly issued, fully paid and nonassessable. Upon conversion, each share of Medinah common stock would have been canceled, retired and cease to exist. Per the Merger Agreement, the Company expected to issue approximately 64,061,040 shares of common stock to Medinah shareholders as part of the merger’s consideration.


The Company now plans to offer an exchange of securities directly with Medinah shareholders on terms and conditions similar to those found in the Merger Agreement.

Good to see ya LJ! Been a while. Don't have answers to your question and haven't seen anything new on the PR'd merger between a sub of american sierra and Medinah.

I can only assume that there is nothing between AMNP and CGFI at this point, but since we aren't hearing anything from our fearless leader, who's to say what he may have cooking. There was no mention of it in the new Fact Sheet he put out yesterday.

It has been interesting to watch the volume and rise in pps here. Whatever is going on, I'm glad I've got at least one holding that's green. lol
