Seems TEC and Credex might be under the same umbrella. I don't have any thoughts on this transaction really - as long as the "company" in whatever form it becomes returns to trading on the OTC and the outstanding shares remain under control.

The real issue is the outlook for the cannabis sector the next couple of years, if the next legislative branch will not support legalizing.

Part of the filing indicates some of the funds will be allocated toward updating the financials so it would seem they are setting up to be reinstated. Just my opinion.

Effective November 4, 2024, the Registrant entered into a material definitive agreement not made in the normal course of business. The parties to the agreement are the Registrant and TEC, LLC, a Delaware limited liability company (“TEC”). No material relationship exists between the Registrant and TEC, LLC.

Under this agreement, the Registrant will sell 302,900,458 shares of common stock to TEC, LLC, in exchange for $310,000.

The use of funds condition also mandates that the Registrant make a payment of at least $135,000 toward obligations owed to Medihemp, LLC, SLAM Enterprises, LLC, and Medical Cannabis Caregivers, Inc. These obligations stem from the Registrant’s acquisition of fixed assets and related intellectual property on March 11, 2021, as amended on April 29, 2022, and June 8, 2023. The acquired assets include licenses issued by the Colorado Marijuana Enforcement Division and the City of Colorado Springs for (i) Medical Marijuana Center Licenses, (ii) a Medical Marijuana-Infused Product Manufacturer License, and (iii) a Medical Marijuana Optional Premises Cultivation License.

At the closing of the transaction, Ellis Smith and Hollister & Blacksmith, Inc. will assume, jointly and severally, all outstanding debts of the Registrant and agree to indemnify the Registrant against any known or unknown, fixed or contingent liabilities of any kind arising from the Registrant’s operations up to the closing date. This indemnification covers any claims, obligations, debts, damages, or responsibilities, whether known or unknown.

Ellis Smith will also release the Registrant from any obligations related to two promissory notes issued to him on November 22, 2022, and February 14, 2023, including all principal, interest, and any associated penalties. Smith has personally guaranteed the assumption and responsibility for all assigned liabilities, providing indemnity to the Registrant.

Effective November 11, 2024, the Registrant appointed Joseph Cleghorn, age 64, as a director of the Company, Chairman of the Board of Directors, Chief Executive Officer, and interim Chief Financial Officer.

I would take a gamble here and buy a boatload as the pps has moved a bit upward. I'm betting things get restored here, and if I'm right, this share price is literally theft.

I called my broker, and they wouldn't permit me to enter a buy order being in restricted status. However, someone's allowed to buy this as there's 50K in volume today and may make out in this, big time.

OTC Markets has moved this to the Expert Market. This effectively wiped out the share price. Time will tell if the financials get filed and the ticker is restored.

Interesting trading the last couple of days. Looking around the sector, a handful are down in pps so it doesnt seem like a sector pump, but the buy orders for this aren't overly huge. Scratching my head, perhaps fins are going to drop or something else brewing...

Significant volume in the first hour of trading. Not sure if this is a one off anomaly or something is imminent.

In keeping up with this issue, the DEA has also received letters in opposition to descheduling. How the DEA comes down on it, we'll see. What's more damning is why the safer act hasn't been put through yet. Stupid really. But all we can do is wait and keep waiting. But once something cracks, it should be a catalyst to drive the sector upward.

you are correct in that we need legislation/rescheduling...but think about this,forget about all the things attatched to the 2018 farmbill that says americans can buy mj as long as its .30% delta 9 thc or lower...forget about all the garbage that came with that,at that moment when it became law marijuana became legal in the united states....SO,why does the dea get to sit back and not go with the flow of the law of the land and act as if they are their own little agency not beholding to the law...govt regs should change as the law does...

I think termination of the merger isn't a bad thing. Looks like the market didn't take it well today, but the shares should remain intact at least.

Back to square one, after all of that.

We need legislation or descheduling of cannabis. Otherwise I don't see this sector going anywhere.

On March 1, 2024, pursuant to Section 8.1(a) of the Agreement and Plan of Merger ("Agreement") and Section 12.1(a) of the Separation and Distribution Agreement with HyperScale Nexus Holding Corporation, previously disclosed on Form 8-K, and Form 14C, the parties mutually agreed to completely terminate the respective transactions. The terminations are not expected to have any material results on the operations or finances of the Company. The Company incurred no termination penalties. No legal proceedings are expected to be filed over the respective terminations.

After careful consideration, both parties concluded that the terms of the agreement couldn't be met within a reasonable timeframe and so didn't align with the Company's objectives and priorities.

Volume spike during first hour, almost two to one in favor of buy orders. If something else is brewing here, it's got my attention.

I’m hoping it’s good news I’ve been averaging down for years now. First bought at .51! Average now is .07

Up 38% in last five days. Not sure what to make of it, either something may be brewing or on a cannabis macro level, somebody believes de-scheduling of cannabis is sooner rather than later.

Hopefully gets back up to .50 in the next 5 years

Watching the slow climb. This has crawled all the way back from sub penny. It's like it wants to get back to .02.

Updated 8K filed within the last few days. Appears a change in direction has been decided. AMMJ will operate independently. It's probably a good thing as the operations of both companies aren't aligned. The share structure appears will remain in place.

It is basically a summary of the merger agreement. Insiders owned enough shares to pass it and not to need the rest of us to vote. I remain curious about how the shares will trade prior to the merger closing and what they may end up worth if exchanged for Hyperscale shares. If the shares of Hyperscale take off on the Nasdaq when listed this could be a great hold, but there is no way of knowing at present.

That is not true. You're looking at the Earnings Standard for the Global Select Market.

There are 3 other standards, and AMMJ won't be listing on the Global Select Market.

My guess is that after the merger, they'll qualify under the Equity Standard for the Nasdaq Capital Market....$5 million of equity, $15 million of market cap.

I don't really know though...I'm just here for the arbitrage play.

There won't be a NASDAQ uplist for at least 3 years. The biggest problem OTC stocks have is meeting the requirement of no net losses in the 3 yeats prior to application. I wouldn't worry about the shareholder count, the net loss requirement kills any talk of Nasdaq for a while.
