Naturally Splendid Enterprises Ltd. officially launched Natera FX, an industry-first, hemp-based, practitioner-grade line of therapeutic health care products at the British Columbia Naturopathic Association's (BCNA) Advancing Naturopathic Medicine 2018 exhibition in Vancouver, B.C., on Oct. 12, 2018.
Naturally Splendid is pleased to have received an initial commitment of over $500,000 CDN from its Master Distributor who has access to over 2,000 naturopaths and healthcare professionals across Canada. The Natera FX products are designed to assist healthcare professionals optimize the nutritional "tool kits" within their existing lifestyle programs.
Natera FX products will be marketed directly to healthcare professionals including but not limited to; naturopaths; chiropractors; medical doctors; and pharmacies through a country-wide network of distributors and an e-commerce website at: www.naterafx.com.

NATURALLY SPLENDID ENTERPRISES LTD. (TSX-V: NSP)(OTCQB: NSPDF) is pleased to announce that it has entered into a cooperation agreement (the "Cooperation Agreement") with Wahupta Ventures Inc. ("Wahupta") whereby Wahupta has committed to invest up to $2,000,000 (the "Investment"). The proceeds of the Investment will be used to complete the build out of a cannabinoid extraction facility, including a full laboratory at Naturally Splendid's existing manufacturing and distribution facility located in Pitt Meadows, BC (the "Facility").
Through Naturally Splendid's wholly owned subsidiary, Naturally Splendid Extracts Ltd. Naturally Splendid has applied for a Dealer License under the Narcotic Control Regulations (Canada) in order to pursue a number of activities related to cannabis including research & development, product development and processing of cannabinoids. The Investment will allow Naturally Splendid to complete its Facility which will position the Company in a favorable position in the evolving cannabis markets in Canada with new regulations taking effect October 17, 2018. Additionally, cannabis regulations continue to evolve globally and the combination of the appropriate licensing in conjunction with extraction capabilities, will provide multiple new opportunities to the Company.
Wahupta is headquartered in Vancouver Canada. Wahupta's areas of expertise include cannabinoid extraction, hemp farming, research & development as well as product development. Wahupta has aligned itself with First Nations and Indigenous Tribes in both Canada and the United States providing the platform for significant hemp biomass production. Wahupta has significant expertise in the field of cannabinoid extraction through its wholly owned subsidiary, Curran Technologies Inc. (CTI). CTI currently manufactures a range of cannabinoid extraction equipment that applies new technology to the advancement of the cannabis oil extraction process making them a leading manufacturer of extraction equipment.
Additionally, the combined expertise at CTI and Wahupta continue to evaluate extraction technologies and apply them accordingly to develop cost effective, high throughput extraction systems. Wahupta will be instrumental in designing, manufacturing and installing the cannabinoid extraction system in Naturally Splendid's Pitt Meadows facility. Timing of the completed facility is based, in part, to final licensing approvals from Health Canada.
Additionally, the parties have begun drafting a Supply, Manufacturing and Distribution Agreement that will provide Naturally Splendid access to Wahupta's hemp biomass to meet Naturally Splendid cannabidiol extraction needs as well as provides minimum purchase obligations by Wahupta for cannabidiol (CBD) produced once the Facility is completed and obtains its license. Wahupta intends to private label existing Naturally Splendid products under their own brand as well as distribute CBD fortified products developed by Naturally Splendid once licensing and regulations allow.

Terms of Cooperation Agreement
Under the terms of the Cooperation Agreement, the Investment will be comprised of the following tranches:
-- 555,556 common shares of Naturally Splendid ( the "First Tranche") at a price of $0.27 per share for total proceeds of $150,000 upon TSXV Exchange approval,
-- an additional 555,556 common shares of Naturally Splendid (the" Second Tranche") at $0.27 per share for total proceeds of CAD $150,000 within 45 days of the date of closing the First Tranche;
-- an additional 740,741 common shares of Naturally Splendid (the "Third Tranche") at $0.27 per share or the Discounted Market Price (as defined by the rules of the TSX Venture Exchange) for total proceeds of CAD $200,000 within 30 days of the date of closing of the Second Tranche; and
-- grant of an option for 5,555,556 common shares of Naturally Splendid (the "Fourth Tranche") at $0.27 per share or the Discounted Market Price (as defined by the rules of the TSX Venture Exchange) for total proceeds of CAD $1,500,000 within 45 days of the date of closing of the Third Tranche.
The proceeds of the Investment will be used to build the Naturally Splendid extraction facility in Pitt Meadows and for working capital purposes. The Investment is subject to the acceptance of the TSX Venture Exchange.

Naturally Splendid Secures Acreage for 2018 and 2019 Hemp Production

VANCOUVER, British Columbia, June 28, 2018 -- /D.M.O. Newswire/ -- Naturally Splendid Enterprises Ltd. ("Naturally Splendid," “NSE” or “the Company”) (FRANKFURT:50N) (TSXV:NSP) (OTC:NSPDF) is pleased to announce that it has contracted with a long established organic hemp farmer, Fresh Air Farms, for 330 acres of organic agricultural land to provide organic hemp production for the 2018 and 2019 growing seasons.
Fresh Air Farms is an organic farm located in Marcelin, Saskatchewan, Canada with roots that go back to 1911, when the Grenier family first began farming there.
In the agreement, Naturally Splendid has the right to purchase up to 100% of the organic hemp production from the 330 acres for the 2018 and 2019 growing seasons. Currently, the Company is securing the acreage for organic hemp seed production. However, as the new hemp regulations under Bill C-45 come into effect, the Company has the option to convert some or all the acreage to CBD (cannabidiol) production.
The Company anticipates designating a portion of the organic cultivation for research and development of high yielding CBD (cannabidiol) hemp. Naturally Splendid intends to expand this model of identifying organic acreage for hemp seed and/or CBD cultivation to secure additional acreage in the future.

Naturally Splendid Reports First Quarter Results for 2018

Vancouver, British Columbia / TheNewswire / May 30, 2018 - Naturally Splendid Enterprises Ltd. ("Naturally Splendid", "NSE" or "the Company") (FRANKFURT:50N) (TSXV:NSP) (OTC:NSPDF) announces its financial results for the three months ended March 31, 2018. All amounts are in Canadian dollars and are prepared in accordance with International Financial Reporting Standards.
Naturally Splendid recorded a net loss of $13,397 during the three months ended March 31, 2018, compared to a loss of $942,055 during the three months ended March 31, 2017. The decrease in net loss was due to the sale of POS BPC Manufacturing Corp. which provided for a gain on sale of $1,535,096, offset by an increase in selling and distribution costs of $88,479 and administrative expenses of $453,230, mainly due to the addition of the Company's Prosnack Natural Foods Inc. ("Prosnack") business which was not included in the expenses in the comparative quarter, as the acquisition occurred on October 18, 2017.
Naturally Splendid recorded sales of $320,827 during the three months ended March 31, 2018 compared to $587,203 in for the three months ended March 31, 2017. This revenue decrease was mainly due to the collapse of sales of bulk hemp seed to South Korea where the Company had recorded $Nil bulk sales in the current quarter compared to $245,400 in the first quarter of 2017. The additional sales generated from the acquisition of the Prosnack business was not enough to counter the loss of bulk sales. Retail sales were off during the first quarter whereas online sales remained consistent.
Cost of Sales during the three months ended March 31, 2018 was $217,523, compared to $435,766 in the three months ended March 31, 2017. The Company significantly changed its sales mix in 2018 with a reduction of exporting bulk seed sales which have been generally sold at a lower gross margin percentage.
Gross profits during the three months ended March 31, 2018 was $103,304 (32.2% of sales) compared to $151,437 (25.8%) in the three months ended March 31, 2017 due to higher margins on retail and online sales whereas in the comparative quarter the lower margins on bulk seed sales caused the overall margins to decrease. In 2018, the Company is focused on rebuilding its markets and products and new commercial opportunities, both domestically and in new international markets, and with NSE's acquisitions of Prosnack (acquired October 18, 2017) and Absorbent Concepts Inc. ("ACI") (acquired April 24, 2018)
