Henderson Absolute Return Portfolio Limited ("HARP") - proposals for the winding
up and reconstruction of HARP
Following the announcement made on 7 August 2003, relating to liquidation
proposals for HARP, the Board has become aware of a number of shareholders who
wish to remain invested in a fund with a similar investment policy to HARP. The
Board is therefore recommending that HARP be wound up and reconstructed.
Shareholders to whom unregulated collective schemes can lawfully be promoted
("Qualifying Shareholders") will have the opportunity to retain their investment
in a concentrated portfolio of long short alternative equity funds through a
Dublin listed open-ended investment company ("OEIC"). Other shareholders and
Qualifying Shareholders who wish to realise their investment in HARP will be
offered cash in the liquidation of HARP as previously stated, in January 2004.
Henderson Global Investors Limited has agreed to waive that proportion of the
termination fee due that relates to the proportion of HARP's investments that
are rolled over from HARP into the new OEIC.
The Board had previously announced that it would write to shareholders in
October setting out their recommendations. This will now occur in November.
Shareholders should note that this will not affect the date that cash
entitlements are distributed in the liquidation of HARP if the proposals are
approved by shareholders.
