Globant S.A. (the “Company”) is furnishing under the cover of Form 6-K the following:

 

10b5-1 Repurchase Plan

 

As previously disclosed, on May 31, 2019, the general meeting of shareholders of the Company granted to the board of directors (the “Board”) the authorization to repurchase common shares, nominal value of $1.20 per share, of the Company (“Common Shares”), subject to certain parameters. Further, on March 1, 2021, the Board adopted the Globant S.A. Employee Share Purchase Plan (the “ESPP”), and on December 1, 2021, the compensation committee of the Company approved the granting of awards in the form of stock-equivalent units (“SEUs”) to be settled in cash or Common Shares, or a combination thereof, under the Company’s 2014 Equity Incentive Plan, which was adopted by the Board on July 3, 2014. Common Shares issued under the ESPP and/or delivered under the SEUs may consist of Common Shares reacquired in open market purchases. In order to execute such open market purchases, the Company entered into a 10b5-1 repurchase plan on May 29, 2023 with HSBC Securities (USA) Inc., acting as agent for the Company, for the repurchase of an aggregate of up to 60,000 Common Shares. The 10b5-1 repurchase plan will expire on March 8, 2024.
