Berzelius (Nanjing) Co. Ltd., formerly Amprius (Nanjing) Co. Ltd., was founded in 2017 and was a wholly owned subsidiary of Amprius Inc. until February 2022. Berzelius is a developer and manufacturer of high-capacity silicon anode materials. The company introduced commercial silicon anode materials in 2020 and started building a 20,000-ton manufacturing facility in 2022. The first phase of the factory, with 400-ton annual production capacity, was completed in November of 2022 and started to supply silicon material worldwide. This is one of the largest pure silicon anode materials manufacturing facilities in the industry. Berzelius silicon anode materials have been validated in high performance lithium-ion batteries in electric mobility, consumer electronics and other industrial applications.

In theory, both AMPX and Berzelius are mostly owned by Amprius Inc still. For Berzelius' SiCore silicon-carbon material, Berzelius owns the material IP and AMPX owns any IP gained while using that material at the battery cell level (e.g., manufacturing, electrolyte/cathode combos, etc). AMPX also has sole rights to use/distribute SiCore as an anode material in America.
Bottom line: if Berzelius makes the SiCore material (or some other silicon-material) kick ass by doping it with graphene nanotubes, AMPX probably stands to benefit too.
The value proposition for Amprius has always been that they are at the forefront of finding ways to use and commercialize silicon in anodes, whether that be silicon nanowire, silicon composite, or now apparently graphene nantoube doped silicon.

Shorting on good news is one of the oldest tactics to keep buyers away, and encourage selling.
It's the old buy on rumor, sell on news, and they use it to their advantage,
That said, and LOI is not good enough news to post IMO. Tell me when you have a contract.
