(NASDAQ:NNOX) has entered into a clinical collaboration with Meir Medical Center to assess the diagnostic effectiveness of its Nanox.ARC system for orthopedic injuries in emergency care settings.The study will compare imaging results from the Nanox.ARC with the hospital’s current diagnostic approach, which typically involves standard X-rays or X-rays followed by CT scans. The objective is to determine whether Nanox’s system can deliver more detailed anatomical insights and enable faster clinical decisions in cases involving trauma and high-impact injuries.The Nanox.ARC is a multisource digital tomosynthesis platform designed to generate 3D images at a lower cost and with reduced radiation exposure compared to conventional CT scans. Outside the U.S. market, we have entered into 13 MSaaS agreements to deploy a total of 7,125 Nanox Systems in 19 regions, including in Europe, South and Central America, Asia, Australia, New Zealand, Russia and Africa. Under the current terms of each agreement, we grant the other party a limited, non-transferable, sub-licensable right to access and operate the Nanox System in the region applicable for such party. We undertake to provide a specified number of Nanox Systems to each entity based on agreed shipment schedules, subject to local regulatory approval and material compliance with acceptance test protocol (the “Conditions Precedent”). The other party undertakes to deploy the Nanox Systems to provide a minimum number of scans per year (generally based on 7 scans per day and 23 days per month) on a pay-per-scan basis, and to pay a minimum annual fee (including payments to our partners) ranging from approximately $2 million to $58 million, or approximately $155 million in total, excluding the payments to our partners. The MSaaS agreements, subject to certain conditions, require each of our counterparties to deliver to us a standby letter of credit or financial guarantee in the amount equal to the minimum annual fee in favor of us after receipt of the Conditions Precedent. However, there can be no guaranty that our counterparties will be able to obtain such letters of credit or financial guarantees. In addition, a majority of our MSaaS agreements are exclusive; however, under several agreements, we may seek alternative partners in the applicable region while maintaining the possibility to eventually resume the agreement, if the requisite regulatory authorizations are received.
