Pipeline highlights: Lacutamab (anti-KIR3DL2 antibody): Cutaneous T-Cell Lymphoma The planned confirmatory Phase 3 TELLOMAK-3 trial is an open-label, multi-center, randomized, comparative study evaluating lacutamab in patients with Sézary syndrome and mycosis fungoides, who have failed at least one prior systemic therapy. TELLOMAK-3 includes two cohorts: a confirmatory cohort in Sézary syndrome, intended to support a potential accelerated approval based on existing TELLOMAK Phase 2 data, and a registrational cohort in mycosis fungoides, intended to support full approval. The primary endpoint of the study for both cohorts is progression-free survival (PFS) evaluated by blinded central review. Following the U.S. Food and Drug Administration (FDA) review of the Phase 3 protocol, with no further comments in November 2025, the trial is planned for initiation in H2 2026. The FDA provided encouraging feedback on the TELLOMAK Phase 2 results and the proposed regulatory pathway, which may support an accelerated approval in Sézary syndrome once the Phase 3 trial is underway. In February 2025, the FDA granted Breakthrough Therapy Designation to lacutamab for relapsed or refractory Sézary syndrome. An abstract authored by ZS Associates entitled “Cutaneous T-Cell Lymphoma Epidemiology in the United States: A Real-World Data Analysis of Administrative Claims” has been accepted for publication in the official Abstract Book of the European Hematology Association Congress 2026. The analysis, sponsored by Innate, reports approximately 12,400 prevalent patients with mycosis fungoides (MF) and 1,100 with Sézary syndrome (SS), with ~2,900 and ~300 new cases per year, respectively. Enrollment in the trial is complete, and data readout is expected in H2 2026. Other Clinical stage assets IPH5201 (anti-CD39 antibody, developed in collaboration with AstraZeneca): The MATISSE Phase 2 trial is evaluating IPH5201 in combination with durvalumab and platinum-based chemotherapy in the neoadjuvant lung cancer setting. Interim results from MATISSE Phase 2 were presented in a Clinical Trials Plenary Session at the AACR Annual Meeting 2026 on April 21, 2026 in San Diego, by Pr. Fabrice Barlesi (Institut Gustave Roussy). The pre-planned interim analysis was conducted on 40 patients with resectable early-stage (stage II–IIIA) NSCLC treated with perioperative IPH5201 in combination with durvalumab and platinum-based chemotherapy. The combination showed encouraging results with overall pathological complete response (pCR) rate of 27.5% (95% CI: 14.6–43.9). pCR rates were notably higher in patients with PD-L1-positive tumors, reaching 35.7% in PD-L1 ≥1% patients (n=28%) and 50.0% in PD-L1 ≥50% patients (n=14). Higher baseline tumor CD39+ and CD8+ cell density was observed in patients achieving pCR/mPR, suggesting CD39 expression as a potentially emerging biomarker. The safety profile was comparable to that of preoperative platinum-based chemotherapy with durvalumab. Based on these encouraging results, the MATISSE study continues enrollment in the PD-L1 ≥1% patient population. IPH5301 (anti-CD73, proprietary): The investigator-sponsored CHANCES Phase 1 trial of IPH5301 with Institut Paoli-Calmettes is ongoing. Innate Pharma SA (Euronext Paris: IPH; Nasdaq: IPHA) (“Innate” or the “Company”), today announced that interim results from the MATISSE Phase 2 study evaluating IPH5201 in combination with durvalumab and platinum-based chemotherapy in resectable non-small cell lung cancer (NSCLC) will be presented in one of the Clinical Trials Plenary Sessions at the American Association for Cancer Research (AACR) Annual Meeting 2026, taking place April 17–22, 2026 in San Diego, California.
The MATISSE study (NCT05742607) is a single arm Phase 2 clinical trial evaluating perioperative IPH5201, an anti-CD39 blocking antibody, in combination with perioperative durvalumab (anti-PD-L1) in addition to neoadjuvant platinum-based chemotherapy in previously untreated patients with resectable NSCLC. The trial is designed to assess whether dual inhibition of the CD39 and PD-L1 pathways, together with chemotherapy, can enhance anti-tumor immune responses and improve clinical outcomes in early-stage lung cancer.
These results follow a pre-planned interim analysis on 40 patients. The combination of IPH5201 with durvalumab and chemotherapy demonstrated higher pathological complete response (pCR) rates compared with the benchmark set by durvalumab plus chemotherapy alone. Notably, pCR was 35.7% and 50% in patients with tumors expressing PD-L1 ≥1% and PD-L1 ≥50%, respectively. Based on these results, the study continues to recruit patients with tumors expressing PD-L1≥1%.
“Patients with resectable NSCLC remain at significant risk of recurrence, underscoring the need for novel perioperative treatment strategies. Disrupting the adenosine pathway through CD39 inhibition with IPH5201, in combination with PD-1 blockade and chemotherapy, could enhance anti-tumor immune responses—particularly in patients with PD-L1 positive tumors, where we observed up to 50% pCR rate in the MATISSE trial. About IPH5201
IPH5201 is a first-in-class monoclonal antibody targeting CD39, a key immunosuppressive enzyme in the adenosine pathway. CD39 is expressed on tumor-infiltrating immune and stromal cells and contributes to immunosuppression by degrading extracellular adenosine triphosphate (ATP) into adenosine monophosphate (AMP), which is then further degraded into adenosine by CD73. By blocking CD39, IPH5201 promotes the accumulation of immunostimulatory ATP and reduces the production of immunosuppressive adenosine, thereby enhancing anti-tumor immune responses.

“2025 has been a year of strong execution across our portfolio. With the TELLOMAK-3 design finalized and FDA clearance in hand, lacutamab is planned for confirmatory Phase 3 initiation in H2 2026, dependent on current negotiations with pharma partners and royalty structures. IPH4502, our Nectin-4 exatecan ADC, is progressing rapidly, with early signs of anti-tumor activity in heavily pre-treated patients, including in urothelial cancer post-enfortumab vedotin, where we aim to validate our preclinical hypothesis supporting a differentiated profile versus MMAE-based approaches. We continue to enrich cohorts at pharmacologically active dose levels, and explore activity in tumors with low to moderate Nectin-4 expression, where we believe IPH4502 has best-in-class potential among Topo I-based Nectin-4 ADCs. Pipeline highlights:
Lacutamab (anti-KIR3DL2 antibody):
Cutaneous T Cell Lymphoma
The planned confirmatory Phase 3 TELLOMAK-3 trial is an open-label, multi-center, randomized, comparative study evaluating lacutamab in patients with Sézary syndrome and mycosis fungoides, who have failed at least one prior systemic therapy.
TELLOMAK-3 includes two cohorts: a confirmatory cohort in Sézary syndrome, intended to support a potential Accelerated Approval based on existing TELLOMAK Phase 2 data, and a registrational cohort in mycosis fungoides, intended to support full approval. The primary endpoint of the study for both cohorts is progression-free survival (PFS) evaluated by blinded central review.
Following the U.S. Food and Drug Administration (FDA) review of the Phase 3 protocol, with no further comments in November 2025, the trial is planned for initiation in H2 2026.
The FDA provided encouraging feedback on the TELLOMAK Phase 2 results and the proposed regulatory pathway, which may support an Accelerated Approval in Sézary syndrome once the Phase 3 trial is underway. In February 2025, the FDA granted Breakthrough Therapy Designation to lacutamab for relapsed or refractory Sézary syndrome.
The TELLOMAK Phase 2 trial is completed, and patients who were receiving treatment will continue to receive lacutamab through a Post Trial Access program.
Peripheral T Cell Lymphoma (PTCL)
KILT (anti-KIR in T-Cell Lymphoma) Phase 2 trial, an investigator-sponsored, randomized study led by the Lymphoma Study Association (LYSA) evaluating lacutamab in combination with GEMOX (gemcitabine and oxaliplatin) versus GEMOX alone in patients with KIR3DL2-expressing relapsed/refractory PTCL, is ongoing.
IPH4502 (Nectin-4 exatecan ADC):
The IPH4502-101 Phase 1 study (NCT06781983), recruiting in France and in the United States, is evaluating the safety, tolerability, and preliminary anti-tumor activity of IPH4502 in advanced solid tumors known to express Nectin-4, including but not limited to urothelial carcinoma, non-small cell lung, breast, ovarian, gastric, esophageal, and colorectal cancers.
The first patient was dosed in January 2025. The maximum tolerated dose (MTD) is currently being explored, with cohort enrichment ongoing at pharmacologically active dose levels, including in patients with urothelial cancer relapsed or refractory to enfortumab vedotin, as well as selected additional tumor types. Preliminary anti-tumor activity was observed in heavily pre-treated patients with advanced solid tumors with a favorable safety profile to date.
Monalizumab (anti-NKG2A antibody), partnered with AstraZeneca:
The PACIFIC-9 Phase 3 trial run by AstraZeneca evaluating durvalumab (anti-PD-L1) in combination with monalizumab or AstraZeneca’s oleclumab (anti-CD73) in patients with unresectable, Stage III non-small cell lung cancer (NSCLC) who have not progressed following definitive platinum-based concurrent chemoradiation therapy (CRT) is ongoing. Enrollment in the trial is complete, and data readout is expected in H2 2026.
Other Clinical stage assets
IPH5201 (anti-CD39 antibody, partnered with AstraZeneca): The MATISSE Phase 2 trial, evaluating IPH5201 in combination with durvalumab and platinum-based chemotherapy in the neoadjuvant lung cancer setting, is ongoing and continues recruitment, following a pre-planned interim analysis performed for efficacy on 40 patients. These interim results have been selected for an oral presentation in a Clinical Trials Plenary Session at the AACR Annual Meeting 2026 (April 17–22, 2026, San Diego).
IPH5301 (anti-CD73, proprietary): The investigator-sponsored CHANCES Phase 1 trial of IPH5301 with Institut Paoli-Calmettes is ongoing.
IPH6101 (ANKET® anti-CD123, proprietary): Innate regained the rights to SAR’579/IPH6101 in July 2025. Innate has initiated a research collaboration to further assess next steps of development.
IPH6501 (ANKET® anti-CD20 with IL-2V, proprietary): The Phase 1/2 study has evaluated IPH6501 in patients with B-cell non-Hodgkin’s lymphoma (B-NHL). Following completion of dose escalation, the study has been discontinued as part of the Company’s strategic prioritization of its pipeline. Clinical data are expected to be presented in 2026.
IPH6401/SAR’514 (ANKET® anti-BCMA, partnered with Sanofi): In a recent corporate update, Sanofi announced deprioritization of SAR’514, a trifunctional anti-BCMA NK-cell engager. Sanofi retains exclusive development and commercialization rights, and the license terms remain unchanged.
Corporate Update:
As previously announced, in line with its strategic focus, the Company has streamlined its organization. Planned layoffs are being implemented through a redundancy plan and should be completed in H1 2026. A collective majority agreement supporting the redundancy plan was endorsed by the French authorities (Dreets) in December 2025.
The ATM program, pursuant to which Innate may, from time to time, offer and sell to eligible investors a total gross amount of up to $75 million of American Depositary Shares (“ADS”) is still in place. As of December 31, 2025, no sales have been made under the program. As of December 31, 2025, the balance available under our April 2023 sales agreement under the At-The-Market program remains at $75 million.
Financial highlights for 2025:
The key elements of Innate’s financial position and financial results as of and for the year ended December 31, 2025 are as follows:
Cash, cash equivalents, short-term investments and financial assets amounting to €44.8 million as of December 31, 2025 (€91.1m as of December 31, 2024), including €10.5m in non-current financial instruments (€10.3m as of December 31, 2024).
As of December 31, 2025, financial liabilities amount to €22.6m (€31.0m as of December 31, 2024). This change is mainly due to loan repayments.
Revenue and other income amounted to €9.0m in 2025 (2024: €20.1m, -55.2%). It mainly comprises revenue from collaboration and licensing agreements (€2.8m in 2025 vs €12.6m in 2024, -77.9%), and research tax credit (€6.2m in 2025 vs €7.5m in 2024, -17.1%):
Revenue from collaboration and licensing agreements mainly resulted from the partial or entire recognition of the proceeds received pursuant to the agreements with AstraZeneca and Sanofi. They are recognized when the entity's performance obligation is met. Their accounting is made at a point in time or spread over time according to the percentage of completion of the work that the Company is committed to carry out under these agreements:
(i) Revenue from collaboration and licensing agreements for monalizumab decreased by €4.2m to €0.2m in 2025 ( €4.4m in 2024). As of December 31, 2025, the revenue from this agreement has been fully recognized, and accordingly, no “Current contract liabilities” related to these studies remains.
(ii) Revenue related to the research collaboration and licensing agreement signed with Sanofi in 2022 amounted €0.4m as of December 31, 2025 (€2.1m as of December 31, 2024). After Sanofi’s announcement in October 2024 that it was returning the rights related to its second option, terminating the research collaboration, the €1.7 million in revenue allocated to the research work to be conducted by the company was recognized in full in the income statement as of December 31, 2024. Revenue related to research work on the first license amounted to €401,000 during fiscal year 2025, as it did during fiscal year 2024.
(iii) Revenue related to the license and collaboration agreement signed with Sanofi in 2016 decreased by €4.0m and are nil for year ended December 31, 2025. Innate regained the right to SAR’579/IPH6101 in July 2025.
The research tax credit (CIR) of €6.2m of as December 31, 2025 (€7.5m for year ended December 31, 2024). The 17% decrease resulted from the eligible costs decrease.
Operating expenses amounted to €63.0m in 2025 (2024: €71.7m, -12.1%):
General and administrative (G&A) expenses amounted to €19.4m in 2025 (2024: €19.7m, -1.6%). These expenses represented 27% and 31% of net operating expenses for the years ended December 31, 2024 and 2025 respectively. G&A expenses mainly comprise personnel costs not allocated to research and development, as well as costs of services relating to the management of the Company. The decrease between 2024 and 2025 results from the combined effect of (i) lower non-scientific consulting fees and (ii) reduced insurance expenses. Personnel expenses remained stable despite €0.6 million in restructuring charges resulting from the implementation of the Workforce Restructuring Plan (Plan de Sauvergarde de Sauvegarde de l’Emploi).
Research and development (R&D) expenses from continuing activities amounted to €43.6m in 2025 (2024: €52.0m, -16.1%). R&D expenses from continuing operations amounted to €43.6 million and €52.0 million for the years ended December 31, 2025 and 2024, respectively. These expenses represented 73% and 69% of net operating expenses from continuing operations for the years ended December 31, 2024 and 2025, respectively. The decrease between 2024 and 2025 mainly reflects lower direct research and development costs related to clinical programs. Indirect research and development expenses decreased primarily due to lower personnel costs (excluding restructuring charges of €2.3 million), reduced scientific consulting fees, lower depreciation and amortization, and a decrease in intellectual property expenses, partially offset by restructuring charges associated with the implementation of the Workforce Restructuring Plan (Plan de Sauvegarde de l’Emploi).
A net financial income of €4.8m in 2025 (2024: €2.1m gain). The financial income has been increased due to favorable foreign exchange impact.
A net loss of €49.2m in 2025 (2024: net loss of €49.5m).

Revenue from collaboration and licensing agreements
Revenue from collaboration and licensing agreements from continuing operations decreased by €9.8 million, to €2.8 million for the year ended December 31, 2025, as compared to €12.6 million for the year ended December 31, 2024. These revenues mainly result from the partial or entire recognition of the proceeds received pursuant to the agreements with AstraZeneca and Sanofi. They are recognized when the entity's performance obligation is met. Their accounting is made at a point in time or spread over time according to the percentage of completion of the work that the Company is committed to carry out under these agreements. The evolution in 2025 is mainly due to:
A €4.2 million decrease in revenue related to monalizumab to €0.2 million for the year ended December 31, 2025, as compared to €4.4 million for the year ended December 31, 2024. As of December 31, 2025, the revenue from this agreement has been fully recognized, and accordingly, no “Current contract liabilities” related to these studies remains.
The recognition of €1,7 million in revenue as of December 31, 2024, relating to the research collaboration and licensing agreement signed with Sanofi in 2022 after the exercise of license options for an ANKET® program in 2023 and ultimately discontinued in 2024 following the termination of the agreement. However, research work on the first license continued during fiscal year 2025, generating revenue of €0,4 million, an amount identical to the revenue recognized during fiscal year 2024.
A €4.0 million decrease in revenue from the collaboration and research license agreement with Sanofi. On April 15, 2024, the Company announced the treatment of the first patient in the dose-expansion phase 2 of the study conducted by Sanofi evaluating the NK Cell Engager IPH6101/SAR443579 in various blood cancers.
A €0.4 million decrease in revenue from invoicing of research and development costs to €1.7 million for the year ended December 31, 2025, as compared to €2.1 million for the year ended December 31, 2024.
Government funding for research expenditures
Government funding for research expenditures decreased by €1.3 million, or 17.1%, to €6.2 million for the year ended December 31, 2025, as compared to €7.5 million for the year ended December 31, 2024. As of December 31, 2025, government funding is mainly comprised of research tax credit for 2025 fiscal year for an amount of €6.2 million as compared to €7.4 million euros for year ended December 31, 2024. The decrease in eligible expenses in 2025 mainly results from (i) lower depreciation charges following the full amortization of intangible assets since fiscal year 2024 and the end of the depreciation period for certain laboratory equipment; (ii) a decline in eligible subcontracting expenses due to lower costs related to late-stage clinical studies and the conduct of clinical trials outside the Eurozone; and (iii) a decrease in patent-related expenses following their exclusion under the latest Finance Law applicable since February 2025.
The research tax credit is calculated as 30% of the amount of research and development expenses, net of grants received, eligible for the research tax credit for the fiscal year.

Research and development expenses
Research and development (“R&D”) expenses decreased by €8.4 million, or 16.1%, to €43.6 million for the year ended December 31, 2025, as compared to €52.0 million for the year ended December 31, 2024. This decrease over the period is mainly due to a decrease in direct research and development expenses of €7.5 million over the period due mainly to the decrease in expenses related to more mature clinical development programs. Research and development expenses represented a total of 69.2% and 72.5% of operating expenses before impairment for years ended December 31, 2025 and December 31, 2024, respectively. Direct research and development expenses decreased by €7.5 million, or 26.5%, to €20.8 million for the year ended December 31, 2025, as compared to direct research and development expenses of €28.3 million for the year ended December 31, 2024.
This decrease is mainly due to a €7.3 million decrease in expenses related to the Company's clinical programs. This decrease in clinical programs expenses mainly results from (i) a €6.3 million decrease in expenses related to the IPH4502 program, following the reduction in CMC and toxicology activities, partially offset by higher costs associated with the progressive start-up of clinical activities; as a reminder, this program entered clinical development after the first patient was dosed in January 2025; (ii) a €0.7 million decrease in expenses related to the IPH5201 (anti-CD39) program; (iii) a € 0.5 million decrease in expenses related to the lacutamab program, whose Phase 2 clinical study is in the process of being closed. The €0.4 million increase in expenses related to the IPH6501 program reflects the advancement of clinical activities; as a reminder, this program entered clinical development after the first patient was dosed in June 2024.
As of December 31, 2025, the collaboration liabilities relating to monalizumab and the agreements signed with AstraZeneca in April 2015, October 2018 and September 2020 amounted to €38.2 million, as compared to collaborations liabilities of €48.6 million as of December 31, 2024. This decrease of €10.3 million mainly results from (i) net repayment of €4.8 million during year 2025 to AstraZeneca linked to the monalizumab cofinancing program, including Phase 3 trial INTERLINK-1 launched in October 2020 and PACIFIC-9 launched in April 2022, and (ii) the decrease of the collaboration commitment ("collaboration liabilities" in the consolidated statements of financial position) for an amount of €5.7 million linked to the Euro-dollar parity exchange rate variation.
Personnel and other expenses allocated to research and development decreased by €0.9 million, or 3.7%, to €22.8 million for the year ended December 31, 2025, as compared to an amount of €23.7 million for the year ended December 31, 2024. As of December 31, 2025, the Company had 125 employees, including Leadership Team members, in research and development functions, compared to 139 as of December 31, 2024.
We note a decrease in (i) other expenses of €1.6 million (primarily €1.3 million in scientific consulting fees and €0.3 million in intellectual property expenses), and (ii) amortization and depreciation expense of €0.6 million. As a reminder, this line item mainly consists of the amortization of the monalizumab intangible asset (acquired from Novo Nordisk), the IPH5201 asset (anti-CD39 acquired from Orega Biotech), as well as the amortization of the rights related to monalizumab (see Note 6) for the years ended December 31, 2025 and 2024. Finally, (iii) the €1.0 million decrease in personnel expenses (including a €0.7 million decrease in share-based payments and a €0.3 million decrease in salaries and wages) is offset by (iv) €2.3 million in restructuring charges related to the implementation of the Workforce Restructuring Plan (Plan de Sauvegarde de l’Emploi).
General and administrative expenses
General and administrative (“G&A”) expenses decreased by €0.3 million, or 1.6% to €19.4 million for the year ended December 31, 2025 as compared to €19.7 million for the year ended December 31, 2024. G&A expenses represented a total of 30.8% and 27.5% of the total operating expenses for the years ended December 31, 2025 and 2024, respectively.
Personnel expenses, which includes the compensation paid to our employees and consultants, decreased by €0.6 million, or 7.0%, to €8.0 million for the year ended December 31, 2025, as compared to personnel expenses of €8.6 million for the year ended December 31, 2024. This decrease mainly results from €0.7 million decrease in share-based payment expenses compensated by a increase in salaries and wages of €0.1 million. As of December 31, 2025, we had 38 employees, including Leadership Team members, in general and administrative functions compared to 42 as of December 31, 2024.
Non-scientific advisory and consulting expenses mostly consist of auditing, accounting, legal and hiring services. These expenses decreased by €0.3 million, or 9.9%, to €3.0 million for the year ended December 31, 2025, as compared to an amount of €3.4 million for the year ended December 31, 2024. This decrease results from lower recruitment activity and reduced maintenance costs for the “At-The-Market” fundraising facility.
Other general and administrative expenses relate to intellectual property, depreciation and amortization and other general, administrative expenses. These expenses are stable at €7.8 million for the year ended December 31, 2025, as compared to an amount of €7.8 million for the year ended December 31, 2024.
Financial income (loss), net
We recognized a net financial gain of €4.8 million for the year ended December 31, 2025, as compared to €2.1 million net financial gain for the year ended December 31, 2024. This change mainly results from the net foreign exchange gain of €3.2 million (net foreign exchange loss of €1.8 million in 2024), offset by a decrease of interest income on financial investments (net gain of €1.3 million in 2025 compared to €2.4 million in 2024) and the change in the fair value of certain financial instruments (net gain of €0.7 million in 2025 as compared to a net gain of €2.0 million in 2024).
Balance sheet items
Cash, cash equivalents, short-term investments and financial assets (current and non-current) amounted to €44.8 million as of December 31, 2025, as compared to €91.1 million as of December 31, 2024. Net cash as of December 31, 2025 (cash, cash equivalents and current financial assets less current financial liabilities) amounted to €25.5 million (€72.1 million as of December 31, 2024).
As of the date of the issuance of the financial statements and based on its current operations, plans, and assumptions, the Company estimates that its cash and cash equivalents are sufficient to fund its operations until the end of third quarter of 2026. As such, cash and cash equivalents are not sufficient to fund operations for the next 12 months from the date of issuance of the financial statements. As such, there is substantial doubt regarding its ability to continue as a going concern.
The Company has undertaken several concurrent initiatives to secure the financing of its operations, including non-dilutive ffinancing options, such as pharma partnering and royalty structures which are currently under negotiation.
The other key balance sheet items as of December 31, 2025 are:
Current deferred revenue of €2.8 million and collaboration liabilities of €38.2 million (including €31.7 million booked as ‘Collaboration liability – non-current portion’) relating to the remainder of the initial payment received from AstraZeneca with respect to monalizumab, not yet recognized as revenue or used to co-fund the research and the development work performed by AstraZeneca including co-funding of the monalizumab program with AstraZeneca, notably the INTERLINK-1 and PACIFIC-9 Phase 3 trials.
Receivables of €12.6 million including current receivables for (i) €6.2 million from the French government related to the research tax credit for 2025 after the loss of SME status since December 31, 2023; (ii) €2.4 million related to suppliers’ prefunded; (iii) €2,4 million related to prepaid expenses.
Shareholders’ equity of €21.7 million, including the net loss of the period of €49.2 million.
Provision amounting to €3.8 million including a provision for restructuring for €2.9 million related to the implementation of the restructuring plan. The provision amounted to €0.5 million as of December 31, 2024.
Financial liabilities amounting to €22.6 million (€31.0 million as of December 31, 2024).
Cash-flow items
The net cash flow used over the year ended December 31, 2025 amounted to €38.3 million, compared to a net cash flow used of €4.2 million for the year ended December 31, 2024.
The net cash flow used during the period under review mainly results from the following:
The Company's net cash flow used in operating activities increased by €45.9 million to €52.8 million for the year ended December 31, 2025 as compared to net cash flows used in operating activities of €6.9 million for the year ended December 31, 2024. In 2025, the net cash flow used in operating activities included the receipt of €6.5 million pursuant to a financing agreement with Natixis including the assignment of the Company's receivables with respect to future CIR payments (corresponding to the CIR for the financial year ending December 31, 2024 that will be paid in 2028). As a reminder, in 2024, the net cash flow used in operating activities included (i) the receipt of €29.5 million related to 2019 and 2020 tax credit refunds, (ii) the receipt of €8.6 million pursuant to a financing agreement with Natixis including the assignment of the Company's receivables with respect to future CIR payments (corresponding to the CIR for the financial year ending December 31, 2023 that will be paid in 2027), (iii) the receipt of €15.0 million in January 2024 following Sanofi's decision to exercise one of its two license option for an NK Cell Engager program in solid tumors, derived from the Company's ANKET® (Antibody-based NK Cell Engager Therapeutics) platform, pursuant to the terms of the research collaboration and license agreement signed in December 2022, (iv) the collection in May 2024 of €4.8 million (including value-added tax) the treatment of the first patient in the Phase 2 dose expansion part of the Sanofi-sponsored clinical trial evaluating NK Cell Engager SAR443579/ IPH6101 in various blood cancer. Excluding these specific effects, net cash flows used by operating activities for the year ended December 31, 2025 decreased by €4.7 million. This decrease is mainly explained by the decrease in the operating expenses.
Net cash generated in investing activities for an amount of €7.3 million, mainly included various non current financial assets sales for a total of €7.0 million to cope with Company dollars cash needs. As a reminder, the Company's net cash flows from investing activities for the year ended December 31, 2024 amounted to €9.2 million and included a €4.2 million of current financial instrument with a July 2024 fixed term and various non current financial assets sales for a total of €5.0 million to cope with Company dollars cash needs. These cash in were partially offset by acquisitions of property, plant and equipment and intangible assets for a net amount €0.4 million.
Net cash flows from financing activities for a positive amount of €6.1 million for the year ended December 31, 2025 as compared to a negative net cash flows from financing activities of €6.0 million for the year ended December 31, 2024. Loan repayments amounted to €8.9 million for the year ended December 31, 2025 as compared to €8.9 million for the year ended December 31, 2024. Receipts from capital transactions amount to €14.9 million in 2025 received from Sanofi, compared with €2.9 million in 2024 received from a new partner.

Lacutamab (anticorps anti-KIR3DL2) :
Lymphomes T cutanés
L’essai confirmatoire de Phase 3 prévu, TELLOMAK-3, est une étude ouverte, multicentrique, randomisée et comparative visant à évaluer lacutamab chez des patients atteints d’un syndrome de Sézary et d’un mycosis fongoïde ayant échoué à au moins une ligne préalable de traitement systémique.
L’essai TELLOMAK-3 comprend deux cohortes : une cohorte confirmatoire dans le syndrome de Sézary visant à soutenir une potentielle autorisation accélérée sur la base des données de l’essai de Phase 2 TELLOMAK, et une cohorte à visée d’enregistrement dans le mycosis fongoïde, visant à soutenir une autorisation complète. Le critère principal d’évaluation de l’étude, pour les deux cohortes, est la survie sans progression évaluée par revue centrale en aveugle.
Suite à la revue du protocole de l’essai confirmatoire de Phase 3 par l’agence américaine du médicament, la Food and Drug Administration (FDA) sans commentaires supplémentaires en novembre 2025, le lancement de l’étude est prévu au second semestre 2026.
La Société a reçu une réponse encourageante de la FDA concernant les résultats de l’essai de Phase 2 TELLOMAK ainsi que sur sa stratégie réglementaire, comprenant une potentielle autorisation accélérée dans le syndrome de Sézary, lorsque l’essai de Phase 3 sera en cours. En février 2025, Innate Pharma a reçu le statut de « Breakthrough Therapy » de la FDA pour lacutamab dans le syndrome de Sézary en rechute ou réfractaire.
L’essai de Phase 2 TELLOMAK est terminé et les patients traités continueront à recevoir lacutamab dans le cadre d’un accès post-essai clinique.
Lymphomes T périphériques
L'essai de Phase 2 KILT (anti-KIR dans les lymphomes T), un essai contrôlé randomisé mené par la Lymphoma Study Association (LYSA), évalue lacutamab en combinaison avec le régime de chimiothérapie GEMOX (gemcitabine en combinaison avec oxaliplatine) contre GEMOX seul chez des patients atteints de lymphomes T périphériques en rechute ou réfractaires exprimant KIR3DL2, est en cours.
IPH4502 (ADC anti-Nectine-4 à base d’exatecan) :
L’étude clinique de Phase 1 (NCT06781983) IPH4502-101, recrutant en France et aux Etats-Unis, évalue la sécurité, la tolérance et l'activité anti-tumorale préliminaire d’IPH4502 dans les tumeurs solides avancées connues pour exprimer Nectine-4, notamment le carcinome urothélial, les cancers du poumon non à petites cellules, du sein, de l’ovaire, gastrique, de l’œsophage ou colorectal.
Un premier patient a été traité en janvier 2025. La dose maximale tolérée est en cours d’évaluation et le recrutement des patients aux doses pharmacologiquement actives est en cours, notamment chez les patients atteints d’un carcinome urothélial en rechute ou réfractaire à enfortumab vedotin, ainsi que ainsi que certains types tumoraux sélectionnés. Une activité antitumorale préliminaire a été observée chez des patients lourdement pré-traités atteints de tumeurs solides avancées, avec un profil de tolérance favorable à ce jour.
Monalizumab (anticorps anti-NKG2A), en partenariat avec AstraZeneca :
L’étude de Phase 3 PACIFIC-9 menée par AstraZeneca évaluant durvalumab (anti-PD-L1) en combinaison avec monalizumab (anti-NKG2A) ou oleclumab (l’anti-CD73 d’AstraZeneca) chez des patients atteints d’un cancer du poumon non à petites cellules, de stade III, non opérable, qui n'ont pas progressé après une chimio-radiothérapie simultanée à base de sels de platine, est en cours. Le recrutement des patients est terminé et les données sont attendues au second semestre 2026.
Autres actifs au stade clinique
IPH5201 (anticorps anti-CD39, en partenariat avec AstraZeneca) : L’essai clinique de Phase 2 MATISSE évaluant IPH5201 en combinaison avec durvalumab et une chimiothérapie à base de doublets de sels de platine dans le cancer du poumon en traitement néoadjuvant est en cours et le recrutement des patients se poursuit, suite à une analyse intermédiaire d’efficacité pré-planifiée portant sur 40 patients. Ces résultats intermédiaires d’IPH5201 ont été sélectionnés pour une présentation orale lors d’une des sessions plénières dédiées aux essais cliniques au congrès annuel de l’Association Américaine de la Recherche contre le Cancer (American Association for Cancer Research - AACR), le 21 avril prochain.
IPH5301 (anticorps anti-CD73) : L’essai clinique de Phase 1 avec IPH5301 (CHANCES) en collaboration avec l’Institut Paoli-Calmettes est en cours.
IPH6101 (ANKET® anti-CD123, propriétaire) : Innate a repris les droits sur SAR’579/IPH6101 en juillet 2025. La Société a lancé une collaboration de recherche afin d’évaluer les prochaines étapes de développement.
IPH6501 (ANKET® anti-CD20 avec IL-2V, propriétaire) : L'essai clinique de Phase 1/2 visait à évaluer IPH6501 chez des patients atteints d’un lymphome non hodgkinien à cellules B. A l’issue de la phase d’escalade de dose, l’étude a été arrêtée dans le cadre de la priorisation stratégique du portefeuille de la Société. La présentation des données cliniques est attendue en 2026.
IPH6401/SAR’514 (ANKET® anti-BCMA, Sanofi) : Sanofi a annoncé dans une récente communication la dépriorisation de SAR'514, un NK cell engager trifonctionnel anti-BCMA. Sanofi conserve les droits exclusifs de développement et de commercialisation et les termes de l’accord restent en vigueur.

Comme annoncé précédemment, en ligne avec ses orientations stratégiques, la Société a restructuré son organisation. Les licenciements prévus dans le cadre d'un plan de sauvegarde de l’emploi, PSE, devraient être achevés en avril 2026. Le plan de sauvegarde de l’emploi a fait l’objet d’un accord majoritaire validé par la Direction régionale de l’économie, de l’emploi, du travail et des solidarité (DREETS) au cours du mois de décembre 2025.
Le programme At-The-Market (ATM) selon lequel Innate peut émettre auprès d’investisseurs éligibles un montant brut total allant jusqu'à 75 millions de dollars d'American Depositary Shares (« ADS ») est toujours en cours mais a été mis pause. Au 31 décembre 2025, aucune vente n’a été réalisée dans le cadre de ce programme. Au 31 décembre 2025, le solde disponible dans le cadre du programme At-the-market (“ATM”) d’avril 2023 est toujours de 75 millions de dollars.

Les éléments clés pour l’année 2025 sont les suivants :
Une situation de trésorerie, équivalents de trésorerie et actifs financiers s'élevant à 44,8 millions d’euros (m€) au 31 décembre 2025 (91,1m€ au 31 décembre 2024), incluant 10,5m€ d’instruments financiers non-courants (10,3m€ au 31 décembre 2024).
Au 31 décembre 2025, les dettes financières s’élevaient à 22,6m€ (31,0m€ au 31 décembre 2024). Cette évolution résulte essentiellement des remboursements d’emprunts.
Des produits opérationnels relatifs aux activités poursuivies s’élevant à 9,0m€ en 2025 (2024 : 20,1m€, -55,2%). Il s'agit principalement des revenus des accords de collaboration et de licence (2,8m€ en 2025 contre 12,6m€ en 2024, -77,9%), et du crédit d'impôt recherche (6,2m€ en 2025 contre 7,5m€ en 2024, -17,1%) :
Les revenus des accords de collaboration et de licence, qui correspondent principalement à la reconnaissance partielle ou intégrale des paiements reçus en relation avec les accords signés avec AstraZeneca et Sanofi. Ces revenus sont reconnus dès lors que l’obligation de performance de l’entité est satisfaite. La comptabilisation s’effectue à une date donnée ou est étalée dans le temps en fonction du pourcentage d'avancement des travaux effectués au titre de ces accords:
(i) Les revenus des accords de collaboration et de licence liés aux accords signés pour monalizumab ont diminué de 4,2m€, s’élevant à 0,2m€ en 2025 (4,4m€ en 2024). Au 31 décembre 2025, le revenu de cet accord est intégralement reconnu, il ne reste à ce titre aucun « Passifs de contrats courants » lié à ces études.
(ii) Les revenus liés à l’accord de collaboration de recherche et de licence signé avec Sanofi en 2022 s’élèvent au total à 0,4m€ au 31 décembre 2025 contre 2,1m€ au 31 décembre 2024. Suite à l'annonce par Sanofi en octobre 2024 de la restitution des droits relatifs à la seconde option mettant fin à la collaboration des travaux de recherche, le revenu de 1,7m€ alloué aux travaux de recherche à mener par la société a été reconnu intégralement en résultat au 31 décembre 2024. Le revenu relatif aux travaux de recherche sur la 1ère licence s'est élevé à 401 milliers d'euros au cours de l'exercice 2025 comme au cours de l’exercice 2024.;
(iii) Les revenus liés à l’accord de collaboration et de licence signé avec Sanofi en 2016 ont diminué de 4,0m€, et sont nuls au 31 décembre 2025. Innate a repris les droits sur SAR’579/IPH6101 en juillet 2025.
Le crédit d’impôt recherche (CIR) de 6,2m€ au 31 décembre 2025 (7,5m€ au 31 décembre 2024) soit une diminution de 17% liée à la diminution des dépenses éligibles au crédit d’impôt en mien avec la progression des programmes de recherche et avec l’application des nouvelles modalités de calcul définies par la dernière loi de finance.
Des charges opérationnelles avant dépréciation de 63,0m€ en 2025 (2024 : 71,7€, -12,1%) :
Les frais généraux se sont élevés respectivement à 19,7 et 19,4 millions d’euros pour les exercices clos aux 31 décembre 2024 et 2025. Ces dépenses ont représenté 27 % et 31 % des charges opérationnelles nettes pour les exercices clos aux 31 décembre 2024 et 2025. Les frais généraux comprennent essentiellement les frais de personnel non affectés à la recherche et au développement ainsi que des coûts de prestations de services se rapportant à la gestion de la Société. La baisse du poste entre 2024 et 2025 résulte cumulativement de (i) la baisse des dépenses de personnel notamment liée à la baisse de la charge des paiements en actions ; de (ii) la baisse des honoraires non scientifiques liée à la baisse des charges de recrutement et des coûts de maintenance de l’outil de levée de fonds “At-The-Market”.
Les dépenses de R&D des activités poursuivies se sont élevées respectivement à 52,0 millions d’euros et 43,6 millions d’euros pour les exercices clos aux 31 décembre 2024 et 2025. Ces dépenses ont représenté respectivement 73 % et 69 % des charges opérationnelles nettes relatives aux activités poursuivies pour les exercices clos aux 31 décembre 2024 et 2025. Cette évolution est principalement due à une diminution des dépenses directes de recherche et développement en ligne avec la maturité des programmes de développement clinique et à une diminution des dépenses indirectes de recherche et développement, principalement des frais de personnel et des amortissements et dépréciations.
Un résultat financier affichant un gain net de 4,8m€ en 2025 (2024 : un gain net de 2,1m€). Cette évolution résulte principalement de l'effet combiné de la charge liée à la revalorisation de la dette de collaboration libellée en dollars compensée par le produit issu des revalorisations de la trésorerie et des actifs financiers détenus en dollars.
Une perte nette de 49,2m€ en 2025 (2024 : perte nette de 49,5m€).

Revenus des accords de collaboration et de licence
Les revenus des accords de collaboration et de licence se sont élevés à 12,6 millions d’euros pour l’exercice 2024, contre 2,8 millions d’euros pour l’exercice 2025. Ces revenus résultent de la reconnaissance partielle ou intégrale des paiements reçus en relation avec les accords initiaux et avenants signés avec AstraZeneca en avril 2015 et octobre 2018, avec Sanofi en 2016 et 2022. Ces revenus sont reconnus dès lors que l’obligation de performance de l’entité est satisfaite. La comptabilisation s’effectue à une date donnée ou est étalée dans le temps en fonction du pourcentage d'avancement des travaux effectués au titre de ces accords.
Cette variation sur 2025 résulte principalement de :
Une baisse de 4,2 millions d’euros du montant reconnu en chiffre d’affaires au titre de l’accord sur monalizumab, s’élevant à 0,2 millions d’euros sur l’exercice 2025, à comparer à 4,4 millions d’euros pour l’exercice 2024. Au 31 décembre 2025, le revenu de cet accord est intégralement reconnu, il ne reste à ce titre aucun « Passifs de contrats courants » lié à ces études.
La reconnaissance du revenu de 1,7m€ en résultat au 31 décembre 2024 relatif au travaux de recherche prévu suite à l’exercice des options de licence pour un programme ANKET® en 2023 et finalement interrompus e 2024 suite à la résiliation de l’accord. En revanche ls travaux de recherche sur la 1ère licence se sont poursuivis au cours de l’exercice 2025 avec un revenu de 401 milliers d'euros, montant identique au revenu reconnu au cours de l’exercice 2024 ;
Une baisse de 4,0 millions d’euros du revenu lié à l’accord de collaboration et de licence de recherche avec Sanofi. La société a annoncé le traitement du premier patient dans la partie d’extension de dose de l’essai clinique évaluant SAR443579/IPH6101, matérialisant la progression de l’essai clinique développé par Sanofi vers la phase 2 dans divers cancers du sang.
Une baisse de 0,4 million d’euros du revenu lié aux refacturations de coûts de recherche et développement, s’élevant à 1,7 million d’euros au 31 décembre 2025, à comparer à 2,1 millions d’euros au 31 décembre 2024.
Financements publics de dépenses de recherche
Les financements publics de dépenses de recherche ont baissé de 1,3 millions d’euros, ou 17,1%, à 6,2 millions d’euros pour l’exercice 2025, à comparer à 7,5 millions d’euros pour l’exercice 2024. Au 31 décembre 2025, le solde est essentiellement constitué du crédit d'impôt recherche pour un montant de 6,2 millions d'euros pour un montant de 7,5 millions d'euros pour l’exercice 2024. La baisse du crédit d’impôt recherche résulte principalement (i) de la baisse des dotations aux amortissements suite à l’amortissement intégral des immobilisations incorporelles depuis l’exercice 2024 et la fin de période d’amortissement d’une partie du matériel de laboratoire, (ii) de la baisse des dépenses de sous-traitance éligibles suite à la baisse des charges sur les études cliniques en fin de processus et suite à la conduite d'étude clinique hors zone euro, (iii) de la baisse des charges de brevets suite à leur exclusion par la dernière loi de Finance applicable depuis février 2025.
Le calcul du crédit d’impôt recherche correspond à 30% des dépenses éligibles (nettes de subventions) de l’année fiscale.

Les dépenses de recherche et développement des activités poursuivies ont diminué de 8,4 millions d’euros, ou 16,1 %, à 43,6 millions d’euros pour l’exercice clos le 31 décembre 2025, comparé à un montant de 52,0 millions d’euros pour l’exercice clos le 31 décembre 2024. Cette baisse s'explique principalement par la diminution de 7,5 millions d'euros des dépenses de recherche et développement directes (cliniques et non cliniques). Les dépenses de R&D représentent respectivement 69,2 % et 72,5 % des charges opérationnelles relatives aux activités poursuivies avant dépréciations des exercices 2025 et 2024.
Les dépenses de recherche et développement directes ont diminué de 7,5 millions d’euros, ou 26,5 %, à 20,8 millions d’euros pour l’exercice clos le 31 décembre 2025, comparé à un montant de 28,3 millions d’euros pour l’exercice clos le 31 décembre 2024.
Cette diminution s'explique principalement par la diminution de 7,3 millions d'euros des dépenses relatives aux programmes cliniques de la Société. Cette baisse des dépenses relatives aux programmes cliniques s'explique majoritairement par (i) la baisse de 6,3 millions d’euros des dépenses relatives au programme IPH4502 suite à la diminution des activités de CMC et de toxicité partiellement compensées par l’augmentation des dépenses liées au démarrage progressif des activités cliniques; pour rappel ce programme est passé en clinique suite au premier patient dosé en janvier 2025, (ii) la baisse de 0,7 million d'euros des dépenses relatives au programme IPH5201 (anti CD39), (iii) la baisse de 0,5 million d'euros des dépenses relatives au programme Lacutamab dont l’étude clinique de phase 2 est en cours de clôture. La hausse de 0,4 million d'euros des dépenses relatives au programme IPH6501 est liée à la progression des activités cliniques ; pour rappel ce programme est passé en clinique suite au premier patient dosé en juin 2024.
Par ailleurs, au 31 décembre 2025, les dettes sur collaboration relatives à monalizumab et aux accords signés avec AstraZeneca en avril 2015, octobre 2018 et septembre 2020 s'élevaient à 38,2m€, contre des dettes sur collaborations de 48,6m€ au 31 décembre 2024. Cette diminution de 10,3m€ résulte principalement (i) des remboursements nets d’un montant de 4,8 millions d’euros effectués au cours de l'année 2025 à AstraZeneca relatifs au cofinancement du programme monalizumab, incluant l'essai de Phase 3 INTERLINK-1 lancé en octobre 2020 et PACIFIC-9 lancé en avril 2022, et (ii) de la diminution de l’engagement de collaboration d’un montant de 5,7 millions d’euros en lien avec les variations de change constatées sur la période pour la parité euros-dollars.
Les dépenses de personnel et autres dépenses affectées à la recherche et développement ont diminué de 0,9 million d’euros, soit 3,7 %, pour atteindre 22,8 millions d’euros pour l’exercice clos le 31 décembre 2025, comparé à un montant de 23,7 millions d’euros pour l’exercice clos le 31 décembre 2024.
Nous observons une diminution de (i) 1.6 millions d’euros du postes autres dépenses (principalement 1,3 millions d’euros sur le poste honoraires scientifiques et 0,3 millions sur le poste dépenses de propriété intellectuelle), (ii) la baisse de 0,6 millions d'euros du poste amortissements et dépréciations. Pour rappel ce poste se compose essentiellement de l’amortissement des actifs incorporels monalizumab (acquis auprès de Novo Nordisk), IPH5201 (anti-CD39 acquis auprès d’Orega Biotech) ainsi que l'amortissement des droits relatifs à monalizumab (voir Note 6) pour les exercices clos les 31 décembre 2025 et 2024. Enfin, (iii) la baisse de 1,0 million d’euros de frais de personnel (dont une baisse de 0,7 million d’euros des paiements en actions et une baisse de 0,3 million d’euros des salaires et traitements nette) est compensée par (iv) 2,3 millions d’euros de charges de restructuration liées à la mise en oeuvre du Plan de Sauvegarde de l’Emploi. Au 31 décembre 2025, le personnel, incluant les membres du comité exécutif, affecté à la recherche et développement s'élevait à 125 personnes, contre 139 au 31 décembre 2024.
Frais généraux
Les frais généraux des activités poursuivies ont diminué de 0,3 million d'euros, ou 1,6 %, à 19,4 millions d'euros pour l'exercice clos le 31 décembre 2025, contre 19,7 millions d'euros pour l'exercice clos le 31 décembre 2024. Les frais généraux représentent au total 30,8 % et 27,5 % du total des charges opérationnelles relatives aux activités poursuivies avant dépréciations pour les exercices clos les 31 décembre 2025 et 2024, respectivement.
Les dépenses de personnel qui incluent les rémunérations versées à nos salariés, sont en baisse de 0,6 million d’euros, ou 7,0 %, à 8,0 millions d’euros pour l’exercice clos le 31 décembre 2025, à comparer à un montant de 8,6 millions d’euros pour l’exercice clos le 31 décembre 2024. Cette baisse résulte principalement de la baisse des paiements en actions à hauteur de 0,7 million d'euros partiellement compensée par une hausse des salaires et traitements nette de 0,1 million d’euros. Au 31 décembre 2025, le personnel administratif, incluant les membres du comité exécutif, s’élevait à 38 personnes, contre 42 au 31 décembre 2024.
Les honoraires non scientifiques et de conseil se composent essentiellement des honoraires de commissariat aux comptes, d’expertise-comptable, juridiques et de recrutement. Le poste a diminué de 0,3 million d’euros, ou 9,9 %, à 3,0 millions d’euros pour l’exercice clos au 31 décembre 2025, à comparer à un montant de 3,4 millions d’euros pour l’exercice clos au 31 décembre 2024. Cette baisse résulte de la diminution des recrutements et de la baisse des coûts de maintenance de l'outil de levée de fonds "At-The-Market".
Les autres dépenses sont liées aux assurances, frais bancaires, frais de gouvernance, coûts d'entretien de nos locaux, licences informatiques et aux amortissements et dépréciations. Ces dépenses sont stables avec une baisse de 0,03 million d'euros ou 0,4 % et s’élèvent à 7,8 millions d'euros pour l'exercice clos le 31 décembre 2025, contre un montant de 7,8 millions d'euros pour l'exercice clos le 31 décembre 2024.
Résultat financier
Le résultat financier s’est traduit par un gain net de 4,8 millions d’euros en 2025 contre un gain net de 2,1 millions d’euros en 2024. Cette évolution résulte principalement de l'impact de change suite à l'évolution des taux de conversion en dollars. Le produit net relative aux réévaluations des postes en dollars s'élève à 3,2 millions d'euros au 31 décembre 2025 comparée à un produit net de 1,8 millions d'euros au 31 décembre 2024. La variation de 5,0millions d'euros est principalement liée à l'effet combiné de la charge liée à la revalorisation de la dette de collaboration libellée en dollars compensée par le produit issu des revalorisations de la trésorerie et des actifs financiers détenus en dollars. En dehors de l'impact de change, le résultat financier se compose (i) des intérêts perçus sur les placements financiers (gain net 1,3 millions d'euros en 2025 contre un gain net de 2,4 millions d'euros en 2024)), (ii) de la variation de juste valeur de certains instruments financiers (gain net de 0,7 millions d'euros en 2025 contre un gain net de 2,0 million d'euros en 2024), (iii) et des charges d'intérêts d'emprunt (perte nette de 0,4 millions d'euros en 2025 pour 0,4 millions d’euros en 2024).
Éléments de bilan
Au 31 décembre 2025, le montant de la trésorerie, des équivalents de trésorerie et des actifs financiers courants et non courants détenus par la Société s’élevait à 44,8 millions d’euros contre 91,1 millions d’euros au 31 décembre 2024. La trésorerie nette au 31 décembre 2025 (trésorerie, équivalents de trésorerie et actifs financiers courants moins passifs financiers courants) s’élevait à 25,5 millions d’euros (72,1 millions d’euros au 31 décembre 2024).
À la date de publication des états financiers et sur la base de ses activités, de ses projets et de ses hypothèses actuels, la Société estime que sa trésorerie et ses équivalents de trésorerie sont suffisants pour financer ses activités jusqu'à la fin du troisième trimestre 2026. Par conséquent, la trésorerie et les équivalents de trésorerie ne sont pas suffisants pour financer les activités pendant les 12 mois suivant la date de publication des états financiers. Ces conditions font peser une incertitude significative sur la continuité d'exploitation.
La Société a entrepris plusieurs initiatives simultanées afin d'assurer le financement de ses activités au cours de la période considérée et au-delà. L'une d'entre elles consiste à rechercher activement un partenaire avec lequel collaborer afin de financer ses activités.
La société a lancé plusieurs initiatives parallèles afin d'assurer le financement de ses activités, notamment par des financement non dilutifs, tels que des partenariats avec des laboratoires pharmaceutiques et des accords de monétisation de redevances (royalty financing), qui font actuellement l'objet de négociations.
Les autres éléments clés du bilan au 31 décembre 2025 sont :
Des passifs de contrat courant de 2,8 millions d’euros et des dettes sur collaboration de 38,2 millions d’euros (dont 31,7 millions d’euros comptabilisés en ‘Dettes sur collaboration – non courante’) correspondant à la partie du paiement initial reçu d’AstraZeneca non encore reconnue en résultat ou utilisée dans le cadre du co-financement du programme monalizumab avec AstraZeneca, incluant les essais de Phase 3 INTERLINK-1 et PACIFIC-9 ;
Des créances de 12,6 millions d’euros dont des créances courantes de (i) 12,4 millions d’euros comprenant un montant de 6,2 millions d’euros sur l’État français au titre du crédit impôt recherche pour l’exercice 2025 suite à la perte du statut de PME communautaire depuis l’exercice clos au 31 décembre 2023, (ii) 2,4 millions d’euros d’acomptes fournisseurs, (iii) 2,4 millions d’euros de charges constatées d’avance ;
Des capitaux propres s’élevant à (21,7) millions d’euros, incluant la perte nette de la période de 49,2 millions d’euros ;
Des provisions s’élevant à 3,8 millions d’euros et comprenant principalement une provision pour restructuration d’un montant de 2,9 millions d’euros suite à la mise en oeuvre d’un plan de sauvegarde de l’emploi. Le montant des provisions d’élevait à 0,5 millions d’euros au 31 décembre 2024 ;
Des dettes financières s’élevant à 22,6 millions d’euros (31,0 millions d’euros au 31 décembre 2024).
Flux de trésorerie
Au 31 décembre 2025, la diminution nette de trésorerie et équivalents de trésorerie a atteint 38,3 millions d’euros, à comparer à une diminution nette de trésorerie et équivalents de trésorerie de 4,2 millions d’euros au 31 décembre 2024.
Les flux de trésorerie de la période sous revue résultent principalement des éléments suivants :
La consommation de flux de trésorerie engendrés par les activités opérationnelles a augmenté de 45,9 millions d’euros pour atteindre un flux de trésorerie négatif (consommé) de 52,8 millions d’euros pour l’exercice 2025 en comparaison d’un flux de trésorerie négatif (consommé) de 6,9 millions d’euros pour les activités opérationnelles au cours de l’exercice 2024. Les flux de trésorerie nets générés par les activités opérationnelles en 2025 comprennent l’encaissement de 6,5 millions perçus de l'organisme de financement Natixis relatif au CIR 2024. Pour rappel, les flux de trésorerie consommés par les activités opérationnelles au titre de 2024 incluaient (i) l'encaissement de 29,5 millions d'euros reçus du Trésor public au titre des CIR 2019, 2020 et (ii) d'un encaissement de 8,6 millions perçus de l'organisme de financement Natixis relatif au CIR 2023, (iii) l'encaissement de 15,0 millions d'euros reçu de Sanofi en janvier 2024 suite à la levée d'option annoncée en décembre 2023, (iv) l'encaissement en mai 2024 d'un montant de 4,8 millions d'euros suite au traitement du premier patient dans la phase 2 d’extension de dose de l’étude menée par Sanofi et évaluant le NK Cell Engager SAR443579/ IPH6101 dans les divers cancers du sang. Retraités de l'ensemble de ces encaissements sur les deux périodes, les flux de trésorerie consommés par les activités opérationnelles au titre de l'exercice 2025 sont en baisse de de 4,7 millions d'euros. Cette baisse s'explique principalement par des décaissements moins importants en lien avec la diminution des charges opérationnelles de la Société.
Des flux de trésorerie nets consommés par les activités d’investissement pour l’exercice 2025 de 7,3 millions d’euros qui se composent principalement de cessions successives au cours de l'année d'instruments financiers pour un montant de 7,0 millions d'euros pour faire face aux besoins de trésorerie en dollars de la Société. Ces flux positifs ont été compensés par des investissements d'actifs corporels pour un montant de 0,1 million d'euros afin d'acquérir du matériel de laboratoire et de maintenir le parc informatique. Les flux de trésorerie nets consommés par les activités d’investissement pour l’exercice 2024 se sont élevés à 9,2 millions d'euros et se composaient principalement d'un encaissement de 4.2 millions d'euros relatif à un actif financier échu en juillet 2024 et de cessions successives au cours de l'année d'instruments financiers pour un montant de 5.0 millions d'euros pour faire face aux besoins de trésorerie en dollars de la Société. Ces flux positifs ont été compensés par des investissements d'actifs corporels pour un montant de 0,4 million d'euros afin d'acquérir du matériel de laboratoire et de maintenir le parc informatique.
Des flux de trésorerie nets encaissés par les activités de financement de 6,1 millions d’euros au 31 décembre 2025 contre une consommation de 6,0 millions d’euros au 31 décembre 2024. Les remboursements d’emprunts se sont élevés à 8,9 millions d’euros au cours de l’exercice 2025 contre 8,9 millions d’euros au cours de l’exercice 2024. La variation positive de 12.1 millions d'euros est essentiellement liée aux encaissements reçus suite à des opérations de capital. En effet, au cours de l’exercice 2025 ces flux comprennent l’investissement en capital reçu de Sanofi pour un montant net des honoraires décaissés de 14,9 millions d’euros. En 2024, les flux encaissés sont majoritairement expliqués par l'entrée au capital d'un nouveau partenaire pour 2.9 millions d'euros.

Les comptes consolidés au 31 décembre 2025 ont été arrêtés par le Conseil d’Administration le 25 mars 2026. Les procédures d’audit sur les comptes consolidés ont été effectuées. Le rapport de certification est en cours d’émission.
