$1.37 is the floor. It is what HUT, ABTC, the Trumps, and GRYP valued current share prices in the merger. Its also what the market is valuing shares at.

I could NOT believe doing the math it landed on $1.37 and it tied to the current share price exactly.

With that said, i have 1000 in cash sitting in my roth. Would you buy more today or wait post.merger

Revenue post merger:.

GRYP minted 334 BTC in 2024 before expanding their fleet in January 2025.

Post merger, with all miners operating, without buying anymore machines with the $220M raised for miners and btc purchases, and without btc price appreciation, btc production will be approximately 2600/annually or about $283,000,000 a year in revenue at current btc prices and total miners on hand.

This could increase to $500,000,000/annually adding miners along with btc price appreciation very quickly.

Expect revenue to increase SIGNIFICANTLY as ABTC ramps up post merger, rivaling MARA and RIOT as the largest miner in the world by 2026.

Price target value for currently issued shares of GRYP post merger - $6.00/share short term.

The value Hut and the Trumps are paying for GRYP is $1.37 a share.

Also worth mentioning:
HUT and ABTC have new offices in Dubai, a region with unlimited cheap energy access with vast resources and wealth with very favorable tax laws in cryptocurrency.

For anyone that is trying to understand the merger agreement (since everything I read is wrong or misleading....)

The 2% ownership for GRYP holders is on a FULLY DILUTED basis.

Class A shares fully diluted: 865,670,695

Class B shares full diluted: 3,973,148,493

ISSUED: 98,751,413
FULLY DILUTED: 4,838,819,188

Where does the 2% come from?

98,751,413/4,838,819,188= 2.0%

Where does the merger amt of 1.23B come from?

.25/share * 4,838,819,188 + 98,751,413 = 1.23B

Where does the 78.6 to 1 come from?

4,937,570,601 GRYP shares divided by 61,502,954 ABTC full diluted shares (in which 11,002,954 are issued and 50,500,000 ARE NOT)

Where did the 11,002,954 shares from ABTC come from?

That is exactly the amount they exchanged for the $220,000,000 to purchase miners, bitcoin, and use for working capital purposes.

NOTE: ABTC did a 220M capital raise BEFORE going public through the merger with GRYP.

Sp when people posting saying "You'll own only 2%" that is correct, but that is for the holders of what is currently issued on a FULLY DILUTED basis - if they issued every share available.

My math
What is currently issued from GRYP is 98,751,413. What is issued from ABTC is 11,002,954 is more like 9 to 1.

The merger is estimated at 1.23B in the filing, divided by 9 = $136M.

136,000,000 divided by 98,751,413 = $1.37/share.

Closing price yesterday was $1.37 a share.

Buying today you are buying Pre-Merger at ZERO premium. Other news outlets value this merger as high as $3B.

When it comes to ownership of the newly formed entity, shares ISSUED (not full diluted), GRYP holders of stock currently will own approximately 11.11% of ABTC post merger. It will only decrease if they issue more shares down the road.

HUT will be majority owner, contributing their mining equipment to the new entity.

Post Merger, Day 1, ABTC will be the 3rd or 4th largest BTC miner in the world with approximately 75,000-80,000 BTC miners. $220M in cash on hand to buy more miners and btc outright, and $35M in bitcoin.

Gryphon Digital Mining (NASDAQ:GRYP) has announced the establishment of a strategic Bitcoin reserve program as part of its capital strategy. Respectfully. I have never bought into this a stock must fill the gap business. Nobody has ever been able to explain why? I'm all ears. I'll I've ever been told is that it must. Never has made sense to me.
