$DUKR On June 7, 2026, the Board of Directors (the “Board”) of Duke Robotics Corp. (the “Company”) approved the appointment of Mr. Yiftach Kleinman as the Company’s Chief Executive Officer, effective upon the commencement of his employment with the Company, which is expected to occur no later than September 8, 2026. Upon effectiveness, the Board will relieve Mr. Yossi Balucka from his role as Chief Executive Officer of the Company. Mr. Balucka will continue serving as the Company’s President.
Mr. Kleinman, age 56, has served as Chief Executive Officer of SpearUAV since June 2023. Prior to joining SpearUAV, Mr. Kleinman served in various executive leadership positions at Rafael Advanced Defense Systems Ltd., including Deputy General Manager, Subsidiaries, Mergers & Acquisitions from June 2019 to June 2023 and Director of Marketing and International Business Development from May 2010 to June 2019. Mr. Kleinman holds a Master of Business Administration with a specialization in International Marketing and a Bachelor of Science in Business Administration with a specialization in Marketing from the University of Manchester.

$DUKRD Some here can't deal with both the good and bad news of this Duke management team. Have you talked to them recently? Doubt it, they don't acknowledge retail investors, and resist adopting the norms of commercial services company. They seem to have an identity crisis; they cling to being a military company (yet failed to execute on some of the best drone tech circa-2016, and that tech is now widely duplicated and faces strong competition). While they cling to military secrecy for their communications, they say they are going to take over the HUGE MARKET for Utility Commercial Drones, but they are a complete unknown to the Utility industry, since they make very few communications. Duke has JUST 1 Commercial Contract, for IC Drone, and that is with some insiders AFAICT. Yes, they made some progress this year, but most of it is vaporware...has anyone seen the actual license to allow Duke to operate drones in Greece? Anyone seen any detailed info of the drone pilots they say they have vetted and signed up? Ever seen a photo or address of the Greece operations office? It all sounds good, but there is little verification. You would think they would be proud to show off their progress. The market likes verification...let's hope for more verification being shown of their 'plans'. I might buy more shares then; as I've relayed in previous messages, I sold most of mine in the $0.40s. (pre-split)

Duke Robotics trades at approximately $18 million market capitalization after completing a 25-for-1 reverse stock split in early March 2026 - a move typically associated with preparing for exchange uplisting. The valuation gap in the drone sector is stark: on the same day Duke announced its million-dollar contract, Ukrainian drone software company Swarmer (NASDAQ:SWMR) debuted on Nasdaq and surged to nearly $700 million market capitalization despite reporting just $310,000 in revenue for all of 2025 - less than one-third of Duke's single IEC contract.
Three developments converged within five days: the DOE announced $1.9 billion in grid infrastructure funding on March 12, Duke completed its reverse split on March 12, and Duke announced the million-dollar IEC contract expansion on March 17. Duke's CEO called 2026 "a major potential commercial inflection point" as the company scales operations.
The company now operates across defense technology generating royalties from active combat deployments, civilian infrastructure contracts with expansion underway in Greece, NDAA compliance efforts targeting U.S. market entry, and a new AI monitoring platform launched in February. The $1 million IEC contract and federal infrastructure spending suggest the company may be hitting its stride at a moment when both defense procurement and grid modernization are accelerating priorities.

. On March 10, 2026, we entered into an additional Warrant Amendment Agreement with the Investors pursuant to which we extended
the term of the warrants, to expire on May 1, 2031.
That hurts retail investors. Keeps the money for the insider crew...I believe this management team is not transparent...that doesn't mean we may not make money on the stock, the price may still pump, but I would be cautious.
THE ISSUE is that this management team never EXECUTES...the business plan keeps being pushed out...the PROMISE of lucrative markets is dangled, but then revenues rarely come, and they are subpar. 1 CUSTOMER, 1 CONTRACT for TIKAD that earns retail investors a pittance. This all started for TIKAD around 2016-2018 (10 years ago!!!), and their lack of execution on monetizing TIKAD is pathetic. Good luck! Hope you get out with a small profit.

Why can't they find anyone else to be a customer?? A bit inept? They have also used the excuse of war in Gaza for the millionth time, that their business may be affected...but they've had YEARS to setup an office for IC Drone business operations in Greece, or even move the HQ of Duke to another country not affected by war...but still haven't executed. This story is moving into the 'somewhat unbelievable' category, for what is made out to be a group of very good businessmen. Thoughts?
P.S.- If IC Drone is such great technology, and the business case for cleaning electric grid infrastructure is SO MASSIVE AND RIPE, then why can't they find any customers? These 2 contracts with IEC just seem like 2 good business associates(I expect the management of IEC and Duke have a decades long relationship in the Israeli tech scene), scratching each others backs, and not any proof of any real movement forward for the DUKE business. While they push out Warrant Expiration for their investors, further pushing out any real gains for retail investors, but preserving the promise of big gains for insiders, while management receives more shares/options yearly, and salaries. This isn't good for retail investors...
