Trafficmaster Plc ("Trafficmaster") notes the recent fall in its share price and
press speculation.


Trafficmaster announced on 25 February 2004 that it had received a letter from
ITIS Holdings plc ("ITIS") reserving the right to take legal action in respect
of an independently researched report by Ian Catling which compared unfavourably
the quality of the traffic information provided by ITIS' website with that
produced by Trafficmaster's website.

The report entitled "A Study of Traffic Information Fidelity" was commissioned
by Trafficmaster, as disclosed in the executive summary.  The findings of the
report were compiled completely independently and are based on a methodology
devised by Ian Catling Consultancy.

Furthermore Trafficmaster has taken legal advice on this matter, undertaken its
own comparisons with respect to ITIS' traffic information, and in an attempt to
resolve this matter indicated to ITIS it was willing to obtain a further
independent report paid for by the two companies jointly using an agreed expert
and methodology.  To date ITIS has not taken up this offer.  Notwithstanding
this offer Trafficmaster is firmly of the view that it has no case to answer and
will vigorously defend any possible action.

As announced on the 18 March 2004, in its preliminary results release,
Trafficmaster successfully moved back into profit in the periodending 31
December 2003 and has made significant progress across all four of its trading
divisions.  Smartnav has become the UK's largest selling aftermarket satellite
navigation system and is now recommended by 14 motor manufacturers and the
Trackstar, Teletrac and the UK Traffic Information trading divisions all
performed strongly in 2003.  In January 2004 Trafficmaster repaid early the $15
million Teletrac bonds, generating an exceptional profit of $3 million and
saving annual interest costs of approximately #800,000.

Trafficmaster believes its profitable position in the future key market segments
within telematics is unique.  2004 has started strongly and Trafficmaster views
the future with confidence.
