                       ("Griffin Group" or "the Company")

                            Directors' Shareholding

Griffin Group was informed on 11 June 2004 that on that date Global Investments
Limited ("Global") acquired 600,000 Ordinary Shares for 5.25p each. Global now
holds 6,000,000 Ordinary Shares, representing 15.2% of the Company's issued
ordinary share capital. Global is the trustee of a trust in which Stephen Dean,
the Chairman of the Company, has a discretionary interest.

The Company was also informed on 11 June 2004 that on that date Vince Nicholls,
Director, acquired 200,000 Ordinary Shares for 5.25p each. Mr Nicholls now holds
600,000 Ordinary Shares, representing approximately 1.5% of the Company's issued
ordinary share capital.
