Long-Term Incentive Plan 
 
The Company announces details of Awards in the form of options with an exercise 
price of GBP1 per exercise (whether on exercise of the entire Award or any part 
of it) over 6,989,470 ordinary shares of 5p each made on 14 April 2010 under the 
Costain Group PLC Long-Term Incentive Plan.  The Awards can only be exercised on 
the achievement of specified performance conditions after the end of the 
Company's financial year ending 31 December 2012.  Awards were made to the 
following Executive Directors:
