                    Completion of Shares for Debt Settlement

Mano River Resources Inc. (the "Company") announces that it has completed the
issuance of 2,819,397 new common shares at a price of GB#0.025 per share in
settlement of debts of GB#70,484.89 as originally announced on August 15, 2003,
and owed to a number of parties, the majority of whom reside in the United
Kingdom. Of these shares 1,447,221 were issued to insiders of the Company and
will be subject to a four month hold period which expires on January 16, 2004.
In addition, 60,478 shares, which were issued to a British Columbia resident,
will be subject to a twelve month hold period ending September 16, 2004.

The 2,819,397 new shares are expected to be admitted to trading on AIM on 19
September 2003.

Further re: Appointment

Further to the announcement on 31 July 2003 of the appointment of Jonathan
Challis as a non-executive Director, pursuant to rule 15 of the AIM Rules, the
Company confirms that Mr Challis holds and has held within the last five years
the following directorships:
