Dear All,

Hope you had a good weekend! Here's an update on what's been happening with OSC and the steps we have taken in the last few days :

1. We submitted draft Q3 interim filings to the OSC.
2. We submitted a draft news release to OSC announcing refiling of Q1 and Q2 financial statements and MD&As.
3. We submitted a personal information form of our director.

We received a letter from OSC on Nov 2, 2023. In that letter :

1. OSC had a comment about some funds in the Ukraine and it's accessibility.
2. OSC directed that we get our Q3 interim filings reviewed by the Audit Committee before the OSC reviews it.
3. OSC directed that we get our Q3 interim filings reviewed by the CFO before OSC reviews it.
4. OSC directed that we amend our draft press release and provide more information on what was specifically amended in our Q1 & Q2 filings.
5. OSC directed that we share a copy of the letter with the Audit Committee and our response to their comment mentioned in point one.
6. OSC directed that we share a copy of the letter with our Auditors and our response to their comment in point one.

Steps completed :

1. We drafted our response to their comment about funds in Ukraine and it's accessibility.
2. The Audit Committee is reviewing the interim filings.
3. CFO has reviewed the interim filings.
4. We will share an amended draft press release with OSC today. After it is approved, we will file Q1 and Q2 documents on SEDAR+.
5. A copy of the OSC letter and our response to their comment has been shared with the Audit Committee.
6. A copy of the OSC letter and our response to their comment has been shared with our Auditors.

We will follow up with the Audit Committee and expedite the review process.

As you can see it's not a one step process to get the halt lifted. I really wish it was but that's not how it works.

We understand that it's been a very long time, we do not deny that.
But you need to see that we are working very hard to get this sorted with the OSC. And I hope that this message gives some clarity and is helpful in a small way.

My understanding is they will be doing more advertising and promotion. This is while they are working with OSC to get the CTO lifted. I think getting the trading ban lifted is going to be pivotal in launching KarmaCard.

"Bridge" simply means that they are bringing other projects forward before "KASH" in order to have revenue until the stock trading is released again.

Good to hear some movement and focus on business.

Even though trading is still suspended, hard work is underway on new strategies to tide us over, generate revenue and, yes, somewhat save the world.

Not sure what tide over means; any thoughts?

The Company continues to develop its Kash 2.0 product which includes six modules:

We are still waiting for OSC to respond. Our legal counsel will follow up to get an update.
Per our earlier product announcements we are currently in Alpha phase until February. This is an internal testing period in which we test each module prior to opening the product to users in private Beta prior to launch. Right now we are testing core modules: debit cards and decentralized exchange. In February we will be testing the cash back and donation system. We are also building a referral system as part of our marketing strategy. We will open up our private beta as soon as cards are ready so that we can get user feedback and improve the product prior to launch.

We received questions from the OSC about Canadian users on the Kash platform and what features and functionality are available for the Canadian market. We plan to launch Kash 2.0 in the Canadian market after we complete a successful review in the Canadian regulatory sandbox. In any case, our initial target market is the United States market and we are on track to release our Alpha version by December 31 and public launch in March and will be opening to beta testers on our waitlist in February. Our Canadian legal counsel, which has experience with OSC matters, will be sending a letter of clarification to the OSC on Monday. We hope to resume trading again after their review unless they have additional questions.
