$uwn US Supreme court gave the "ok" for sports betting. There really is no way to know how the needle will move politically in Washington state -- but given there has been a fair number of cardroom closures in Washington in past couple years, I could see the legislature allowing sports betting in cardrooms resulting in a boost for Nevada Gold's main business. This potential should also be calculated into any sale price; and management's decision whether or not to sell

$uwn As a shareholder--seeing that UWN is poised for a solid year-- I am in no hurry for management to sell. Right price--OK, but otherwise: hold off a year. There is a reason UWN is being pursued for purchase now: their books are solid--they are nearing point of having to stockpile cash as they are close to the minimum amount allowed for their bank loan. Looks like others in the industry see this as well-- and want to use last year's EBITA to determine sale price, and downplay the obvious positive growth EBITA heading forward.

Nevada Gold & Casinos, Inc. (NYSE MKT: UWN) today announced that effective December 31, 2018, Nevada Gold & Casinos LV, LLC, a wholly-owned subsidiary of the Company (“NGC LV”), completed the sale of substantially all of their assets related to Club Fortune Casino located in Henderson, Nevada (“Club Fortune”) to Truckee Gaming, LLC (“Truckee”). The sale was effected pursuant to a previously announced Asset Purchase Agreement dated as of June 26, 2018 (the “Asset Purchase Agreement”), by and among Truckee, NGC LV, and the Company.

The purchase price was approximately $14.65 million, subject to certain post-closing purchase price adjustments, including a post-closing working capital true-up. A portion of the purchase price was used by the Company to pay in full the outstanding principal and other amounts due under the Company’s credit agreement with Mutual of Omaha Bank.
