Pilot program with Salamanca City Central School District marks major step for education technology
LAS VEGAS, June 24, 2026--(BUSINESS WIRE)--Realbotix Corp. (TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Company"), a leading developer of humanoid robots and AI systems, has launched Optio, its AI teacher's assistant, in a pilot program at Salamanca City Central School District on the Seneca Nation Reservation in New York. As part of the initiative, the district is also deploying a Realbotix M-Series humanoid robot to enhance interactive classroom engagement and demonstrate embodied AI in education.
Optio is Realbotix's AI-powered teacher's assistant and at-home tutor, designed to extend learning beyond school hours. Students interact with personalized avatars trained in district curriculum, delivering educationally regulated support, concept reinforcement, individual tutoring, and 24/7 homework support across multiple languages. The platform provides scalable AI assistance for both students and educators while strengthening credibility for AI, robotics, and STEM education.
The Salamanca pilot also includes deployment of a Realbotix M-Series humanoid robot, which uses natural conversation, facial expressions and real-time interaction to create engaging, hands-on learning experiences. The robot aims to encourage student participation and provide early exposure to emerging technologies.

Transaction to take Realbotix LLC, a premier social humanoid robot company, to the Nasdaq
LAS VEGAS, May 19, 2026--(BUSINESS WIRE)--Realbotix Corp. (TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Parent Company"), a leading AI humanoid robot manufacturer for social tasks, is pleased to provide an update on its previously announced transaction to list Realbotix LLC ("RealLLC" or the "Subsidiary"), a wholly owned subsidiary of Realbotix, on the Nasdaq Capital Market via a reverse takeover transaction with Onconetix, Inc. (NASDAQ: ONCO) ("ONCO").
The proposed transaction will result in the robotics and AI business of RealLLC to be listed on Nasdaq, with the Parent Company (Realbotix) maintaining a 75–90% ownership stake. No action is required by existing Realbotix shareholders as there are no changes to the structure of the Parent Company. The transaction is expected to close by October 2026.

(TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Company"), a leading human-centric AI and humanoid robot manufacturer, announces it is relocating its robotics operations to a new facility in the Las Vegas corridor to support the next phase of growth and scaling. The Company has taken possession of the new leased facility and is expected to complete its relocation by the end of June 2026. Realbotix will exit its previous location as part of this transition by the end of July.
The new space is designed to improve assembly capacity, streamline workflows across engineering and production teams, and support increased unit output as Realbotix continues expanding deployments across enterprise and commercial applications. The transition is expected to be completed by the end of June 2026.

(TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Company"), a leading human-centric AI and humanoid robot manufacturer, today announced that it has successfully closed the previously announced sale of the Tokens.com domain portfolio to Bed Bath & Beyond, Inc. for total consideration of US$2.245 million.
The transaction represents the monetization of non-core digital assets and does not involve the transfer of any operating businesses, intellectual property, or liabilities of the Company. The assets carried no value on the Company’s balance sheet, making the transaction fully additive from a financial perspective.
"Closing this transaction strengthens our balance sheet at an important moment as we continue scaling the Realbotix platform and expanding commercial deployments of our humanoid robots," said Andrew Kiguel, Chief Executive Officer of Realbotix. Under the terms of the agreement, Realbotix received US$1,500,000 at closing, with additional payments of US$372,500 due on or before August 31, 2026, and US$372,500 due on or before January 31, 2027.

Realbotix provided a default status report under National Policy 12-203 – Management Cease Trade Orders ("NP 12203") in connection with its previously announced management cease trade order (the "MCTO"). As disclosed in the Company’s news release dated January 29, 2026, the Ontario Securities Commission granted the MCTO on January 30, 2026 (the "MCTO News Release") due to a delay in filing the Company’s audited annual financial statements for the year ended September 30, 2025, together with the related management’s discussion and analysis and CEO and CFO certifications (collectively, the "2025 Annual Filings").

NEWS -- Realbotix Corp. Announces the Sale of Realbotix, LLC Subsidiary to a NASDAQ Listed Issuer
LAS VEGAS, February 12, 2026--(BUSINESS WIRE)--Realbotix Corp. (TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Parent Company"), a leader in AI-powered humanoid robots, announces it has entered into a definitive agreement with Onconetix, Inc (NASDAQ: ONCO) ("ONCO"), pursuant to which ONCO will acquire 100% of Realbotix, LLC ("RealLLC" or the "Subsidiary"), a wholly owned subsidiary of Realbotix in an all-stock transaction.
RealLLC is a Nevada based wholly owned subsidiary of Realbotix. RealLLC focuses on the research, development, design and manufacture of AI-powered humanoid robots for use by commercial clients in consumer facing roles such as customer service, healthcare, education, hospitality and entertainment. RealLLC’s operations and assets include the Realbotix’s robotics engineering team, the AI software development team, certain robotics patents and IP related to Realbotix’s robotics business.
RealLLC is a leader in embodied and physical AI with its patented technologies enabling lifelike expressions, vision, and social interaction. Transaction Highlights
Under the terms of the agreement, signed February 11, 2026, ONCO will issue common stock to Realbotix in exchange for 100% ownership of RealLLC. In consideration, Realbotix will receive a variable percentage of ONCO’s common stock, ranging from 75% to 90% of the fully diluted capital structure immediately following the closing. The final ownership split will be determined by a sliding scale based on the net cash held by ONCO at the time of closing, which is subject to certain minimum working capital requirements. Additionally, Realbotix will maintain the right to appoint four out of five directors to the ONCO board of directors subsequent to the transaction.
Currently, Realbotix has two main subsidiaries, each with a different focus. RealLLC, described above, and Abyss Creations, which is a direct to adult consumer business. Each subsidiary currently has its own teams, accounting and banking. RealLLC will continue to have a B2B focus on customer service, hospitality, healthcare and entertainment. Realbotix, the Parent Company, will continue to operate Abyss Creations and own a controlling block (described above) in ONCO once the transaction closes. Abyss Creations, owned by the Parent Company, will maintain its focus on hardware and AI for companionship and wellness targeted to adult consumers via direct sales.

The agreement was signed February 11, 2026.
The transaction is expected to close before the end of Q3 2026. Realbotix will hold a call on February 13th at 2:00 p.m. EST to discuss the transaction and provide an update, including the status of the 2025 financial statement audit, to shareholders and interested parties.
The Transaction is an arm's length transaction (as defined in the policies of the TSX Venture Exchange) and remains subject to the final approval of the TSX Venture Exchange and approval of the ONCO stockholders.
In addition, Realbotix has issued to Scott Meyers, Realbotix's new Chief Financial Officer, 150,000 options at C$0.32 to purchase common shares of Realbotix. The options are exercisable over a three year period and vest as to one third every twelve months following the date of grant. The options expire five years following the date of grant.

Realbotix Corp. (TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) (“Realbotix” or the “Company”), a leader in AI-powered humanoid robots, announced today that it has entered into a definitive asset purchase agreement dated January 7, 2026, pursuant to which the Company has agreed to sell the Tokens.com domain portfolio to Bed Bath & Beyond, Inc. (the “Buyer”) for a total consideration of US$2.245 million.
“Monetizing these legacy digital assets allows us to strengthen our balance sheet while maintaining full strategic focus on our core AI and humanoid robotics initiatives,” said Andrew Kiguel, CEO of Realbotix.
The sale constitutes a disposition of non-core assets and does not involve the transfer of any operating businesses, intellectual property, or liabilities of the Company. In addition, the assets do not carry any value on the balance sheet of Realbotix, thus, this is a purely additive transaction.
The transaction includes the sale of the Tokens.com domain name together with related domain assets, including TokensArt.com, TokensGaming.com, TokensTrade.com, and TokensTrading.com. The transaction is expected to close on or about April 1, 2026, subject to customary closing conditions.
Payment terms for the domains will be schooled via a payment of $1,500,000 at Closing on April 1, a payment of $372,500 by August 31, 2026 (the “First Tranche Payment”); and (4) Payment of $272,500 on or before January 31, 2027.
In addition, further to the Company's press release dated January 28, 2026, the Company wishes to clarify that the management cease trade order granted by the Ontario Securities Commission does not constitute an extension of the statutory filing deadline. NEWS -- Realbotix Granted Extension for Filing 2025 Audited Financial Statements
LAS VEGAS, January 29, 2026--(BUSINESS WIRE)--Realbotix Corp. (TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Company"), a leader in AI-powered humanoid robotics, announces that the Ontario Securities Commission (the "OSC") has accepted the Company’s request for an extension to file its audited annual financial statements for the year ended September 30, 2025 and granted the Company a management cease trade order (the "MCTO") under National Policy 12-203 – Management Cease Trade Orders ("NP 12-203").
The Company applied for the extension and MCTO because, as previously announced, it will be delayed in filing its audited annual financial statements for the year ended September 30, 2025, the related management's discussion and analysis, and the CEO and CFO certifications (collectively, the "Annual Filings") by January 28, 2026.

NEWS -- Realbotix to Release its 2025 Audited Year End Financial Results on or before February 28, 2026
LAS VEGAS, January 26, 2026--(BUSINESS WIRE)--Realbotix Corp. (TSX-V: XBOT) (Frankfurt: 76M0.F) (OTC: XBOTF) ("Realbotix" or the "Company"), a leader in AI-powered humanoid robots, today announced that it expects to complete and file its annual filings for the fiscal year ended September 30, 2025 (the "2025 Annual Filings") on or before February 28, 2026.
As the 2025 Annual Filings are expected to be filed following the prescribed filing deadline of January 28, 2026. The Company has applied for a filing extension with the Ontario Securities Commission (the "OSC") along with a management cease trade order (the "MCTO"). The MCTO will prohibit trading in the securities of the Company by the Chief Executive Officer and the Chief Financial Officer until the 2025 Annual Filings have been filed. The OSC has not yet rendered a decision on the Company’s application.
The Company does not anticipate any material changes to previously disclosed financial or operational information. There are no material unresolved matters in connection with the preparation of the 2025 Annual Filings, and the Company is working diligently to complete the filing process within the extended requested timeframe.
The 2025 Annual Filings will consist of: (a) the audited financial statements of the Company for the year ended September 30, 2025; (b) the management’s discussion and analysis for the year ended September 30, 2025; and (c) the certifications of the Chief Executive Officer and Chief Financial Officer pursuant to Section 5.1 of National Instrument 52-109 – Certification of Disclosure in Issuers’ Annual and Interim Filings.
During the period of default and until the filing of the 2025 Annual Filings, the Company intends to satisfy the provisions of the alternative information guidelines as required by National Policy 12-203 – Management Cease Trade Orders. The Company’s management and other insiders are subject to a trading blackout in accordance with the principles set out in Section 9 of National Policy 11-207 – Failure-to-File Cease Trade Orders and Revocations in Multiple Jurisdictions.

This demonstration showcases the autonomous nature of Realbotix robots and their ability to improvise a conversation using Realbotix’s proprietary AI software, running entirely on-device with proprietary models.
