Mr. Schranz has worked on several large projects including roles as technical project manager at South32's Roosevelt Project, consultant for Kinross at the Kettle River-Curlew Project, senior geologist and director of technical services at Scout Discoveries Corp, and ore control geologist at Hecla Mining Company's Fire Creek Mine.

Paramount Gold Grassy Mountain Gold Project Federal Approval

Provenance would like to congratulate Paramount Gold on the recent signing of a Record of Decision (ROD) on January 29th by the Bureau of Land Management for their Grassy Mountain Project located to the south of Provenance's Eldorado project, both in Malheur County. The ROD for the Grassy Mountain Gold Project is the federal approval that completes the NEPA environmental review and allows the project to advance from permitting into a construction-ready, "shovel-ready" stage on federal lands, and paves the way for additional development of mining projects on federal lands in eastern Oregon.

Core Assays

The Company is awaiting assay results for six diamond core holes recently completed at Eldorado East. Core drilling focused primarily on the new discovery area at Herman (see Press Release dated November 5, 2025) as well as a previously unexplored area between zones 2 and 3 in the Tyee area. As of this date, assays remain pending for this core drilling program and will be released once received and reviewed.

Options

In connection with this appointment, the Company has issued 1,250,000 options exercisable at $0.30 per share that vest 20% every six months and exercisable for four years.

Provenance Discovers New Mineralized Zone at Herman Assaying 5.94 g/t Gold Over 19.81m within 1.56 g/t Gold Over 254.51m From Surface: Extending Mineralization to the South

(CSE: PAU) (OTCQB: PVGDF) ("Provenance" or the "Company") is pleased to announce assay results from the third hole of the Company's first step-out drilling in the Herman Area at its Eldorado Gold Project in eastern Oregon.

Hole ED29 was drilled southwestward from the Herman area into a previously undrilled region, approximately 50m to the south of ED27 (see press release dated October 8, 2025). ED29, hosted in both diorite and mixed metasediments, exhibited strong gold mineralization throughout its entire length and ended in strong mineralization at a depth of 254.51m (Table 1). ED29 continues to expand a new feeder zone found 800 meters to the south of Zone 1 (Figure 1-2), additionally discovering a new high-grade zone at its southernmost extent which is believed to be part of a new feeder system.

Current Exploration

Drilling is ongoing with assays from 7 RC holes pending from Zones 3-4 in the Tyee Area and the Herman Area. At Herman, the drilling tests the newly discovered mineralized contact zone between the diorite intrusive complex and the host metasedimentary rocks. In addition, 3 diamond core holes are pending in the Herman Area with a focus on extending mineralization towards the south and southwest. These core holes will provide key information about the geological controls and structural details of the mineralization. All mineralized zones at Eldorado West remain open in all directions.

PROVENANCE GOLD SUBSTANTIALLY EXPANDS ITS ELDORADO FOOTPRINT CREATING A DISTRICT PLAY OPPORTUNITY AND ACQUIRES HISTORICAL HIGH-GRADE PROSPECTS WITHIN THE LAND PACKAGE

May 8, 2025 - Provenance Gold Corp. (CSE: PAU) (OTCQB: PVGDF) (the "Company" or "Provenance") is pleased to announce a significant expansion of the land package at the Eldorado project in eastern Oregon through a combination of staking and an option agreement that increases the size of the package by 4529.25 acres (18.33 km2). The total area of the Eldorado package is now approximately 5670 acres (22.95 km2) and covers a district-scale land position in highly prospective geology.

Acquisition Highlights

The Company has been granted an option to acquire 100% of the Sunday Hill Property on the terms outlined below, through an option agreement encompassing 10 mineral claims covering 198.4 acres (0.80 km2) (Figure 1).
The historical Sunday Hill Mine located within the Sunday Hill Property, was drilled and re-evaluated by Capri Resources in the 1980’s. Capri reported a near-surface gold-bearing zone averaging 23.15 g/t gold with a historical resource of 231,000 tons. The zone was reported to be within 10.7 meters of the surface, 7.6 meters thick, widening to 18.3 meters at its deepest underground exposure, 61 meters down dip (Hogg, 1927). The gold horizon remains open in all directions (Castleon Summary Report., 1993)1.
Additionally, the historical Randall Mine which reportedly hosts another near-surface open-ended gold zone containing a historical resource of 207,000 tons at a grade of 8 g/t gold, is located 500 meters south of the Sunday Hill gold deposit (Report on the Sunday Hill and Adjacent Mines, Malheur County Oregon, F. Holcapek Professional Engineer, May, 1935). A historical surface soil map prepared by Capri shows a gold enriched soil zone that connects the Sunday Hill and Randall deposits and extends beyond the edge of the soil grid.
The above referenced resource estimates for mine sites on the Sunday Hill Property are considered historical in nature, are based on prior data prepared by a previous property owner, and do not conform to current CIM categories. While the Company considers the estimates to be reliable, a qualified person has not done sufficient work to classify the historical estimates as current resources in accordance with current CIM categories and the Company is not treating the historical estimates as a current resource. Significant data compilation, re-drilling, re-sampling and data verification may be required by a qualified person before the historical estimates can be classified as current resources. There can be no assurance that any of the historical mineral resources, in whole or in part, will ever become economically viable. In addition, mineral resources are not mineral reserves and do not have demonstrated economic viability. The Company is not aware of any more recent estimate prepared for the Sunday Hill Property.
Capri reported that in 1926 “a weighted average for 21 samples of 5.75 g/t gold” was sampled across a 1189 by 152-meter area of altered diorite that is located proximal to the Sunday Hill and Randall Mines (PR by Capris Resource Ltd. April 4,1984).
Staked 285 Bureau of Land Management (BLM) mineral claims covering 4330.85 acres (17.53 km2) known as Eldorado East, approximately 5 km east of the core Eldorado property (Figure 1).
Staked 14 Bureau of Land Management (BLM) mineral claims covering 260 acres (1.05 km2) approximately 1 km northeast of the core Eldorado property (Figure 1).
Historical reports dating back as early as the 1920s and 1930s report numerous locations and zones of strong gold mineralization including projected bulk-tonnage mineralization across the new claims, extending far beyond Sunday Hill.
Historical geological studies reported that the historic mines and prospects across the new claim area hosted high-grade mineralization in strongly altered diorite, and also in the metasedimentary rocks adjacent to the diorite. Geologists and miners at the time were looking for high-grade underground deposits but described pervasively mineralized diorite over extensive areas.
The numerous historical mines, prospect pits and evidence of intense wide-spread historic placer mining across the expanse of this new acquisition area testify to the major potential of this new acquisition and solidify Provenance’s position as an early key player in this new district.

Provenance Gold Commences 2025 Drilling Program at the Eldorado Project in Eastern Oregon

Vancouver, British Columbia--(Newsfile Corp. - April 24, 2025) - Provenance Gold Corp. (CSE: PAU) (OTCQB: PVGDF) (the "Company" or "Provenance") is pleased to announce the commencement of the 2025 phase 1 drilling program with the mobilization of an RC drill rig to the Eldorado project, located in Eastern Oregon. The staged drilling campaign will build on the foundation established by 241 historic drill holes and Provenance's 14 drill holes to date. This year's program will focus on expanding the open-ended gold system and gaining a deeper understanding of the mineralized structures of the area including significant step-outs.

Provenance's initial 2023 and 2024 drilling identified an area of significantly stronger mineralization than was previously recognized on the property. This newly identified area contains widespread gold mineralization that starts at surface and extends to more than 200 meters in depth and remains open to depth. This year's drilling campaign will aim to build upon the success of the 2023 and 2024 drilling programs by further defining the structure of the gold system and expanding its footprint across the property.

The initial drill holes for the first phase of the 2025 RC drilling will focus on expanding the mineralized zone intersected by Provenance's drill holes ED-04, EC-02, and EC-03. The first phase of the 2025 drilling campaign will utilize a Boart Longyear reverse-circulation (RC) drill rig and is fully funded. The second phase will introduce a core drill rig to complement the program's objectives. Provenance is confident that this year's drill program together with other exploration activities will continue to expand the footprint of the Eldorado gold mineralization.

Provenance Gold Announces the Addition of Mackenzie Watson, a Canadian Mining Hall of Fame Inductee and Co-Recipient of the Prospectors and Developers Association of Canada (PDAC) Bill Dennis Award, to the Advisory Board

(CSE: PAU) (OTCQB: PVGDF) (the "Company" or "Provenance") is pleased to announce the addition of Mackenzie ("Mac") Watson to the advisory board as senior exploration advisor. Watson brings over 50 years of experience in the Canadian exploration, mining and development industry and has been involved in the discovery of numerous mineral deposits in Canada.

Watson graduated with a B.Sc. in geology from the University of New Brunswick in 1959. Watson was awarded Canada's Prospector of the Year award in 1991 for his involvement in the discovery of the Holloway Gold Mine (Ontario). Freewest Resources, of which Mac was President, sold its thirty-five (35%) interest to Noranda for $100 million. Mac also discovered or assisted in the discovery of the Icon-Sullivan copper mine (Chibougamau, Quebec) the Long Lake zinc mine (Ontario), the Ellison gold deposit and the Hebecourt copper deposit (Quebec). In l992, he was also awarded the Quebec Prospector of the Year award for the discovery of the Pusticamica and Verneuil gold deposits in Quebec.

Watson is a Canadian Mining Hall of Fame Inductee and two-time co-recipient of the Prospectors and Developers Association of Canada (PDAC) Bill Dennis Award, for a Canadian discovery or prospecting success, and his contributions, among others, to the mineral discoveries in the Ring of Fire area of Northern Ontario, Canada. Watson is the first person to have received the Bill Dennis prospecting success award twice: for numerous discoveries in 1991; and in 2009, as part of the team responsible for chromite discoveries in the Ring of Fire by Freewest Resources, which was sold to Cliff Natural resources for $239 million. His success owes much to his tenacity and thoroughness as a geologist and zest for mining discoveries.

Vancouver, British Columbia--(Newsfile Corp. - February 28, 2025) - Provenance Gold Corp. (CSE: PAU) (OTCQB: PVGDF) (the "Company" or "Provenance") is pleased to report assay results for EC-02 and EC-03 at its Eldorado Gold Project in Malheur County, Oregon. EC-02 and EC-03 tested the NE-SW mineralized structure previously discovered in ED-04 in the Tyee Area. (see press release dated July 18, 2023).

Hole EC-02 intersected 156 meters that assayed 0.501 g/t gold including 32 meters of 0.94 g/t gold.
Hole EC-03 intersected 154 meters of 0.8 g/t gold, including 13.7 meters that assayed 3.02 g/t gold and 12.2 meters containing 2.57 g/t gold, which represent new high-grade zones. This newly recognized higher-grade area is open both down dip and in both directions.
The results from EC-02 and EC-03 are consistent with the presence of the broad mineralized zone found in RC hole ED-04 and support the model that the NE-SW mineralized structure is a significant gold bearing structure, punctuated with multiple higher-grade intervals approximately 25m in true thickness (Figures 1-2). The mineralization remains open in all directions.

As part of its maiden 2024 three-hole core drilling program, the Company drilled holes EC-02 and EC-03 (HQ) to depths of 156.4 meters and 200.6 meters, respectively. Drill equipment issues and difficult drilling conditions through the heavily faulted, fractured, and brecciated zones in this area resulted in significant loss of core and both holes were unable to reach the intended target depth. Given the nature of the core loss, it is suspected that the assay results from EC-02 and EC-03 underrepresent the coarse gold fraction that was seen in ED-04. The strongest gold values are typically associated with gold and pyrite fracture coatings in the heavily fractured and sheared host diorite. Further, around holes ED-04, EC-02 and EC-03, the breakage and core loss were preferentially along the mineralized fractures associated with the weakest and most erodible rock that hosts the majority of the gold mineralization, based on observation and historic studies.

The Company has gained valuable insight into the orientation of the gold bearing structures by drilling these two core holes. The results from holes EC-02 and EC-03 support the interpretation that the structure remains coherent and is open both down-dip and along strike. These findings further validate the continuity of gold mineralization within the diorite, potentially extending along a structure that continues through the Tyee Area and beyond. This continues to expand the exploration potential for the upcoming 2025, 10,000+ meter drill program.

2025 Planned Exploration

The 2025 10,000+ meter combination RC and diamond drill program is planned to be multi-staged and start with a fully funded RC program anticipated to commence in March.

Further work over the past several months has identified multiple additional key target areas across the property. The 2025 drill program will target the four northeast-trending mineralized zones of higher-grade mineralization that traverse the property including the main Tyee Area, the Expansion Area to the north, Striker and Boulder Targets to the west, and the Herman Area to the south (Figure1). Detailed surface mapping and geophysics support the preliminary modeling. The pending 3D Drone Magnetic survey will also help to further guide drilling and exploration into many of these high priority areas.

The program will begin to infill and expand the known mineralized areas which can be traced for several hundred meters in both northeast and southwest directions. This infill and step-out drilling will be accompanied by additional drilling to test multiple highly prospective targets across the property in addition to the Boulder Target approximately 1000m from the Tyee Area.

Further drill pad sites to access newly recognized targets are being added to the 17 drill pad locations that are currently permitted. The program is planned to start on the currently permitted locations and to transition to new sites without interruption as the Company looks to greatly expand the mineralized footprint in 2025.

To facilitate timely results for the 2025 assaying that will be used to continuously focus drill targets and drill hole placement, the 2025 assays will be completed by Paragon Geochemical of Sparks, Nevada. Additionally, the Company plans to utilize photon assaying which utilizes bigger samples for better accuracy. Initially, the photon assaying will be coupled with standard fire assays to ensure reliability and precision.

2024 Quality Assurance and Quality Control

On receipt from the drill site, the HQ-sized drill core was systematically logged for geological attributes, photographed and sampled at Provenance's core logging facility. Sample lengths as small as 0.45 m were used to isolate features of interest, otherwise a default 1.52 m downhole sample length was used. Each sample is identified by a unique sample tag number which is placed in the bag containing the core to be assayed. Once logged, the core was transported to ALS Global in Reno, Nevada, for cutting and assaying.

Once at ALS Global in Reno, the core was cut in half lengthwise along predetermined lines, with one-half (same half, consistently) collected for analysis and one-half stored as a record.

Gold was determined by fire-assay fusion of a 30-gram sub-sample with atomic absorption spectroscopy (AA23) or 30-gram sub-sample with gravimetric finish for samples assaying over 10 g/t Au (GRA21). 36 elements including silver, arsenic, and antimony are analyzed by inductively-coupled plasma (ICP41) atomic emission spectroscopy, following multi-acid digestion. ALS Global meets all requirements of International Standards ISO/IEC 17025:2017 and ISO 9001:2015. ALS Global operates according to the guidelines set out in ISO/IEC Guide 25.

The entirety of the hole was sampled (231 samples) with average sample lengths of approximately 1.45m each.

I'm hoping not just Hole 1 is, but those other recent one are as well. I believe I heard the CEO say in a video or two they have proven the historical 2 million average but are waiting to do the 43-101 because they don't want people thinking locked in on 2 million so my thinking is they think its more, maybe multiples( 2X/3X) of that ?

I don't know how many holes they have to drill to back up an estimate they have but if it's total estimate is more than 2 million ounces this will get exciting at some point.

Shares of Aurelian Resources Inc. jumped Thursday after the company announced a friendly takeover offer from Kinross Gold Corp.

Aurelian shares ended the trading day at $6.31, up $1.86. The stock had hit an intraday high of $7.50.

Earlier, the companies unveiled the all-stock deal valued at about $1.2 billion. Based on recent trading prices, the offer values Aurelian at $8.20 a share.

Each Aurelian share will be swapped for 0.317 of a Kinross common share, plus 0.1429 of a five-year warrant entitling the holder to acquire one Kinross common share at $32.

Kinross said it expects to issue approximately 47 million common shares under the deal, representing approximately eight per cent of Kinross's current outstanding common shares.

Kinross shares finished the day at $18.70, off $2.14.

Aurelian's main property is the Fruta del Norte discovery in south-eastern Ecuador. The company said in October 2007 that the property held an estimated 13.7 million ounces of contained gold and 22.4 million ounces of contained silver.

However, the situation for mining companies in Ecuador is unclear. Earlier this year, the country's government imposed a six-month moratorium on mineral exploration while it developed new mining rules.

The move prompted a sharp drop at the time in the share prices of companies involved in mining there, although they did recover some ground after the president of the South American nation tried to reassure investors that "responsible" mining would be permitted to go ahead.

TORONTO, Dec. 08, 2021 (GLOBE NEWSWIRE) -- Kinross Gold Corporation (TSX:K; NYSE:KGC) (“Kinross” or the “Company”) is pleased to announce today that it has entered into a definitive agreement (the “Agreement”) with Great Bear Resources Ltd. (TSX-V:GBR) (“Great Bear”) to acquire all of the issued and outstanding shares of Great Bear through a plan of arrangement (the “Transaction”).

Through the Transaction, Kinross will acquire Great Bear’s flagship Dixie project located in the renowned and prolific Red Lake mining district in Ontario, Canada. The Dixie project is one of the most exciting recent gold discoveries globally and extensive drilling results have shown the characteristics of a top tier deposit.

Under the terms of the Transaction, Kinross has agreed to an upfront payment of approximately US$1.4 billion1 (C$1.8 billion), representing C$29.00 per Great Bear common share on a fully-diluted basis. The upfront payment will be payable at the election of Great Bear shareholders in cash and Kinross common shares (“Kinross shares”), subject to a pro-ration, up to aggregate maximums of 75% cash and 40% Kinross shares on a fully-diluted basis. The Agreement also includes a payment of contingent consideration in the form of contingent value rights that may be exchanged for 0.1330 of a Kinross share per Great Bear common share, providing further potential consideration of approximately US$46.0 million1 (C$58.2 million) based on the closing price for a Kinross share on the Toronto Stock Exchange (“TSX”) on December 7, 2021. The contingent consideration will be payable in connection with Kinross’ public announcement of commercial production at the Dixie project, provided that at least 8.5 million gold ounces of measured and indicated mineral resources are disclosed.

Strategic rationale for acquisition

The Dixie project has excellent potential to become a top tier deposit that could support a large, long-life mine complex and bolster Kinross’ long-term production outlook.
Kinross envisions a mine complex with an initial quality, high-grade open-pit mine, with potential upside for a longer-term, sizeable underground operation.

About the Dixie project

The Dixie project is located 25 kilometres southeast of the town of Red Lake, Ontario and comprises 91 square kilometres of contiguous claims. The project is in a well-established mining camp, is close to skilled labour and a paved highway and provincial power lines run parallel to the property. The property also hosts a network of well-maintained logging roads which facilitate year-round access to the site.

The Dixie project has significant exploration upside potential, with 80% of the property unexplored. The project hosts a prolific gold system and has high-potential mineralized zones remaining open along strike and at depth, with multiple avenues to unlock potential. To date, Great Bear has completed more than 340,000 metres of drilling in 794 drill holes and has identified five high-grade gold discoveries. Great Bear’s positive and exciting drilling results show consistently wide mineralized intercepts defining large continuous zones with predictable high-grade components.

The most significant discovery to date at Dixie is the large-scale “LP Fault” zone, which is comprised of continuous wide, moderate grade mineralization along with subparallel high-grade gold lenses, forming a broad 200 to 400 metre wide envelope of stacked zones, hosted in metamorphosed felsic volcanic and sedimentary units. LP Fault zone drilling has identified gold mineralization along 10.8 kilometres of strike length down to a depth of 786 metres and remains open along strike and at depth. A subsection of the LP Fault zone measuring approximately 4.6 kilometres on strike and to a depth of 500 metres has been the focus of drilling to date at approximately 50 to 150 metre drill spacing. The LP Fault zone has similar geological features to the large Hemlo deposit, which has produced more than 20 million ounces of gold and has been operating continuously for more than 30 years.

The nearby “Hinge,” “Limb,” “Midwest” and “Arrow” gold zones are more characteristic of mineralization at mined deposits in Red Lake, and comprise high-grade gold-bearing quartz veins and silica-sulphide replacement zones hosted by metamorphosed mafic volcanic units.

Great Bear has reported that 80% of its drill holes into the LP Fault, Limb and Hinge zones contain visible gold mineralization, with gold occurring mainly as free gold that is not bound to, nor within, sulphide minerals. Initial metallurgical test work has indicated excellent recoveries at all of the mineralized zones identified which are amenable to conventional flowsheets.

Kinross next steps and financing

Upon completion of the Transaction, Kinross plans to undertake a comprehensive exploration and development program at the Dixie project. The program aims to support Kinross’ vision of a large, long-life mining complex, which includes an initial quality, high-grade open-pit mine and potentially, a longer-term, sizeable underground mine. The Company’s three-pronged plan to demonstrate the project’s overall longer-term potential and value includes:

Rapidly advancing exploration activities at the LP Fault zone, including 200,000 metres of planned drilling in 2022. (See Appendix A: Figure 3 for a long section of the LP Fault zone).
In parallel, continuing exploration outside the Central area of the LP Fault zone, which remains open along strike and at depth. Kinross plans to continue to test the depth extent of the LP Fault zone to understand its potential to support a sizeable and long-life underground operation.
At the same time, Kinross expects to opportunistically explore the Red Lake-style satellite deposits, including definition drilling at the Limb, Hinge and Midwest high-grade targets, along with high-potential new discoveries. The Company also plans to maintain regional claims in good standing and elevate some areas to drill target status.
Kinross expects to finance the acquisition with existing liquidity, which at September 30, 2021, included cash and cash equivalents of US$586.1 million and a US$1.5 billion revolving credit facility. In 2022, the Company expects to enhance its total return of capital to shareholders from its current quarterly dividend and ongoing share buyback program.

Sustainability and First Nations

Upon closing of the Transaction, Kinross will continue to honour the exploration agreements signed with the Wabauskang and Lac Seul First Nations who have traditional territorial claims in the area. Kinross had a constructive first meeting with the Chiefs of both First Nations and looks forward to building positive and strong relationships with their communities through meaningful dialogue and consultation.

Kinross recognizes that respect, collaboration and consideration for First Nations is central to the Company’s license to operate in the area and will prioritize developing the project in a manner that honours Indigenous rights and brings long-term socio-economic benefits to the area. Consistent with how Kinross develops all of its projects around the world, the Company is committed to ensuring that its operations leave a lasting and positive legacy and will take a life of mine approach to the design and planning of the project to minimize environmental impacts.

The Dixie project is located in a province with a low-carbon energy grid that supports Kinross’ goal of being a net-zero GHG emissions company by 2050. Kinross will also plan to incorporate energy-efficient initiatives as it develops the long-term project, including evaluating electric and hydrogen fuel fleets. The Company expects that the GHG emission intensity per-ounce-produced profile of a potential operation at Dixie could lower Kinross’ overall global metric.

Agreement details and timing

The Transaction will be carried out by way of a court-approved plan of arrangement under the Business Corporations Act (British Columbia) and will require approval by 66 2/3% of the votes cast by Great Bear shareholders and 66 2/3% of the votes cast by Great Bear security holders (including holders of Great Bear options, restricted share units and deferred share units) at a special meeting expected to be held in Q1 2022 and a simple majority of the votes cast by Great Bear security holders, excluding certain persons required to be excluded in accordance with Multilateral Instrument 61-101 of the Canadian Securities Administrators.

Under the terms of the Transaction, Great Bear shareholders will receive upfront consideration of US$1,421.9 million1 (C$1,800.1 million), representing C$29.00 per Great Bear common share on a fully-diluted basis. Great Bear shareholders will be able to elect to receive the upfront consideration as either (i) C$29.00 in cash or, (ii) 3.8564 Kinross shares per Great Bear share, both subject to pro-ration. The upfront consideration will be subject to maximum aggregate cash consideration of US$1,066.2 million1 (C$1,350.1 million) (representing 75% of the upfront consideration) or maximum aggregate shares issuable of 95.8 million2 (representing 40% of the upfront consideration on a fully-diluted basis2), depending on the election of Great Bear shareholders. Great Bear shareholders who do not elect cash or Kinross shares will be deemed to have elected to receive cash, subject to pro-ration.

Great Bear shareholders will also receive one contingent value right per Great Bear common share, providing for further potential consideration equal to 0.1330 of a Kinross share per Great Bear common share which represents US$46.0 million1 (C$58.2 million) in aggregate consideration, or C$1.00 per Great Bear common share, on a partially-diluted3 basis (based upon the closing price of a Kinross share on the TSX as at December 7, 2021). The contingent consideration will be payable in connection with Kinross’ public announcement of commercial production at the Dixie project, provided that at least 8.5 million gold ounces of measured and indicated mineral resources are disclosed.

The Board of Directors of Kinross have unanimously approved the Transaction. The Board of Directors of Great Bear have unanimously approved the Transaction, with Great Bear directors recommending that Great Bear shareholders vote in favour of the Transaction.

Each of the directors and senior officers of Great Bear, and certain shareholders of Great Bear, representing in aggregate approximately 20% of the issued and outstanding Great Bear common shares, have entered into voting support agreements with Kinross and have agreed to vote in favour of the Transaction at the special meeting of security holders of Great Bear to be held to consider the Transaction.

In addition to Great Bear security holder approval, the Transaction is subject to normal course regulatory approvals and the satisfaction of customary closing conditions. Subject to the satisfaction of these conditions, Kinross expects that the Transaction will be completed in Q1 2022.

Kinross and Great Bear have provided representations and warranties customary for a transaction of this nature and Great Bear has provided customary interim period covenants regarding the operation of its business in the ordinary course. The Agreement also provides for customary deal-protection measures, including non-solicitation covenants on the part of Great Bear and a right to match in favour of Kinross. Great Bear may, under certain circumstances, terminate the Agreement in favour of an unsolicited superior proposal, subject to a termination payment by Great Bear to Kinross.

Provenance Gold Closes Over-Subscribed Private Placement





October 11, 2024 – Provenance Gold Corp. (CSE: PAU) (OTCQB: PVGDF) (the “Company” or “Provenance”) is pleased to announce that it has closed the final tranche (the “Final Tranche”) of its previously announced non-brokered private placement (the “Offering”) for gross proceeds of $1,466,500. The Company received strong interest in the Final Tranche of the Offering, and ultimately it was over-subscribed.

Upon closing of the Final Tranche, the Company issued 18,331,250 units (each, a “Unit”) at a price of $0.08 per Unit. Each Unit consists of one common share of the Company and one share purchase warrant (each, a “Warrant”), with each Warrant entitling the holder to purchase one additional share at a price of $0.12 until October 9, 2027.

In connection with closing of the Final Tranche, the Company paid $12,810 and issued 160,125 Warrants to certain arms-length brokerage firms that assisted in introducing subscribers to the Offering. The Company confirmed to the Canadian Securities Exchange there was no undisclosed material information and received confidential price protection in a filing submitted on September 20, 2024. Gold In The Ground Is Still Cheap!

Yes, while gold above ground is currently trading at a not-bargain $2,670 level… there are many instances of gold in the ground trading at still-cheap levels. I’m talking $10 per ounce in the ground… $5 per ounce in the ground… and sometimes cheaper.

Take the following examples, each of which are gold companies that myself and my subscribers own shares in:

Provenance Gold Corp. (PVGDF – USA / PAU – Canada)
Provenance is an emerging gold mining company which owns the flagship Eldorado project in eastern Oregon, USA. Eldorado is unique in that it has three historical resource estimates which were produced by previous owners in the 1980’s – 1990’s. The average of the three historical estimates place Eldorado at 2.2 million ounces of gold in the ground at a grade of 0.76 g/t. Eldorado would be an open-pit mine where it is economic to mine such grades.

The market cap of Provenance today? $14 million US dollars.

This means that each ounce of gold in the ground is currently being valued at $6.30! This is an absurdly low figure when we consider that gold above ground is trading for $2,670.

What more, Provenance has just completed its first reverse-circulation drill program which confirmed many of the historical grades found on the resource estimates. Two of the most spectacular holes were 118.8 m of 3.27 g/t gold and 114.3 m of 3.08 g/t gold.
