In regard to the new compensation plan just announced -
Netlist obviously has some very intelligent and talented people working there. To attract the best talent, a company has got to offer employee's good wages and perks. Since Netlist hasn't been making a great amount of revenue due to the infringement and theft of their IP, they have been using shares to do this. Yes, it hurts shareholder value. Yes, the compensation plan just announced earmarks 33.6M authorized shares, to be given out as compensation and performance awards to employees.
But these shares will not be just given out all at once.
The shares used for this are being separated and put in a little "cubby", away from the rest of the authorized shares (Netlist described this as "reserved"). When there are compensation and performance awards due to be given out, the employee's are NOT GIVEN SHARES. They are given Restricted Share Units (RSU's) that represent the share award.
These RSU's have "vesting" periods. This means that the RSU's cannot be used as shares all at once. They can only be turned into shares in accordance with the "vesting schedule". In the past, this vesting schedule was yearly (stretched out over 4 years) and the RSU's were able to be turned into actual shares on each one year anniversary of when the award was given out (representing a 25% vesting schedule).
It's only when those RSU's became actual shares that they became outstanding and dilutive.
So if (as I suspect) the same vesting schedule is in place, this 33.6M share compensation plan adds A MAXIMUM of roughly a little over 8M (8.4M) shares per year to the OS base. This is hypothetical, but that only happens if NLST grants 100% of the plan over the 4 years. It could very well be less.
IF things go well for NLST in the next year or three (and dependent on the size of monetary awards won by Netlist), I think it's likely that Hong will consider a sizeable share buy back at some point. That's just pure speculation on my part, but if Netlist suddenly becomes "cash rich", a share buyback would be a powerful tool to use.
RSU based compensation is VERY COMMON and is one of the most widely used equity compensation tools amongst public companies. Amazon, Microsoft, Apple, Facebook, Google and Nvidia are just some of the many companies that use RSU compensation plans.
The bottom line is that RSUs are very common, especially in tech and growth sectors. If you look at any S&P 500 proxy statement, you’ll find RSUs in the executive compensation tables.
Netlist is not unusual — RSUs are the norm.
