Myrexis Inc (EM) (MYRX)

That's interesting. I just went back to take a quick look but I didn't save the file and couldn;t find it in the SEC filings I purused through, yet what I did see had shown that reduced number. Maybe it was under a different filing for Couchman as opposed to the Myrexis. Anyhow, even with 633k +/- Enzon Shares that's only about 0.8% of the outstanding ENZN prior to recent events. More concerning is why after all these years hasn't he found suitor for the NOL's, is he not looking, what's he waiting for?

The Federal NOL’s are still good for awhile:

At June 30, 2013 the Company had total federal and state tax net operating loss (“NOL”) carry-forwards of approximately $147,177,000, of which $17,491,000 is attributable to excess tax benefits for which no deferred tax asset has been established. If not utilized, the federal NOL carry-forwards will expire beginning in 2030 through 2033, and the state NOL carry-forwards will expire beginning in 2025 through 2028. The Company had approximately $3,006,000 of federal research tax credit carry-forwards, which can be carried forward to reduce federal income taxes. If not utilized, the federal research credits will expire beginning in 2030 through 2033. Additionally, the Company had approximately $1,066,000 of Utah research tax credit carry-forwards, which can be carried forward to reduce Utah income taxes. If not utilized, the Utah research tax credit carry-forwards will expire beginning in 2024 through 2027

Where did you see a filing that Myrexis only has 40k shares of $ENZND? Per the merger filings, Couchman and entities still owned over 10% of Enzon (prior to the closing of the merger)

There's nothing to substantiate the life span of the NOL's that I found other than going back and researching the dates they were from in greater detail. Maybe you have that information? If so, please delineate here on this forum it so others can understand their limitations.. However, on another note I did check Myrexis' holding of Enzon Pharmaceuticals (Viskase Holdings, Inc. (ENZN, ENZND)) and I noticed Couchman's filing shows Holdings of which Myrexis Owns but somehow (unexplained) the amount of shares were greatly reduced from Ownership of over 633,000 ENZN Shares to just 40,000 ENZN Shares. So where did the 593,000 ENZN Shares Go To ?
I don't like thinking this but due to their disappearance without explaination it's possible Couchman Is Committing a Crime... Is he? I believe all who hold shares deserve to be treated fairly and honestly and not taken advantage of. Besides this issue there's been nothing shown for Myrexis in many years. Maybe you have some other information?? Also in your opinion Will Couchman ever do anything for us Shareholders so we can finally realize something from all we've been through as Myrexis Bagholders?

I believe I've read the time limit for realizing the NOL's have Expired. If so, would the entire kit and caboodle of "inbound interest from other companies along with occasional outbound discussions" be in the raw shell itself?

What can this be worth to us Peons holding onto this Petunia for a decade?

My hopes definitely have not died for $MYRX. I’ve heard that the CEO continues to get inbound interest from other companies along with occasional outbound discussions. I strongly believe the company will acquire a profitable company, hopefully sooner than later. I think the CEO is doing the right thing by waiting for the right deal to come along, even if it takes longer than expected.
Yes I still own 4.74%. Wish I was allowed to buy more. Congrats to the investors that were able to grab shares between .0001 - .0066 this week.

Not yet. NOL’s start to expire in 2029 - 2033. Also, a profitable company could get the previous two years of paid taxes refunded back to them. We still have some time left. The CEO has apparently received quite a few offers but is waiting for the right deal to come along. In my opinion, I think an acquisition could happen before the end of next year

Good news. $MYRX

Someone talked to the CEO a few weeks ago. Sounds like quite a few companies are interested in a deal. He doesn’t want to do a deal with just any company. They have also been reaching out to other companies as well. There was no deal with any company at that time. That is the only reason he was able to talk.
At least we know the company is actively pursuing a deal.

I was trying to figure that out too. This happened after $SESN news yesterday about possibly selling the company. Maybe Couchman will use $MYRX to acquire $SESN for tax free income for if/when Vicineum is approved.
MYRX owns a decent chunk of ENZN shares of which gets royalty payments from SESN. Who knows though lol.

I really do think Couchman is going to utilize the $147 million NOL’s here. He owns 20% of MYRX and he is currently using it as a holding company per last years filings. We could be in for a surprise if we find out that MYRX already has holdings in various life sciences assets. The only reason we know that MYRX owns ENZN is because Couchman owns over 10% of ENZN. If he owned only like 4% of ENZN then we would never know about MYRX owning ENZN.

I really do think $1+ is possible for $MYRX if they become pink current and we find out that the company has or is in the process of buying profitable life sciences assets.

Time will tell. Nice to see a .04 buy today. Since only accredited investors can buy this right now, it makes me wonder who is buying and why.

$MYRX - .033 x .035 last day to buy this one till if/when it becomes pink current. Interesting how the ask disappears and becomes the new bid with no shares being traded. Someone has bought a lot of this lately. Makes me think it will be a hot commodity at some point.

Another 75k shares sold at .027 bid and the bid still holds. Someone has bought a lot of shares at .027 the last week or so

I think some people are using Interactive Brokers to buy dark stocks till September 28. You should call them to verify then open up an account to buy some $MYRX. Might be able to get some cheap shares over the next couple weeks.
Sorry, I want to keep my shares. I really like the potential here. $ENZN could do quite well once Icahn and crew find a profitable company to merge into it. $MYRX then would automatically do well since it owns a nice chunk of $ENZN shares.

Yeah, buy orders are restricted now through most brokers. Some smaller ones will let you buy still.
I really do think Couchman will bring it current. He has two phenomenal directors on the $MYRX board with histories of mergers. Steven Scheiwe is also on the $COOP board and was involved with the biggest NOL merger ever. He is also a SEC approved audit committee financial expert.
Private companies want to merge into stocks like this so they can be publicly trading as well as utilizing the NOL’s. It would defeat the purpose if he just let this go to the grey market. Couchman also owns 20% of this so it would be in his best interest to bring it current.
He could also go pink limited if he wanted to if he wanted to save money.

But yeah, someone sold 110k shares yesterday and it never took out the small 10k bid. There must be a large order to fill at .027 bid that we can’t see.

So now they've restricted Buy Orders, it's sell only for this at most Brokerage firms? Is Couchman now collecting up these shares so he can go on his merry way with all the assets including the NOL's? ? Seems someone is buying... that's what makes up a market. The SEC isn't being fair and in fact hurting Investors with situations such as this.

Yes I am still bullish. I strongly believe CEO Couchman has plans to acquire a profitable company through MYRX. He has done it in the past. I just hope that Couchman has already submitted filings so that they show up by the deadline. I think there will be some really good deals on this stock this week. I believe the bid/ask is .027 x .03 I own the maximum amount of shares that people are allowed to own.

Steven Scheiwe is still a director at the company. He is a director at $COOP and was involved with the huge Washington Mutual/ Mr Cooper merger. I don’t think Scheiwe would be wasting his time at MYRX unless he knows that a deal can get done.

I think we will be in for a pleasant surprise if/when the filings are released. We already know that MYRX bought 1.4% of Enzon Pharmaceuticals (and still owns those shares) per recent filings. It will be interesting to see if they have bought any other life sciences assets that we don’t know about.

In the end, Couchman is going to find a way for MYRX to utilize its $147 million NOLs. He has the people in place and ready to execute once they find a profitable company to buy.

If the stock doesn’t sell off next week, it will be a good sign that most of the float is locked up here. Huge potential IMO

Last reply lol. Couchman has the ability to loan MYRX the money it needs to acquire life sciences assets like royalties and whatnot though his Couchman management LLC if he wanted to. So many possibilities here that could make $MYRX worth anywhere from $1 a share to multiple dollars per share IMO

And compare shell companies like $GVSI that has a $71 million market cap and no real assets that we know of. $MYRX has less than $2 million market cap. $MYRX would be trading at $2.05 to have the same market cap as $GVSI. We know for sure that $MYRX has $420,000 worth of ENZN shares along with $147 million in NOL’s. I’m sure MYRX has cash on hand still. There is no way Couchman would put all of its cash in one single investment.

And what does $GVSI have for assets? I don’t think nearly as much as $MYRX does.

I’ve been doing quite a bit of dd on MYRX from the tidbits of info that can be found (and further researched) from the form 4’s from last year when MYRX bought shares of ENZN. The two directors (Steve Scheiwe and Michael Pearce) are still currently with the company. Steve Scheiwe is also on the $COOP board of directors and was involved in the huge Washington Mutual/ Mr Cooper merger. Mr Cooper utilized Washington Mutuals huge NOL base.

There is no doubt in my mind that Couchman will bring this Pink Current. Steven Scheiwe is also a SEC certified audit committee financial expert. He has the people in place to make big things happen. The potential is actually pretty insane here. I just don’t think many people realize it. It seems like I’m the only one talking about this stock anywhere which goes to show it’s unnoticed.

I think we could see multiple dollars per share IMO.

Hopefully Couchman got the notice too. It’s definitely in his best interest to bring this one current. That alone could add value to the stock since we would know how much cash it has left on top of the $420,000 worth of ENZN it owns. That doesn’t even include the value of its $147 million NOL’s.
It’s possible that MYRX bought other assets that we don’t know of. I believe it doesn’t have to be reported as long as the transaction is under $10 million

I got it too. I really do think Couchman will bring it current. He has the right people on the board of directors still that has handled this type of stuff many times in the past. He recently renewed MYRX with the state of Utah last month. He owns 7 million shares (20%) so it’s in his best interest to bring it current.
It doesn’t cost that much either as long as you go through OTC pink basic and not through SEC Edgar filings.
It would probably cost $35k at most to get 3 years of financials including current financials up to date and everything set up. After that it doesn’t appear to cost as much

All I know is that I’m sure there will be lots of people selling the next 30 days. Not just MYRX but probably all non reporting stocks. Great deals could be happening very soon.
