Again, I got the shares. They will only be worth anything and be tradable if Fortune Nickel and Gold trades and basically goes public. 
They have filed with SEC, last was in Sept. No idea what they need or are waiting for. According to their LinkedIn account they are drilling or drilled this year.

No one got their spin off shares because Paul Riss is a crook. Same as these low life’s at Mesa who I’m surprised can install garage doors with this level of incompetence

I stand corrected. I don’t have four worthless stocks, I now have six worthless sets of stocks which are directly related to these scam artists.

Gold is hovering around $3500 per ounce and yet they haven’t produced a single gram. This is how scams operate. Just keep moving the goalposts and promising the world. My portfolio lists four stocks from the various companies that have been promoted as the next coming and never became anything.

I have been around Paul Riss stocks for a long time and I have yet to find one that wasn’t in trips and r/s. Numerous times. I was lucky to get HTSC cheap and made good money when it popped. I m waiting for this to have its small run up to get out. Not sure when that will be but hard to imagine a business that makes those revs are in the dumps so something is fishy. Again look back over the last ten years and show me one of his tickers that are successful

You seem clueless when it comes to reading financials. Mesa has a $1m+ convertable loan on their books. 

I just want the new Fortune Nickel shares when they start trading and see what I can get.

Hopefully never. It's frustrating that this company did bring convertible warrants with it, as identified by a shareholder below.

I'm hoping once the amortization of the HTSC assets comes off the books that the net income demonstrated by this established company generates some interest. Rare to find a profitable penny.

I can't figure Riss out; don't know what to think. He does the freelance auditing stuff for other tickers (like PVSP) in exchange for shares as payment-in-lieu. So when those ones end up basically worthless, I don't think too much of it- they were cash strapped to begin with, so more of the same is no surprise.

But then he's got these other companies where he's an insider, and it's these ones that confuse me. FINRA member, CPA, architects these plans like the RM/spin-off here. Spin-off occurs a year and a quarter ago. Amortizes the assets; MHRE takes a pps haircut. Dividend shares in limbo, assets in limbo, entity gets a cusip but no ticker.

And then: nothing.

That's what makes me continue to expect to see the SEC shut down the pennystock market to save stock holders from being ripped off in the future.

Hey Shift I ve been around for a bit and I know you have too. I made money off of HTSC run 3 yrs ago and am riding what I got left for free. Honestly all of Riss’s plays are kind of shady PVSP and many others too many to name all end up sub penny and splitting. Here we have a company making multimillions a year and it’s stuck sub penny. It’s always something and never anything.

All of the hype.
All of the legal and technical mumbo jumbo.
All of the excuses.

And what happened?

The stock went sub penny just exactly like I said it would. The only trades are internal just to look like someone is actually buying this crap.
I don’t know how or why an established business like Mesa would allow themselves to get involved with a scam like Here to Serve, but they are and it will probably be their death nell.

This will go well when it does. Shame we haven't gotten progress on $FNGI getting its ticker yet. Hope Riss has some goods in store for us with the spin-off; the subsidiary's 30m shares of $KRTL are worth a LOT now. -$

Hopefully there are some deep pockets at this college who get shares from offering and Fortune raises the $2m. I'd love a .10 PPS when it starts trading.

Hopefully they don’t dilute the crap out of it. Unfortunately a lot of these tickers never get off the ground. Here is hoping things are different this time.

Fortune has its Amended 1-A, now we need a Form 10 for MHRE and they need to get on OTCQB and start disseminating their financing news. Their audit must be done. Fortune has the same auditor. I have not given up on MHRE. $25 million in sales, 30 years in business and 52 million shares in the float.

Read the fins. Some dude was getting millions of warrants when it was HTSC. He has not converted any since merger. 

That is my guess who would be selling, nothing more nothing less. 

I can't help but notice that you never responded to my clarification question about this.

If you can't show your work and give us something in writing which substantiates this claim, it's hard to believe anything except that you made this up.

KRTL's recent gains are going to make the HTSC asset spinoff/Fortune fins look quite nice. Those 30m shares have book value of $1.2M, which alone is nearly double what the amortized write-off was on MHRE's fins. Shame the PVSP holdings are relatively modest, as that one's happening a bit as well. We're overdue on the FNGI ticker being awarded to Fortune.

The next fins here at MHRE showing net income will look especially nice compared with last quarter's one-time amortization removed from the balance sheet. Good times should be ahead here, both for this and the destined spinoff.

Whoever held HTSC stock on Nov 2, 2023 has spinoff shares of Fortune (which are totally different from shares of MHRE). But Fortune had the same issue with BF Borgers. It had audited financial statements from Borgers that the SEC said were not valid, and Fortune had to hire another firm to do its audit, so it could file Form 1-A. Fortune has its audited numbers and filed Form 1-A in August. After Form 1-A goes effective Fortune can take action to apply for a ticker symbol and eventually get the Fortune stock trading. Fortune could have been trading in June if the Borgers fiasco did not happen.

What about the spin off shares?

This is a solid company. They merely had the bad fortune of using Trump's auditor, BF Borgers, that got slammed by the SEC, and every audit of its 359 clients became invalid. That meant 359 companies had to scramble to be audited again. MHRE has their audit now, so they should be working on filing Form 10 and going to OTCQB. Borgers, which the SEC called a 'sham audit mill' messed up the timing for soooo many companies that had perfectly legitimate financial statements. Once Mesa is registered under the 34 Act they will be capable of gaining a huge following. It's coming. And yes, penny shareholders need to be patient. I have held some stocks for 7 years before they took off.

Fortune Nickel filed a 1-A not sure when it become effective and shares will start trading.

Not disagreeing but that was old management and a different business. Those need to be in the filings previous CEO has done a spin off. Now business is profitable and has been around for a long time but a lot of shares have been dumped the last 2 weeks with not much clarity so we ll see

This is a sector/field I personally know a lot about.
I took about 30min to scan filings and website etc… was left with a ton of questions. Who is the supplier they buy from? How many service/installation vehicles do they have? Are they strictly residential or do they do commercial as well?
I was on the fence until I found the IDGC and TINO section of filings. Shit like that explains why they loose money every year regardless of its functioning business. Then look at the AS. Writing is on the wall. Using shareholder money to do dumb shit like that says a lot.

What warrants? You might be deeper into the DD than I am, but I'm not aware of any from the fins and filings I've reviewed.
