Global Water Technologies releases annual shareholder letter

Dear Shareholders of Global Water Technologies,

Thank you for joining us as we begin another new year and look forward to some exciting opportunities with new partners and a chance to participate in the world’s largest prize competition for innovative ways to address water scarcity.

As we announced in September, the company formed a team for the XPRIZE Water Scarcity competition, a 5-year global effort to create reliable, sustainable and affordable seawater desalination systems that is being sponsored by the Mohamed bin Zayed Water Initiative. We were one of five teams that presented at the North American team summit in New Orleans during the WEFTEC water industry conference in October and will be participating in the qualification round during the first half of 2025.

While the competition will be challenging with hundreds of teams participating from around the world, we believe the event fits nicely with our efforts over the past several years to integrate new methods of non-chemical water treatment for desalination and disinfection in a manner that improves water and energy efficiency. We have licensed a new method of capacitive deionization that was funded by NASA research and taken steps to combine this technology with traditional desalination systems in a way that may provide superior benefits for decentralized systems.

These efforts have also been coordinated with our previous plans to evaluate opportunities for potential mergers and acquisitions that fit nicely with the long history of Global Water Technologies seeking innovative solutions in the water sector. We held discussions with several companies about such deals during 2024 and have a short list of potential targets for completing a transaction in 2025. Due to the confidential nature of such discussions and required compliance with securities laws, we will share limited information as appropriate on our web site and through filings for GWTR on OTC Markets.

Speaking of OTC Markets, we have been notified of a major change taking place on the platform in the second half of 2025 that will result in a new category called OTCID that will replace the Current Information category that we upgraded to at the end of 2021. We believe that this new level will be a benefit to our company and the timing may also be helpful in attracting new investors for any deals we may consider.

In 2024, shares of Global Water Technologies traded between $0.017 and $0.2498 with a closing price of $0.0195 and volume of 1,901,800. In 2023, shares of Global Water Technologies traded between $0.01 and $0.034 with a closing price of $0.03 and volume of 996,037.

The number of common shares at December 31, 2024 was 29,823,955 and the number of free-trading shares remains at 5,895,503. The company has reserved 4 million shares for convertible promissory notes totaling $135,000. Additional shares may be issued as the company seeks adequate funding to execute its business plan and further upgrade its SEC compliance.

INDIANAPOLIS, October 27, 2024 — Global Water Technologies (OTC: GWTR) was invited to present at the North American team summit for the new XPRIZE Water Scarcity competition that is being sponsored by The Mohamed bin Zayed Water Initiative to create reliable, sustainable and affordable seawater desalination systems.

Dear Shareholders of Global Water Technologies,

We welcome 2024 as a new year of possibilities after having successfully navigated our small company through several years of volatility and change that impacted business across global economic markets.

As we noted at the start of 2023, the company continues to evaluate opportunities for potential mergers and acquisitions while also pursuing efforts to build on its legacy non-chemical water treatment business. Deal flow in the M&A space continued to track at a lower level and the company will carry several discussions with potential partners into the new year.

The company did make good progress in identifying new opportunities for non-chemical water treatment and previewed a new system in August that it is developing to integrate two technologies for desalination and disinfection in a manner that improves water and energy efficiency.

As part of that effort, the company engaged some initial engineering and consulting services and welcomed John Waters to its advisory board with his expertise in battery technology and manufacturing. During the fourth quarter, the company also completed the Producer-Led Innovation Challenge held by AgriNovus Indiana and expects to build on that work in the coming year.

The company is also reviewing potential opportunities from its previous work in the areas of trenchless technologies and smart water, which both apply to water infrastructure projects. While that sector has significant needs in the United States and we invested considerable efforts to provide solutions, the company pulled back from that work as state and local governments shifted priorities during the pandemic and therefore avoided problems caused by the slow and fragmented nature of those infrastructure programs. Global Water Technologies will evaluate those business prospects in 2024.

In 2023, shares of Global Water Technologies traded between $0.01 and $0.034 with a closing price of $0.03 and volume of 996,037. In 2022, shares of Global Water Technologies traded between $0.016 and $0.10 with a closing price of $0.028 and volume of 1,111,560.

The number of common shares at December 31, 2023 was 28,773,955 and the number of free-trading shares remains at 5,895,503. The company has reserved 3.8 million shares for convertible promissory notes totaling $99,500. Additional shares may be issued as the company seeks adequate funding to execute its business plan and further upgrade its SEC compliance.

Uhhh...Welp the family got together over the weekend to celebrate my mom's birthday. Good fun.

Even though we all live within 20 mins of each other, we rarely get together as a family anymore. Everyone is so busy, so it's hard to make time.

Both of my older brothers have grown beards. Not sure what is up with that, but I am the last holdout who still shaves.

I finished up my Christmas shopping early so, I can just relax and enjoy the Holidays.

My nephew will be wrapping up his apprenticeship with the IBEW and is looking forward to becoming a journeyman electrician this summer at 22 years old.

The company is scheduled to preview the new system it is developing during the Ag Startup Showcase hosted by Gener8tor as part of a week of activities in Indianapolis for the new Rally innovation conference that is bringing innovators from around the world to Indiana’s capital city. Global Water Technologies is working to integrate two non-chemical technologies for desalination and disinfection in a manner that improves water and energy efficiency.
