As you just pointed out about the SEC being unavailable, when I looked at the OTC a few minutes ago, none of the SEC filing showed at all....just a blank space.
So all I was seeing were the old OTC filings.
At least I'm back to, "we have some hope" of seeing a good Final Result.

Ok, I am now seeing this sort of thing go on with other stocks. One share, may 2 or 3 more trading well, well below bid.
This must be automated surveillance of sorts, maybe to verify whether or not orders are actual orders, perhaps verifying something about either market makers or traders.
These micro trades do not affect spread even though the traded share is below bid. In this regard they behave like phantom trades.
Why would otc stocks trade this way on a big board? This is odd to me .

Update: ignore. Turns out there are more than few valid reasons for this to happen. I was just ignorant of said reasons.

BB, You, my friend, have put a little more thought into this than have I.
Your scenario is clearly very plausible at a glance and would go much further towards creating value for people like us.
For me, I have been hoping that somewhere along the way I'd get enough shares in hand to at least make it fun if and when things start happening. I'm surely not there yet. I think in the last year I have been one of those " lucky" people who gets one share every quarter....somehow.
I've made more than enough in other plays to justify spending a little money on some higher bids....and this I would do because I am a lifelong dog lover/ animal lover. I would support technology like this. Animals enrich human life. I'd like to see more benefits accruing to animals, generally .
Andrew Brown is a smart guy. I'm certain he has good reasons for whatever strategy he is employing. He wants investors even though he could probably fund the whole endeavor privately.
2026 will be interesting here.

I'd almost prefer not to see a buyout, even if they sold the company for $100M it would still only be around $2.25 per share....and due to my paltry number of shares, I need a moonshot to make any real money....lol.
My ideal hypothetical scenario would be something more like selling Boehringer 10M shares of GIPL for say $5M - $7M dollars, with the stipulation that they need to apply for uplisting to NASDAQ within the next 18 months. This would give them the funds they need to move to OTCQB, hire a couple people and get phase one of commercialization going, until the next round of funding after moving to NASDAQ. With the backing of Boehringer, it would give the company a TON of legitimacy, get out from under the radar and bring in far more investor interest than the 3 of us....lol. This plus the endorsement of the American Heartworm Society as a viable method of testing could bring that moonshot IMO.
Everyone wins in this scenario, the insiders, the shareholders, Boehringer and.......the animals. Once it hit NASDAQ, every dog loving investor would be interested in this I believe. Any investor with half a brain should be able to see the potential but dog lovers in particular would really be interested IMO since its truly industry disrupting tech, that no one else possesses.

Could be the units they sold to BI..?? Whatever the case, if they do manage to make some $$$s in 2026, I do hope they make getting Proprietary Quote Eligibility (PQE) back a priority. I'm not sure but I don't believe the seed investors could ever sell any of their shares without it. Could be the first step in getting some liquidity in here, though it may happen, they can't rely on a buyout, they should still think about the future of the public company as a method of raising funds towards commercialization. Its pricey but if they could uplist to OTCQB that would allow them to regain PQE, without having to find a MM to file a 211.

Might be small money, but for me, just the fact that they actually brought in some revenue, is kind of a big deal.
At least they broke that barrier.

Yeah, very possible but its not us that would benefit from a buyout, it would be those insiders getting cheap, restricted shares that will ultimately win.
We would have better luck if the stock itself did well. However, GIPL is in a weird place, it has 2.1M unrestricted(float) but only a measly 22K held at DTC. If it had a 30K float with 22K held at DTC, there would still be some penny stock players who would play this (ie see something like FKST). But....with 2.1M unrestricted, its hard to get anyone to pay a premium price , when 2M+ could get deposited and enter the market at any time. So basically penny stock players can't get any 'cheap' shares due to the low number of shares held at DTC......nor are they willing to buy at a high price due to 2.1M unrestricted.....nor can we get any real investors due to being so ridiculously under the radar........so we are stuck between a rock and hard place.
So IMO we either need more shares in the market for penny stock players....or...we need actual investors to come in, based on the massive potential, who are willing to pay more....otherwise we are SOL.

Well, I mean Boehringer Ingelheim is the largest privately held pharmaceutical company in the World....its pretty much unprecedented they would be partnering with a tiny, public, penny stock company, so I'm still ecstatic and give GIPL management tons of credit for this.
However, BI is privately held, so they don't have a public investor following. I simply wanted Zoetis or Merck, because I envisioned a situation where they(GIPL) could PR the partnership deal, include the ticker symbols of both companies in the PR and get a ton of traction, legitimacy and interest in the investment community......actual investors, not just penny stock type traders.

10K out, so their partnership is not with Zoetis as I suspected, however, it is with the 3rd largest animal health company in the World, Boehringer Ingelheim Animal Health USA Inc....so still pretty impressive for a penny stock company to be working directly with a company of this global magnitude.

To be honest, my position is quite meager, too. Shares are , as you note, hard to come by and I am unwilling to drop big money into it at the expense if other investment opportunities.
That said, It has been my experience that if you set up a position on certain kinds of stock plays, like this one, and then go of any time-specific expectations, interesting things usually happen...things that teach you as well as make a bit of money.
It seems like this effort is on a positive evolution. And because it supports animals I am into it. I have learned important things from animals and they are more than food to me.

Even if they did get bought out by a big player, or the stock ran to $5 or $10, it would not change my life in any way, as I just don't have enough shares to even matter.....however, I really want to see it happen, so I can at least feel vindicated, as I believe in this product and its ability to impact the veterinary industry in a big way.
There don't seem to be many advancements in the veterinary industry. The last really big thing to happen was when Librela got FDA approval in the US in 2023. That got a LOT of buzz and spread quickly across the US as vets seemed legitimately excited to start testing it on their patients.
I think we could see something similar with the VOCAM, maybe not to the same extent as Librela, as the VOCAM is expensive and many small vet offices wont be able to afford it, or will be skeptical to fork out the $$$s for it until there is more data......but I think vets will be VERY curious when they do find out about it.

Well, FWIW, I still feel like this is worth holding a position . Hopefully they do come through with the 10-k. Clearly the effort here is funded and it continues as far as anyone can tell. Now, if that 10- k never arrives, then I may begin to worry.
The main effort I see is to establish solid data, the stuff you can use to build a great database. This is what behind to draw attention.
Under the right environment I could see this whole thing get bought up as you previously suggested, I think.....and the very idea that a small otc company' could be courted by a very large concern of would be quite exciting.
2026 may be the very year the ball begins to roll for us .
