just last Monday they agreed to an NBO with Spark AI Foundry to sell their Malpica site for $325M (300M Euros). 60 day exclusivity as well. 8K was out last Monday

That's $800M in agreed deals between the two

$EDGM | DD Update: After reading through the filings, the picture is becoming much clearer.

I've spent time going through the recently filed Term Sheet and Exclusivity Agreement, and I think there are several details the market may not be fully appreciating yet.

This isn't investment advice, just my interpretation of the documents.

1️⃣ This appears to be a serious institutional negotiation

This isn't a one-page LOI or generic MOU.

The parties have negotiated:

✔️ A detailed commercial Term Sheet

✔️ A signed Exclusivity Agreement

✔️ Defined payment milestones

✔️ Joint Venture framework

✔️ Governance rights

✔️ Default provisions

✔️ Development responsibilities

Those aren't usually included unless negotiations have advanced beyond preliminary discussions.


2️⃣ Pure Data Centres has committed to exclusive negotiations

One detail that stood out to me:

Pure DC requested—and EDGM agreed to—a 60-day exclusivity period.

During that period EDGM agrees not to negotiate similar transactions with competing parties involving:

• Córdoba

• Palma

• Vianos

• Cáceres

If Pure wasn't serious, why ask EDGM to stop talking to everyone else?


3️⃣ The payment structure is milestone-based

Instead of paying everything at closing, the proposed structure is:

💰 Payment 1

€1.5M per selected site upon SPA execution

💰 Payment 2

Another €1.5M per selected site once the project reaches Ready-To-Build

💰 Payment 3

Final payment based on

€325,000 per MW

The example provided:

300MW

=

Approximately €97.5 million

before any upside adjustments.


4️⃣ EDGM negotiated meaningful downside protection

One of my favorite parts of the document...

If Pure defaults:

✅ EDGM keeps prior payments

✅ Rights automatically revert back to EDGM

✅ Pure loses claims to the projects

That dramatically reduces execution risk compared to many development transactions.


5️⃣ Pure funds project development

Another important detail...

Pure is expected to fund approximately

€5 million per site

for:

• permitting

• planning

• engineering

• customer acquisition

Those costs are generally at Pure's risk up to the agreed threshold and are intended to advance the projects before completion.


6️⃣ EDGM doesn't necessarily have to walk away after selling

The proposed framework also gives EDGM an option to reinvest proceeds into a Joint Venture rather than taking all cash.

If exercised, that could allow EDGM to participate in the long-term economics of the projects instead of simply selling the land and exiting.


7️⃣ This fits with the broader sequence of announcements

Looking back over the last several weeks, the pieces seem to be connecting:

✅ Spain expansion strategy

✅ Proposed acquisition of 51% of Ibersun

✅ Battery Energy Storage projects

✅ Grid access rights

✅ €3B regional data center initiative discussed publicly

✅ CEO meeting with Bloom Energy representatives

✅ Pure Data Centres negotiations

✅ Signed exclusivity

✅ Detailed commercial framework

Individually, each announcement is interesting. Collectively, they begin to outline a larger strategy around AI infrastructure and energy.


Final Thoughts

Nothing is guaranteed until definitive agreements are signed and the transaction closes. Financing, due diligence, regulatory approvals, and other conditions still need to be satisfied.

That said, I believe these filings represent a meaningful step beyond the typical OTC "headline" announcement. The level of commercial detail, milestone payments, default protections, exclusivity, and joint venture framework suggests both parties are working toward a structured transaction rather than simply announcing an idea.

I'll be watching for:

• Execution of the definitive SPA

• Financing updates

• Due diligence progress

• Ibersun closing

• Additional Spain project milestones

If management continues to execute, I think the next few months could be pivotal for the company.

Do your own due diligence, but I definitely think these filings deserve a close read.

Always technicals

Those targets are just based on the technicals or are you baking in some fundamental news in there too?

Well they have a standstill agreement with the note holders so for certain no conversions until July 24. And they will likely settle with those note holders during that time.

Things are looking solid right now. Only question is what big news will be next

Sweet 35 close! That was a talented scoop at 26 for me today, this has a great chart with weekly bullish stochastics buy signal, I expect to see .0058 here by next week, then .0117, then .0185, with ultimate target .04-.05
