Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 23, 2024, Mr. Carlton Johnson notified the Board of Directors (the “Board”) of Mosaic ImmunoEngineering, Inc. (the “Company”) of his resignation from the Board effective immediately. In connection with his resignation from the Board, Mr. Johnson also resigned from all committees of the Board of Directors on which he served, including the Audit Committee and Compensation Committee of the Board. Mr. Johnson’s resignation is not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
