While this represents a decrease of 55% compared to the prior year, the Company has significantly reduced its overall customer concentration.Manufacturing service revenues, excluding the green steel client, increased 85% and showcased the Company's broadening and increasing customer base now spanning several industries. Adjusted EBITDA1 decreased to negative US$651,614 for the fiscal year ending February 28, 2026, compared to positive US$2,389,890 in the prior year. (125%)  The decrease in revenue for the fiscal year of $3,436,096 was due to a US$2,546,474 reduction in manufacturing services relating to the green steel client, and a decrease in equipment deliveries of Spark Plasma Sintering (SPS) systems of US$889,622. Excluding the green steel customer, manufacturing revenues were US$2,626,894, an increase of 85% over the prior year.Gross margin decreased year-over-year to 54% mainly due to lower revenue generation over its fixed cost base. The Company anticipates, that if revenues increase, gross margin should improve because its fixed costs and overhead would be spread over a larger revenue base. There will be fluctuations in gross margin depending on the manufacturing service mix between R&D and commercial customers, utilization, and volume of equipment deliveries.Adjusted EBITDA for the fiscal year decreased due to the beforementioned lower revenue and gross profit. Importantly, Q4/FY2026 saw a return to positive adjusted EBITDA after recording negative Adjusted EBITDA in the first three quarters of the 2026 fiscal year. This was reflective of a return to higher revenue levels along with certain cost reductions such as the consolidation of its Cerritos facility into Santa Ana, which will save approximately US$120,000 a year.Management Commentary & Outlook
FY2026 was a transitional year that required the Company to display resiliency and rebuild its revenue base after seeing the complete elimination of activity from its green steel client, who accounted for 63% of revenues in FY2025. FY2027 is expected to build on these efforts with an emphasis on securing larger-scale contracts, non-dilutive funding, and long-term partnerships to scale-up the Company's operations.Over the last twelve months, Cal Nano has positioned itself as a premier and domestic manufacturer of critical reactor components such as control rods and heat shielding. On November 5, 2025, the Company received its first purchase orders for reactor components and has since received follow-on orders from the same customer. This customer represents one of many dedicated to building next-generation small modular reactors that are designed for utility, datacenter, and military applications.Cal Nano believes that it is well positioned to fill the void that exists in a U.S.-based manufacturing of these critical components with its flagship Santa Ana facility and portfolio of specialized equipment. The Company has invested in its market presence through continued conference attendance, hosting the country's first SPS workshop, and joining specialty industry organizations like the United States Advanced Ceramics Association (USACA). In addition, there are a number of government initiatives being undertaken by the current U.S. administration to expand domestic nuclear supply chains. Each Unit is comprised of one common share in the capital of the Company (each, a "Common Share") and one Common Share purchase warrant (each, a "Warrant"). Each Warrant shall be exercisable to acquire one additional Common Share at an exercise price of US$0.30 for eighteen months from the closing of the Offering.The Company intends to use the net proceeds raised from the Offering for general working capital and corporate purposes. it all started many many many moons ago,the company looked and acted like a dog with flea. the only consistent outcomes were losses,more losses, and losses galore,lasted over a decade since 2004 spac.ooouuuchhh. one number that troubled me or any sensible investors,was the salaries and wages on the expense side of the book,which always hovered around 50% of the topline,and stayed constant with increased topline.oouuccchhhhhh. this dog can be summarized on 2017(calendar year?) and prior with one word: toxic or "looking but no touching".

for some reason things started to change post 2017,the hemorrhaging of expense side of the book seemed being checked by a newly formed management team and bingo,the dog with controllable flea is here to stay.wooooooowwwww. so ever slowly,the flea started going away and this dog finally saw its first worthwhile record profit in q4 2023 fiscal year. wooooooooowwwww.soon after,the company moved to pay down its debt from above $1.5 million down toward $1.25 million,and restructured its debt.woooooowwwwwwww.its cash level went from a historical average of $50k to close to $300k.wooooowwwww.

California Nanotechnologies Announces New Contract From Chip Fabrication Customer and Installation of Large Production SPS System

LOS ANGELES, Nov. 23, 2017 (GLOBE NEWSWIRE) -- California Nanotechnologies Corp. ("Cal Nano" or the "Company") (TSX-V:CNO)(OTCQB:CANOF) is pleased to announce that it has received an additional contract worth approximately $202,000 US from the large chip fabrication customer referred to in earlier press releases. This new contract is for Phase 2 of the program, within which Cal Nano will incorporate additional design elements and features into the working prototypes delivered in September 2017. Of particular importance, this contract also includes the development of a high volume processing methodology that could be utilized for future production. "Phase 2 is expected to be completed in approximately six months and if successful, the next phase in the program could be the production of these components in higher volumes," stated Eric Eyerman, COO.

The Company would also like to note that it completed the installation and testing of the large Fuji Mark V SPS system in September. This system is critical for Phase 2 of the chip fabrication program mentioned above. It is also being utilized in the development of components for the US Department of Energy and other large customers.

In addition to the large SPS programs underway, Cal Nano is pleased to note that it has received several new orders from customers that include Boeing and Adidas. Cal Nano is also scheduled to install new SPS systems at both Iowa State and Louisiana State Universities within the next two months. "Given the growing diversification of the Company's customer base, the depth of product offerings, and the addition of the large SPS for production requirements, Cal Nano is demonstrating long term sustainable growth," stated David Grant, Interim CEO.

California Nanotechnologies Applies for Extension to Term of Warrants

LOS ANGELES, Oct. 03, 2017 (GLOBE NEWSWIRE) -- California Nanotechnologies Corp. (TSX-V:CNO) (OTCQB:CANOF) (the "Company") announces that it has made application to the TSX Venture Exchange (the "Exchange") to extend the term of 2,645,148 common share purchase warrants (the "Warrants") that were issued under the Company's private placement of units completed on April 8, 2014. The Warrants that are the subject of the application have an exercise price of $0.225 per common share and were originally set to expire on April 8, 2015. The Company previously extended the term of the Warrants to expire on October 8, 2015, subsequently extended the term to October 8, 2016 and finally to October 8, 2017. Insiders of the Company hold approximately 56% of these Warrants. The Company has now applied for consent to further extend the term of the Warrants from 42 months to 48 months from the date of original issuance of the Warrants in accordance with Exchange policies. The warrants will now expire on April 8, 2018.

(TSX-V:CNO) (OTCQB:CANOF) ("Cal Nano" or the "Company") is pleased to announce that revenues of $116,723 US in the first quarter, just completed on May 31, 2017, were an increase of 21% over the first quarter of the prior year. In addition the Company posted net income of $12,001, the second time the Company has reported a positive net income.
