BZWR is finished as a company. The only thing that may save it is the assumed merger. However the company that is BZWR planned to merge with is just as bab.

They should just declare CH.11.

It will be a very long time for them to get out of the Expert market, IF EVER.

Each qtr. takes them another 3 to 3 1/2 months to release. At that pace it will be years for them to be in compliance.

I wouldn't analyze anything or put any confidence in their financials, since the last one was unaudited and the next one (3rs qtr) will be unaudited and could be worse. Sales are declining and the President was proud of how many loans were proceesed, but they do not make much money in processing loans. No future guidance ever given.

The CEO remains silent . If there was anything that is good news he would say something.

Just accept it. You could still hope if you want, but it will be futile.

I scanned through and noticed a few things.

Of course, this was as of 10 months ago, except for some "subsequent events".

Assets down, liabilities up.
Sales down. Total sales at rate of under $4MM per year. Helix House sales surpassed the rest of BZWR's sales (the loan processing business).
Net loss up.
Odd that there was a very large allowance for doubtful receivables when those receivables were just a few thousand dollars. Maybe I am misunderstanding something.
Looks like there may be a company car or some other vehicle.
Claim against Timothy Li for $200,000 was settled using whatever proceeds he paid to pay BZWR creditors. No cash left over for BZWR.
No mention of possible merger with IPSI. No mention of merger being terminated, either.

Well they finally filed the 2nd Quarter: Haven't looked at it yet.

I missed the 130,000 share sale yesterday.

Looks like some Expert had to pay $65 for all of those shares instead of the recent $39 they would be worth @ $0.0003/share. A 67% rise.

It is sell-your-losses season for income tax, but I think I will keep my BZWR since they still exist and might last at least until 2025 begins in two weeks. But if they do suspend operations in December, don't forget to write the shares off. The IRS doesn't like taking loss for worthless stock too late! Check with a tax professional because these rules may be complicated.

I was looking @ J. Brooks account, not Business Warrior. For some reason i thought J Brooks posted it.

Looks as though this post (see below) was deleted by J Brooks on his X account. At least i do not see it anymore.

So, do not look for any filing anytime soon.

Totally agree with you.

If something is expected in less than a week, you could say, "final days". "Final hours" to me and you and most people should mean no more than a day or two. But not when BZWR says it. They are so bad they even make "island time" look strictly punctual compared to them!

What does the final hours mean to BZWR. To me sounds like this week or today, but they

I read his post to mean $200,000 in loans processed per month. That's tiny.

But I looked again and I think he was saying 200,000 loans processed, not 200,000 dollars.

So I still had time to delete most of what I said in my post. But time ran out to edit before I could write a corrected post.

Somehow BZWR and IPSI didn't get a mention.

Somehow? It was intentional in all probability.

BZWR and IPSI are irrelevant. Both have a more than 50% chance of filing CH.11 or even CH.7 in a year or two. Not only are both insolvent, BZWR really seems to not care if they ever will be compliant. No delinquent financials have been filed since 8/30/2024 which was for the Qtr. ended 11/30/2023. BZWR hasn't issued an official PR for months and months, including Rhett's (CEO) X account for months, and J.Brooks (President) X account for months.

There are many other Fintech opportunities out there

There always was and far superior to BZWR and IPSI.

There are other Fintech companies besides BZWR and IPSI.

these innovative companies are at the intersection of finance and technology, written by Alyssa Schroer, is a handy list if you are beginning to tire waiting for BZWR or IPSI to come around.

Somehow BZWR and IPSI didn't get a mention.

There are many other Fintech opportunities out there. One is MoneyLion (ML), which is a large company that also did not make the list. Good price appreciation lately. Some stocks that i hold actually give a good return.

I'm not recommending any particular stock in the list or ML. But other fintechs are something to consider while we wait for BZWR to make a move.

Which will happen first?
1. New investors or lenders will fund the merger of BZWR and IPSI, or
2. BZWR and IPSI will deplete all available cash

The two companies may turn out to be a successful combination, but we have no news yet that any investor wants to fund this opportunity.

Still waiting for the 2nd QTR. financials ending 2/29/2024. First qtr. was filed on 8/30/2024 today is 12/4/2024.

Based on this i would make a guess why the financials are taking so long, they probaly do not pay on a timely basis only when they have cash to do so.Also would guess that is why the former Audtors ended their relationship with BZWR as a clent.

Maybe there's some. I'm not aware of them.

Make sure they actually have money in the bank before they hire you. I was told they had a new wave of funding and assumed it was in the bank. Nope, it didn't come through. I was hired and then laid off 3 weeks later.

Hard to believe the 2nd qtr 2/29/2024 has still yet to be filed.

Qtr 1 for 11/30/2023 was filed 8/30/2024 with the new audiotors, so the auditors should be familiar with operations.

Funny thing.

IPSI has all that debt you mentioned and their shares are worth about $0.10 each.

Meanwhile, BZWR had liabilities totaling "only" about $9 million, yet their shares are in the tank at $0.0003.

Perhaps their managers are cleverer than our managers.

Just look at their sales and losses and insolvent Balance Sheet. Not to mention the delinquencies with the filings.

Hey, they may not be in existence in a year or two.

The first QTR. was filed almost 2 months ago with the new auditors.

Should not take that long for the 2nd QTR. since the new auditors are now familiar with BZWR operations. Since they completed the 1st QTR.and filed almost 2 months ago, the 2nd should be quicker. They also need the 3rd. QTR and the year end 8/31/2024. Before they are filed, the 1st QTR. ending 11/30/2024 will be due.

Appears they will be in the expert market for quite a while, and maybe the proposed merger may be in jeopardy.

There is IMO no acceptable excuse if Rhett is serious about being fully complient.


Even with the new auditors still takes a long time. BZWR isn't exactually a conglomerate.

Good news for plaintiffs! I think I would settle quickly, too, while there was still something left on the balance sheet.

But maybe this helps to clear the way for the merger and/or survival so the thus combined executives can continue to be worthy of their salaries.

Wow! The chart on this page shows BZWR going from $0.000001 to $0.000400 yesterday. That's a rise of 400x. $1,000 would become $400,000. Too bad the Experts didn't let me buy any. It's a shame they allowed a trade of $0.000001 or $0.000102 to transact the other day. It is like stealing money from someone, although I admit the dollar amount was very small.

Ok. I used the iHub quote on this board. They show 5 zeros after the decimal point 0.000001 as the close here on your board. Your 0.000102 is a hundred times better. I will assume iHub got it wrong.

On second thought, you may have been referring to IPSI shareholders, while I was focusing on BZWR shareholders. I don't know what IPSI shareholders may think about the merger, but they may indeed want the latest audited BZWR figures to make a decision. Perhaps, with the new auditors, BZWR can get the year closed by around Thanksgiving. You had a good point that I didn't see at first.

Shareholder approval? I'm a shareholder and I would approve without seeing more figures. I suspect Rhett and his friends would approve without more audited results. This is because IPSI is probably the only lifeline that they have.

Maybe BZWR must get current on filings for some reason, but I doubt it is for shareholder approval. The shareholders aren't mutual funds or institutions.

You propose a timeline that will never end. By the time BZWR reports, another quarter will have ended and then the cycle repeats.

ok they filed a quarter, they have to file everything before any potential of moving forward on the proposed acquisition. I see the revenues are in line with what they have been doing. Nothing impressive yet but money problems

However, they have a long way to go.

A couple of new lawsuits Though:( the 1st one may have been
known before, not sure)

On January 26, 2024, Business Warrior Corporation was named in a lawsuit filed by Adam Spencer, ELEV8 Advisors Group LLC, EVRGRN Industries LLC, and derivatively on behalf of Business Warrior, alleging various causes of action related to the Company’s prior disclosed agreements with EVRGRN and ELEV8. The resolution of this dispute may influence the contingent liability recorded with EVRGRN. The Company believes that the lawsuit is without merit and is vigorously defending it. The Company is also contemplating filing a counterclaim in this matter.



American Express Travel Relates Services Company, Inc. vs. Business Warrior Corporation, Index No: 651767/2024, Supreme Cour of the State of New York.



On April 5, 2024, American Express Travel Related Services Company, Inc. filed a lawsuit against Business Warrior Corporation for breach of a commercial credit agreement seeking judgment for the sum of $72,186.52 plus legal fees. Business Warrior Corporation is working to settle this case.

Selling has brought BZWR's merger partner IPSI down to about 52-week-low levels this week. How low will it go?

Experts are moving BZWR up a little. Maybe they will soon start guessing how many IPSI shares BZWR will convert to.
