Big offering - dilution! From 1-A filing: up to 15,000,000 shares at 0.005-0.03 each, almost doubling the OS to >32M.

Company plans to "apply the proceeds of this offering for operating expenses and for working capital".

Is this just a scam for Carnes to pay himself? There are no operations, no sales/income here and no announcement of a merger or anything. Why would anybody buy a bunch of shares when there is no business plan?

Yep. I’ve no clue. Bag holder from TTG days. Low floater and Morris/Carnes keeps it current. Could easily acquire a suitor. Clean books, 17m OS, $300k market cap? Averaged down from time to time instead of taking a loss (so far) due to a/the potential acquisition.They could surprise me yet.

That would be ideal.... but it also may be just a response to yesterday's quarterly filing and the fact that they are staying current. I could absolutely see someone taking a position on a low float penny based on it staying current.

Ever since the prior merger imploded and dissolved into nothing - effectively yes it is and they have no income or real operations other than some leased space... even though in the filings they don't classify themselves as a 'shell' entity.

Hoping they'll find some other company to acquire/merge into since they are keeping the filings up to date... but who knows if/when that will happen.

True that. As a gamble though…share structure in its current shape could easily accommodate a motivated buyer looking for a quick merger.

If anything comes of it I’ll get a better return than monies sitting in an account. Or, a capital gains tax offset when/if needed.

Not that clean - still has 1.7m liab and 1.3m notes, but no recent dilution - still looks pretty cheap, I agree

Yep. Now a clean shell.

I didn’t own much at the highs. I did average down to .04 cents. With the legal ramifications in the rear view mirror…who knows. With a super low float (17 mil) and clean books, wouldn’t take much for Carnes to find new takers.

Agree. I’m hanging around to see what Carnes has up his sleeve for the next go-round. Market Cap sitting at a quarter mil and still reporting? Won’t take a whole lot to see this back in the double digit price range. Waiting game now that the legal hurdle has been dismissed. Good spec play indeed.

Not that anyone is paying attention or cares... but the annual report was filed a couple weeks ago. No assets, no operations, no income. About 2M of accumulated deficit. Surprised this stock is not down sub-penny since there is nothing there.

10-Q was filed a couple days ago... nothing happening/no operations.

One item of note in the filing: "A complaint for damages was iled on June 20, 2024, by Bulwark Capital, LLC vs. Robert Morris, Stephen Carens, Aqua Power Systems, Inc. in the state of Indiana, Marion county superior court. The Company and the defendants
are vigorously def ending this case"

Maybe the link doesn't work. Can go to Marion courts online and search for Carnes. Case was opened in June of this year. Being sued again for not paying the promissary notes for the Tradition transaction.
