Talisker Announces Private Placement of up to $2 Million

Talisker Resources Ltd. (“
Talisker” or the
“
Company”) (TSX: TSK, OTCQX: TSKFF) is pleased to
announce a non-brokered private placement (the
“
Offering”) of up to 5,000,000 units of the
Company (“
Units”) at a price of $0.40 (the
“
Issue Price”) for aggregate gross proceeds of up
to approximately $2 million. All amounts are in Canadian dollars
unless otherwise noted.
Each Unit will consist of one common share of
the Company (each, a “Common Share”) and one-half
of one common share purchase warrant (each whole warrant, a
“Warrant”). Each Warrant will entitle the holder
thereof to acquire one Common Share at an exercise price of $0.60
for a period of 24 months after the completion of the Offering.
The Company intends to use the net proceeds from
the Offering for working capital and general corporate
purposes.
In connection with the Offering, the Company
anticipates paying finder’s fees in an amount equal to 6% of the
gross proceeds of the Offering, and issuing finder’s warrants equal
to 6% of the number of Units sold under the Offering, with each
finder’s warrant exercisable into one Common Share at the Issue
Price for a period of 24 months following the completion of the
Offering.
The Offering is scheduled to close on or about
August 8, 2024 and is subject to customary conditions, including
the receipt of all necessary regulatory approvals (including the
approval of the Toronto Stock Exchange).
