Under the terms of the Agreement, Orla shareholders will receive 1.00 Equinox common share and a nominal cash payment of $0.0001 for each Orla common share held immediately prior to the Effective Time. Orla's outstanding convertible securities will be treated in accordance with the terms of the Agreement.The Transaction will be effected pursuant to a court approved plan of arrangement under the Canada Business Corporations Act. The Transaction will require approval by 66 2/3 percent of the votes cast by the shareholders of Orla at a special meeting of Orla shareholders expected to be held in July 2026.The issuance of Equinox common shares pursuant to the Transaction is subject to approval by the shareholders of Equinox by a simple majority of the votes cast at a special meeting of Equinox shareholders expected to be held in July 2026.Officers and directors of Orla, Pierre Lassonde, and certain affiliates of Fairfax Financial Holdings Limited, who collectively hold approximately 20% of the outstanding Orla common shares, have entered into voting support agreements pursuant to which they have agreed, among other things, to vote their Orla common shares in favour of the Transaction, including any Orla common shares acquired prior to the record date on exercise of convertible securities or in the market. If Pierre Lassonde and certain affiliates of Fairfax Financial Holdings Limited exercise their convertible notes, they will hold approximately 9.3% and 15.6%, respectively, on a partially diluted basis, and those shares, if issued on or before the record date, would be required to be voted at the Orla shareholder meeting in favour of the Transaction. Officers and directors of Equinox who hold approximately 4% of the outstanding Equinox common shares have entered into voting support agreements pursuant to which they have agreed, among other things, to vote their Equinox common shares in favour of the Transaction, including any Equinox common shares acquired prior to the record date on exercise of convertible securities or in the market.In addition to shareholder and court approvals, the Transaction is subject to applicable regulatory approvals, including both Canadian and Mexican competition authorization, approval of the listing of the Equinox common shares to be issued under the Transaction on the Toronto Stock Exchange and the NYSE American Exchange, and the satisfaction of certain other closing conditions customary for a transaction of this nature. Subject to the satisfaction of such conditions, the Transaction is expected to close in Q3 2026. The Agreement includes customary deal protections, including non-solicitation covenants, the right to match any superior proposals, and reciprocal fiduciary-out provisions. Additionally, break fees in the amount of $475 million and $250 million are payable by Equinox and Orla, respectively, in certain circumstances. Equinox posted excellent earnings today. .11eps and .19eps adjusted. Greenstone is finally reaching very close to commercial production levels as tpd and recoveries came close to nameplate levels. Valentine also improved but is obviously a little behind Greenstone and should reach commercial production by 6/26.
Looks like EQX should hit 1 million oz of production pretty easily in 2026.
Share prices should move into the mid teens as results continue to improve.

With the Valentine mine construction complete and first ore thru the mill, Equinox is set for an outstanding 2026. Expect Greenstone will be commercial by year end and Valentine should follow before mid 2026. 1 million oz of production is very likely in 2026 and Equinox can join the senior producers club. Recent share price appreciation reflects the near term optimism for both new mines and the positive changes that the new mgmt has caused. This stock had done well in 2025 but should get a serious rerating in 2026 and could easily double.

Recently bought some EQX LEAP options. EQX is in the penalty box because they lost their Los Filos mine due to a community not ratifying agreement. This created lower production and higher costs resulting in Q1 loss. However medium term appears very bright. The Greenstone mine is a big mine located in Canada that is just ramping up. Their merger with Caliber will bring them a second mine that will ramp up in 2026. Equinox will just need to get back on track, which shouldn't be hard to do with Greenstone in rampup. There aren't many 1 million+ producers in good jurisdictions. Equinox will be one in 2026/7.

Outstanding performance at Mesquite and Aurizona was supported by a full quarter of operations at Los Filos and consistent performance at our other mines. During the quarter we commenced construction at our Greenstone project in Ontario, Canada and made significant construction progress at Santa Luz in Brazil. These new mines will produce more than 400,000 ounces (of which 60% is attributable to Equinox Gold) and 100,000 ounces of gold annually, respectively. We drew no additional debt during 2021 and also announced the sale of our Mercedes Mine, an agreement that will further strengthen both our balance sheet and investment portfolio.

"During 2021, Equinox Gold produced its millionth ounce of gold as a company and realized over $1 billion in revenue. In addition to strong cash flow from our operating mines, Equinox Gold has more than $300 million in cash, $200 million available to draw on our revolving credit facility, expected proceeds from the Mercedes sale and an investment portfolio worth approximately $450 million at current market prices. Equinox Gold is in a strong position to deliver on our ambitious growth strategy in 2022, including commencing production at our new Santa Luz mine, advancing construction at Greenstone and conducting exploration programs across our operations."

for the first hole drilled at the Company’s Granite Creek Property

has returned high-grade results that confirm the high-grade open pit
opportunity.

Hole iGM21-01, drilled from the bottom of the historic CX-Pit
intersected two zones of mineralization grading
3.17 g/t Au over 7.5 m and
6.80 g/t Au over 51.1 m (see Table 1).

The hole was drilled for metallurgical purposes into the main structure
below the pit (true widths unknown) and returned exceptional grades
that appear to be oxide mineralization based on an average cyanide
soluble to fire assay ratio of 0.94 over both intervals.

The surface drill program targeting open pit mineralization at Granite
Creek is complete (see Figure 2 below) and multiple assays remain
pending.
The drill program was focused on intersecting material to be used for
metallurgical and geotechnical purposes in advance of initiating
permitting for an open pit mine and on-site processing.

for the first hole drilled at the Company’s Granite Creek Property
(“Granite Creek” or “the Property”) located in Humboldt County, Nevada
has returned high-grade results that confirm the high-grade open pit
opportunity.

Hole iGM21-01, drilled from the bottom of the historic CX-Pit
intersected two zones of mineralization grading
3.17 g/t Au over 7.5 m and
6.80 g/t Au over 51.1 m (see Table 1).

The hole was drilled for metallurgical purposes into the main structure
below the pit (true widths unknown) and returned exceptional grades
that appear to be oxide mineralization based on an average cyanide
soluble to fire assay ratio of 0.94 over both intervals.

The surface drill program targeting open pit mineralization at Granite
Creek is complete (see Figure 2 below) and multiple assays remain
pending.
The drill program was focused on intersecting material to be used for
metallurgical and geotechnical purposes in advance of initiating
permitting for an open pit mine and on-site processing.
