Matador Resources Company Announces Expansion of San Mateo’s Delaware Basin Footprint Through the Acquisition of Cardinal MidstreamJune 29, 2026 6:00 AM
Business Wire Matador Resources Company (NYSE: MTDR) (“Matador” or the “Company”) today announced that San Mateo Midstream, LLC (“San Mateo”), Matador’s 51%-owned midstream joint venture with Five Point Infrastructure (“Five Point”), has entered into a definitive agreement to acquire the operating subsidiaries of Cardinal Midstream Partners, LLC (“Cardinal”), a portfolio company of EnCap Flatrock Midstream, for total cash consideration of $752 million. The transaction is expected to close on or before July 31, 2026, subject to customary closing conditions (the “Cardinal Acquisition”). Cardinal’s midstream assets are complementary to San Mateo’s existing natural gas gathering and processing system and provide San Mateo the ability to move natural gas more easily throughout the northern Delaware Basin in southeast New Mexico and West Texas (see map, Exhibit A). Cardinal’s assets consist of (i) a cryogenic natural gas processing plant complex in Loving County, Texas with a designed inlet capacity of approximately 320 million cubic feet of natural gas per day, and (ii) approximately 145 miles of low-pressure and high-pressure natural gas gathering pipelines located in West Texas and southern Eddy County, New Mexico. The Cardinal plant complex sits on approximately 75 acres with two residue natural gas takeaway connections and four natural gas liquids takeaway connections, providing San Mateo the ability to expand processing capacity in the future. Third-Party Customer Relationships and Volumes. Nine of Cardinal’s natural gas gathering and processing customers would be new natural gas customers for San Mateo. The mix of Cardinal’s major, mid-cap and private Delaware Basin producers is expected to directly increase San Mateo’s customer base, volume throughput and revenue generation from third-party customers. Expanded Scale. The Cardinal Acquisition is expected to increase San Mateo’s designed natural gas processing capacity to more than one billion cubic feet per day and expand San Mateo’s gathering systems to over 800 miles of pipeline. Enhanced Flow Assurance for Matador and Other Customers. The combined natural gas system is expected to provide immediate synergies for San Mateo’s gas gathering and processing system. These expected synergies include the ability to flow volumes between Cardinal’s natural gas processing plant in Loving County, Texas and San Mateo’s existing Marlan Processing Plant and Black River Processing Plant, both located in Eddy County, New Mexico. Once acquired, the Cardinal plant complex in Texas as shown on the map should provide additional options and coverage to producers in the area. Accretive to Adjusted EBITDA and Cash Flows. San Mateo expects the Cardinal assets to be immediately accretive to both San Mateo’s Adjusted EBITDA and cash flows. Adjusted EBITDA from the Cardinal assets is expected to increase to up to $110 million on an annualized basis by 2028 when the Cardinal plant complex is anticipated to be completely full. Financing Highlights San Mateo expects to finance the Cardinal Acquisition, in part, through a new term loan of up to $650 million under its existing credit facility. This new term loan will be led by PNC Bank, the lead bank under Matador’s reserves-based credit facility, and Truist Bank, the lead bank under San Mateo’s existing credit facility. The new term loan will become due and payable 364 days following the closing of the Cardinal Acquisition. The remainder of the purchase price is expected to be funded through a combination of cash on hand, borrowings under San Mateo’s existing credit facility and capital contributions from its partners. Matador expects to use distributions from San Mateo and/or proceeds from the potential drop-down to San Mateo or sale of a portion of Matador’s wholly-owned midstream assets to fund any cash contribution. This transaction is an additional step taken by Matador’s marketing team to improve all-in pricing netbacks and reduce exposure to Waha Hub pricing in the second half of 2026. In addition to this gas supply agreement, Matador has executed separate natural gas liquid (“NGL”) agreements with various ET affiliates to dedicate and sell Matador’s NGLs from multiple sources in the Delaware Basin to ET. On October 30, 2025, Matador announced that it had secured firm transportation on Energy Transfer’s Hugh Brinson Pipeline to move 500,000 MMBtu per day of natural gas production out of the Permian Basin to points of sale where demand and pricing have historically been significantly higher than at the Waha Hub. Matador Resources Company (NYSE: MTDR) (“Matador”) today announced the expiration and results of its previously announced cash tender offer (the “Tender Offer”) to purchase any and all of the $500 million outstanding aggregate principal amount of its 6.875% Senior Notes due 2028 (the “Notes”).
The Tender Offer expired at 5:00 p.m., New York City time, on March 4, 2026 (the “Expiration Time”). As of the Expiration Time, an aggregate principal amount of $419,705,000, or approximately 84%, of the Notes were validly tendered and not validly withdrawn, which amount excludes $4,530,000 aggregate principal amount of the Notes that remain subject to guaranteed delivery procedures described in the Offer to Purchase and the Notice of Guaranteed Delivery (each as defined below). Matador has accepted for purchase all Notes validly tendered prior to the Expiration Time pursuant to the Tender Offer and expects to pay the consideration (the “Consideration”) for such Notes on March 5, 2026 (the “Settlement Date”). Matador also expects to accept for purchase all Notes that remain subject to guaranteed delivery procedures and to pay the Consideration for such Notes on March 9, 2026.
The Consideration to be paid for the Notes is $1,019.75 for each $1,000 principal amount of the Notes validly tendered and accepted for purchase pursuant to the Tender Offer, plus an amount equal to any accrued and unpaid interest up to, but not including, the Settlement Date. For the avoidance of doubt, interest on the Notes will cease to accrue on the Settlement Date for all Notes accepted in the Tender Offer. The offering is expected to close on March 5, 2026, subject to customary closing conditions.
Matador intends to use the net proceeds from the offering (i) to repurchase any and all of the $500 million outstanding aggregate principal amount of its 6.875% senior notes due 2028 (the “2028 Notes”) through a cash tender offer (the “Tender Offer”), and to pay related premiums, fees and expenses in connection with the Tender Offer, and (ii) to repay borrowings outstanding under Matador’s credit facility. Improving Capital Efficiency, Profitability and Decreased Finding Costs
“This year, our specific objectives are to continue to increase production, reduce capital spending and grow our midstream assets, while remaining opportunistic on acquisition opportunities that may arise. Altogether, Matador projects its drilling plans, capital efficiencies and other catalysts to drive a 2026 operating plan that grows oil production by approximately 3% to 123,000 barrels of oil per day, while reducing 2026 total capital expenditures by 11% to $1.50 billion. The ability to achieve this 3% oil production growth profile while reducing capital expenses illustrates Matador’s successful focus on operating efficiencies and inventory strength.
“In this regard, Matador anticipates its 2026 drilling and completion cost to be approximately $795 per lateral foot, a 6% reduction compared to 2025, which would enable us to continue to further increase capital efficiency and decrease capital spending as planned. The expected decrease in capital spending from 2025 to 2026 is primarily attributable to anticipated operating efficiency improvements, including a 13% reduction in timing to drill and complete a well. Meanwhile, Matador expects to deliver 3% oil production growth in 2026 compared to 2025 while still turning to sales a similar amount of net lateral footage. As evidence of these asset and operating strengths, we achieved record total proved oil and natural gas reserves of 667.0 million BOE at December 31, 2025 (an increase of 9% from 611.5 million BOE at December 31, 2024), with a standardized measure of $7.0 billion and a PV-10 of $8.2 billion. The increase to our reserves—approximately 98% of which was organic in 2025—represents a reserve replacement ratio of 173%. The reserves replacement ratio was especially notable since future finding and development costs for our proved undeveloped reserves in our audited reserve report decreased 6% from $10.98 per BOE in 2024 to $10.34 per BOE in 2025. The proved reserves estimates are prepared by the Company’s internal engineering staff and audited by an independent reservoir engineering firm, Netherland, Sewell & Associates.
“As previously reported, Matador has secured 500 MMBtu per day of firm natural gas transportation on Energy Transfer’s new Hugh Brinson pipeline. This contractual deal with Energy Transfer is expected to be one of Matador’s most important transportation and marketing arrangements going forward. Energy Transfer expects this pipeline to begin flowing gas in the third quarter of 2026 and be fully in-service in the fourth quarter of 2026. The Hugh Brinson pipeline is expected to provide direct access for Matador from the Waha hub in the Permian Basin to the historically more profitable Henry Hub markets along the Louisiana Gulf Coast. The Hugh Brinson pipeline is also expected to help Matador access other key markets, including data centers supporting Artificial Intelligence (AI) and terminals for exports of Liquified Natural Gas (LNG). During 2025, average realized pricing at Henry Hub was as much as $3 higher than realized pricing at the Waha hub. Substantial market differentials such as these prices could provide significant additional revenue, as each $0.50 per MMBtu increase in realized natural gas price would increase Matador’s estimated annual revenue by approximately $90 million.
“Matador is also pleased to report record fourth quarter 2025 production of 211,290 barrels of oil and natural equivalent (BOE) per day (121,363 barrels of oil per day), which constitutes an increase of 1% from the third quarter 2025 production of 209,184 BOE per day (119,556 barrels of oil per day). These record results were achieved despite significant market price difficulties for natural gas at the Waha hub in the fourth quarter of 2025.
Midstream Value Realization
“Matador’s midstream assets include (i) San Mateo, which is owned 51% by Matador and 49% by Five Point, and (ii) wholly-owned assets, which were largely acquired as part of the Advance acquisition in 2023 and the Ameredev acquisition in 2024. On a combined basis, San Mateo and Matador’s wholly-owned midstream assets had net income of $239 million and Adjusted EBITDA of $332 million for the full-year 2025. Through the continued operational improvements and the growth of both Matador and third-party volumes, we expect the combined Adjusted EBITDA of our midstream assets to grow 8% to $360 million in 2026. This profitability of the San Mateo assets in 2025 resulted in cash distributions to Matador of $137 million for its 51% interest in San Mateo and $13 million in performance incentives from Five Point.

Five Point has advised us that it is in the process of moving its 49% ownership in San Mateo into a continuation vehicle, which would allow us to continue building midstream value together. Quality Land Acquisitions
“In 2025, Matador’s land team added 17,500 net acres through our ‘brick-by-brick’ strategy, increasing our Delaware Basin acreage position to approximately 212,500 net acres. These efforts largely replaced the inventory that Matador drilled during 2025. As we begin 2026, Matador remains focused on strategically adding acreage in order to maintain 10 to 15 years of high-quality inventory in the Delaware Basin. Additionally, we believe our current Delaware Basin position offers further geologic upside. For example, we have identified prospective acreage targeting the Woodford shale, and plan to test the formation in the first half of 2026.
Maintaining a Strong Balance Sheet
“Finally, at year-end 2025, Matador was able to maintain a strong financial position and achieve the production highlights noted above while still paying down approximately $200 million on our RBL credit facility and increasing our dividend for the seventh time in the past four years. Matador ended 2025 with a leverage ratio of 1.1 times and liquidity under the RBL of $1.8 billion. To further protect its balance sheet from oil-price volatility, the Company hedged approximately 50% of its projected 2026 oil production using costless collars at a weighted average floor price of approximately $53 per barrel and a weighted average ceiling price of approximately $66 per barrel.

Operational and Financial Update
Record Fourth Quarter 2025 Oil, Natural Gas and Total Oil Equivalent Production
Matador’s average oil and natural gas production was 211,290 BOE per day in the fourth quarter of 2025, which was the highest in Matador’s history and 2% better than the midpoint of Matador’s expected fourth quarter production guidance of 206,500 BOE per day. The primary drivers behind this outperformance were increased production from new wells turned to sales in Matador’s Arrowhead and Ranger asset areas. Matador achieved these record results despite shutting in ~4,000 BOE per day in the fourth quarter of 2025 due to weak natural gas pricing at the Waha hub. Most of these shut-in volumes were forecasted as part of the Company’s fourth quarter 2025 production guidance.

Together, these updates reflect Matador’s disciplined and opportunistic approach to the management of commodity price volatility, growth of its Delaware Basin portfolio and execution on operational efficiencies that continue to improve well performance.
Hedging Update – Opportunistic Additions
Matador opportunistically added hedges during recent commodity price increases and has now hedged approximately 35% to 40% of its 2026 oil production with costless collars at a weighted average floor price of $51.72 per barrel and a weighted average ceiling price of $65.05 per barrel. Consistent with its disciplined, value-driven approach, Matador’s hedging program is designed to provide downside protection and greater cash flow visibility while preserving meaningful exposure to stronger commodity prices. These additional hedges are expected to add to the protection of Matador’s balance sheet and postion it to return value to its shareholders at a wide range of commodity prices.
2025 A&D Update – “Brick-by-Brick” Approach Continues to Deliver
In 2025, Matador continued its long-standing “brick-by-brick” acquisition strategy, adding high-quality acreage throughout its core asset areas in the Delaware Basin. Matador completed over 690 separate transactions for approximately 17,500 net acres in acquisitions in 2025, bringing Matador’s Delaware Basin acreage total to 212,500 net acres as of December 31, 2025.
The total consideration for these acquisitions was approximately $245 million, or $14,000 per net acre, excluding capitalized general and administrative expenses. Many of these transactions involved the addition of interests in Matador-operated units that were drilled in 2025 or that are planned to be drilled in 2026. These acquisitions enhanced the immediate value of the assets and further improved the economics on the wells drilled at these locations.
Notably, Matador’s “brick-by-brick” approach resulted in the addition of 100 net locations in 2025, along with 23 upside locations, essentially replacing the locations drilled by Matador in 2025.
Improved Well Performance and Increased Efficiencies in Lea County Development
In 2025, Matador also continued to realize improved well performance and cost efficiencies through large-scale batch developments. For example, during the second half of 2025, Matador turned-to-sales a 17-well batch development—one of the largest developments in Matador’s history—on its John Callahan unit in Matador’s Antelope Ridge asset area in Lea County, New Mexico targeting multiple horizons in the Bone Springs and Wolfcamp formations. Early production results for this project show recoveries approximately 8% higher than Matador’s company-wide average normalized oil production for wells turned-to-sales in 2024 and 2025. These better-than-expected results are primarily attributable to improved well targeting, completion design and chemical optimization. Average lateral lengths of 10,300 feet, combined with full trimul-frac and simul-frac completion operations, reduced total well cost by 10% compared to Matador’s 2024 Lea County, New Mexico averages, further strengthening well economics even in stressed commodity environments. The John Callahan unit also reflects the benefits of Matador’s “brick-by-brick” land strategy discussed above, as Matador incrementally increased its working interest through the acquisition of additional interests in the unit, enhancing overall returns from the development.
