MONROE, La., April 12, 2017 /PRNewswire/ -- Delaware, Hawaii, Maryland and the District of Columbia recently joined the states of Georgia, Ohio, Utah and West Virginia in approving the merger of CenturyLink, Inc. (NYSE: CTL) and Level 3 Communications, Inc. (NYSE: LVLT). The merger also recently received regulatory clearance from Texas, in addition to previous regulatory clearances from the states of Connecticut, Indiana, Louisiana and Nevada.

The merger, announced Oct. 31, 2016, should allow the combined companies to offer enterprise and wholesale customers a broader and more complementary range of services and solutions, positioning the combined companies to enable the advanced technology and growing bandwidth needs of all customers, including small businesses, large businesses, large multinational enterprises and government entities.

In December 2016, CenturyLink began filing applications with the appropriate federal and state regulatory agencies. The transaction is subject to the companies receiving various regulatory approvals and other customary closing conditions. The two companies continue to expect to receive the remaining state, federal and international approvals in time to complete the merger by Sept. 30, 2017.

Where there will not be no misunderstanding for the New shareholders the 52 week low is $44.01 and the 52 week high is $60.13 which is only $4.00 below the 52 week high and at $56.13 on a down day its still $12.12 Above the 52 week low and as i,ve posted many times it is always breaking new 52 week highs and its been on Googles Buy out list because of the Fiber it owns.

How pathetic. When the CTL acquisition of LVLT was announced, it was stated to be worth anywhere from $66.42 - $69+ per share for LVLT shareholders. As of today, with the deal fully approved by both sets of shareholders, it is only worth $58.90 per share for LVLT shareholders. The CTL share price has dropped precipitously since the deal was announced, and CTL is trading just barely above its 52-week low here today. Just more pain for long term LVLT holders.

Happy for you. Those like you that came late to the party have made out alright. But, as emphasized in the article and the charts, long term holders here have very significant losses with this deal. those that acquired LVLT shares in the $80 - $120 range prior to the reverse 1-for-15 share split are sitting on shares with a cost basis of $1,200 to $1,800.

And, at the time, no one would have thought they should sell LVLT when it hit $132+ in 2000.

$ LVLT. As I,ve said before that I am very happy with my investment with LVLT and have traded stocks for around 30 years and owned LVLT from back when it was $1.15 are some where around there and its a keeper for me.

Excellent article here on history of Level 3 and heavy losses for long time investors. Very sad, as there was so much promise to begin with. The charts (arrow over from 1st pic) showing the share price performance both before the reverse 1-for-15 share split, and after the reverse split, speak volumes. The current share price computes to less than $4 pre-split, compared to the $132+ high.

$ LVLT. Yes i expect for it to pass and LVLT has been good for me through the years and i,ve traded it according to the News and added the Bigger pull backs so i am studying and planing my next move for now and will see how it trades. LVLT

LVLT CEO to get $4.2 Million payout upon closure of merger, according to story in Denver Business Journal late last week. No wonder he agreed to do a fire sale of LVLT well below its true long term value. I suspect a ton of long term LVLT holders will vote against the CTL deal, but it will pass due to the significant insider holdings and the huge payouts going to the departing LVLT execs following closure of the deal.

Most investors who have held LVLT long term, i.e. held for more than 8-10 years, are down quite a bit and that explains the bounce back today after the end of the tax loss selling season. Folks who did not want to wait around to see if the shares yield the projected $65 - $70 in the sale to CenturyLink (CTL) may have bailed a bit early and left some of the funds on the table in order to take the tax loss in 2016. Nice upward movement in the PPS today.

$ LVLT. Anyone thats down in LVLT needs to quit fooling with Stocks IMO. I,ve traded for over 30 years and LVLT has never been nothing but a winner from day one with me but i had traded alot of stocks for years before buy LVLT. I think i first bought in 2008 are 9 one and gave like $1.15 a share back then and most people dont trade Mid & Large caps and buy the Dips like they do Penny Stocks but you have to trade them and not fall in Love with any stock but Smart traders do trade higher price stocks but not that many IMO. LVLT proves all the time that it always moves back up and sats 52 week hi9ghs all the time. I trade for myself and i really like LVLT but for those that dont thats fine also. $ LVLT

If you have owned it for very long you are still under the water like the rest of us who acquired most of our shares back in the late 1990's. The 1-for-15 Reverse Split masks the losses a bit, but the real pre-split price right now is only around $3.75 - $4. And, now, all we get is CTL shares and some cash, but not near enough for any long term holders to come out whole or near break even.

Very disappointing to see LVLT still trading well below the stated value of the buyout by CTL, which initially was stated to be in the $69-$70 area, but that is simply due to the severe drop in CTL shares after the deal was announced. Hopefully both CTL and LVLT will rebound and trend upward as more time passes leading up to closing of the transaction.

I somewhat agree. It's probably a deal I won't arbitrage on. I am playing the Qualcomm/NXPI deal which is an all cash deal for 110.00 a share.

The market does not believe this deal will be completed. LVLT had to have put some protections in the Agreement based on CTL's share price remaining up in a certain range. And, it is becoming more apparent that LVLT shareholders are not happy at all with this deal as there is far greater long term additional value in LVLT given its additional unlit conduits, future projections and new $1 Billion in free cash flow this year and more going forward. This deal is a disaster for LVLT shareholders at this point.

Good find. LVLT is being drug down by the falling CTL share price and issues. This merger may have issues. Only time will tell.

With a little less than a year before the deal closes and still some regulatory uncertainty, you would be better off playing the options.

Another potentially disruptive regulation is headed CenturyLink’s way later this year. The Federal Communications Commission in May floated new “business data services” rules that could cut the fees incumbent telephone companies can charge rivals by as much as 19%.

CenturyLink opposes the proposed rate changes and on Monday sent the agency a letter criticizing its transparency. “This drastic rate cut would cripple many providers’ ability to continue providing quality service, much less have money left to invest in broadband innovation for the future,” the letter said.

The deal should close according to plan but there is some perceived risk that is keeping this from approaching the deal price not to mention that the deal is only 26.50 cash and the rest CLT stock which could be pressured by FCC rules.

The significant selling and drop in the CTL shares is what is holding LVLT down at these levels well below the stated value of the deal for LVLT shareh9olders, which has been pegged earlier today to be anywhere from $66.50 to $69.94 in one report based on Friday's close for each.

CTL is getting hammered right now. How long before this thing starts going the other way ? That's the question

The acquisition by CTL is stated to be worth $66.50 per share for LVLT holders, but Dow Jones and others valued it at $69.92 based on Friday's closing prices. However, CTL shares are down hard today, but several commentators and analysts indicate this deal is great for CTL holders, as LVLT's huge free cash flow will lower the dividend payout ratio for the surviving company and help guarantee a healthy dividend going forward. The CTL dividend currently sits at $2.16 or 7%+ at CTL's current share price. CTL has indicated that it intends to keep the dividend at that rate following closure of the deal with LVLT.

This looks like a very strategic merger for LVLT and CTL, and the markets is obviously seeing huge positives for both.

Nice strong bounce back recovery. Early reaction in the market was a gross over-reaction to our CEO's comments yesterday at the Goldman Sachs Communicopia Conference in new York yesterday.

Just need to see the Q and see the free cash flow building up. LVLT should have well over $1 Billion in free cash flow this year. And there is always the prospect of a merger deal or acquisition by Google or one of the cable companies. Although, a buyout might still leave some long term holders here under water, e.g. those who bought back in the very early stages in the late 90's and early 2000's at the much higher share prices back then (when the interim splits and the 1:15 R/S are factored in).
