Securityholder) of up to 19,050,381 our ordinary shares, par value $0.000001 per share (Ordinary Shares) that were issued on a private placement basis to the Selling Securityholder. On December 14, 2023, we issued 19,050,381
Ordinary Shares to the Selling Securityholder for an effective price of $3.65 per share. See the section titled Selling Securityholder for additional information regarding the Selling Securityholder. We will not receive any
proceeds from the sale of the securities by the Selling Securityholder.

We are a Cayman Islands holding company, and our operations are conducted by our subsidiaries organized in various jurisdictions including

On December 15, 2022, the PCAOB issued a report that vacated its December 16, 2021 determination and removed mainland China and Hong Kong from the list of jurisdictions where it is unable to inspect or investigate completely registered
public accounting firms. However, there can be no assurance that the PCAOB will continue to have such access. Should PRC authorities fail to facilitate the PCAOBs access in the future, the PCAOB may consider the need to issue a new
