(NYSE: GCO) (“Genesco” or the “Company”), today issued the following statement: “The Company’s proxy statement touts Joanna Barsh’s supposed credentials to serve on Genesco’s Board of Directors. It claims, inaccurately, that she has ‘Public Company Leadership (CEO or Board Experience)’ – but Genesco is her only public company experience, period. She has never served on the board of another public company and has never been a public company CEO. Notably, Ms. Barsh’s director service at Genesco cannot serve as the basis for claiming such experience, given that the Company did not check such box for directors Bilunas, Bojanowski or Meixelsperger, who have served on the Genesco Board for 4, 4 and 5 years, respectively. Genesco also gives Ms. Barsh credit for supposedly having ‘Senior Leadership Experience (C-Suite or Equivalent),’ but she has never held a C-suite role at any company. Being a lifelong consultant at McKinsey & Company, where there are more than 2,500 partners and where 200 partners are named every year, is not the same as operating a company. Given that she has never worked in financial services or as any sort of finance professional, investment banker, lawyer or regulator, we are confounded as to how Genesco can say with a straight face that Ms. Barsh has ‘financial, transaction, accounting or regulatory compliance expertise.’ The Company goes on to paint Ms. Barsh as a supposed expert on ‘helping management teams and boards identify market opportunities, chart and implement strategies, identify and execute business transformations and navigate industry transitions’ – how is that going for Genesco? Quite badly, the evidence would suggest: during Ms. Barsh’s 13-year tenure, Genesco’s share price declined by 50.2%.1 It turns out that Ms. Barsh’s ‘extensive research on advancing women and people of color in the workplace’ and ‘books on leadership’ have failed to drive improved operating results and shareholder value creation at Genesco. As outlined in our June 29, 2026 presentation, we offered several suggestions to improve shareholder value and avoid a proxy contest, but, in our view, the Board did not meaningfully consider any of our suggestions. It is no surprise that the Company, which is facing its third activist campaign in just eight years, was completely dismissive of our attempts to settle this proxy contest and refused to conduct a good-faith interview of our nominees: Ms. Barsh chairs the very same Nominating and Governance Committee that was responsible for evaluating our candidates and that renominated Ms. Barsh for her 14th year as a director! IH Market News Shares rise despite earnings shortfall Genesco Inc. (NYSE:GCO) gained more than 7% in pre-market trading on Friday after the footwear retailer reported first-quarter revenue ahead of expectations and raised its profit outlook for the full year. While adjusted earnings missed analyst forecasts, investors focused on stronger sales trends, improving margins and management’s more optimistic earnings guidance. Revenue growth outpaces expectations For the quarter ended 2 May 2026, Genesco reported revenue of $487 million, exceeding the consensus estimate of $476.67 million. Sales increased 3% from $474 million in the corresponding period last year, reflecting continued momentum across several of the company’s core brands. The retailer also recorded its seventh consecutive quarter of positive comparable sales growth, with total comparable sales rising 2%. Earnings miss offset by stronger operational trends Adjusted loss per share came in at $2.18 for the quarter, below analyst expectations of a $1.96 loss per share. Despite the earnings miss, investors appeared encouraged by the company’s sales performance, margin improvements and confidence in the outlook for the remainder of the fiscal year. Key divisions deliver mixed performance Performance varied across Genesco’s operating segments during the quarter. Journeys delivered comparable sales growth of 5%, continuing to benefit from healthy demand within its core customer base. Johnston & Murphy produced an even stronger performance, with comparable sales accelerating 7% year-on-year. Schuh, however, reported a 9% decline in comparable sales after management reduced promotional activity in an effort to prioritise full-price selling and improve profitability. Management highlights strong start to the year Chief Executive Officer Mimi E. Vaughn said the company had entered the new fiscal year with positive momentum. “After a strong finish to Fiscal 2026, we are pleased to report a solid start to Fiscal 2027, delivering our seventh consecutive quarter of positive comparable sales and first quarter results that exceeded expectations across the board,” Vaughn said. Margins continue to improve Genesco also reported stronger profitability metrics during the quarter. Gross margin increased by 30 basis points to 47.0%, compared with 46.7% a year earlier. The improvement was driven by lower shipping and warehouse costs, along with a reduction in promotional activity across the business. Adjusted selling and administrative expenses also improved, declining by 60 basis points as a percentage of revenue. Full-year guidance raised Reflecting confidence in current trading conditions, Genesco increased its adjusted earnings forecast for the full fiscal year. The company now expects adjusted earnings per share of between $2.00 and $2.40, compared with previous guidance of $1.90 to $2.30. The midpoint of the revised range, $2.20 per share, sits above the analyst consensus estimate of $2.13. Management maintained its outlook for comparable sales growth of between 1% and 2%, while continuing to forecast total sales ranging from a 1% decline to flat compared with fiscal 2026. New cost-saving initiative unveiled Alongside the results, Genesco announced a new efficiency programme aimed at further strengthening profitability over the coming years. The initiative is expected to generate between $40 million and $50 million in cumulative cost savings by fiscal 2029. First Quarter Review Net sales for the first quarter of Fiscal 2027 increased 3% to $487 million compared to $474 million in the first quarter of Fiscal 2026. The net sales increase reflects a 2% increase in comparable sales, including a 3% increase in same store sales, other non-comp gains and a favorable foreign exchange impact, partially offset by the impact of net store closings. On a constant currency basis, Schuh sales were down 9% for the first quarter this year. Gross margin for the first quarter this year of 47.0% increased 30 basis points as a percentage of sales compared to 46.7% last year. The increase as a percentage of sales compared to Fiscal 2026 is due primarily to efficiencies in shipping and warehouse costs and less promotional activity across our businesses, partially offset by changes in brand mix at Journeys and Schuh. Selling and administrative expenses improved to 52.2% compared to 52.5% last year. Adjusted selling and administrative expenses for the first quarter this year of 51.9% improved 60 basis points as a percentage of sales compared with last year primarily reflecting decreased selling salaries, occupancy, freight and warehouse expenses as well as ongoing cost savings initiatives, partially offset by increased performance-based incentive compensation expenses and investments in marketing. Genesco’s GAAP operating loss for the first quarter was $15.4 million, or 3.2% of sales this year, compared with a loss of $28.1 million, or 5.9% of sales in the first quarter last year. Adjusted for the Excluded Items in the first quarters of both Fiscal 2027 and Fiscal 2026, the operating loss for the first quarter was $23.9 million this year compared to a loss of $27.9 million last year. Adjusted operating margin was a loss of 4.9% of sales in the first quarter of Fiscal 2027 compared to a loss of 5.9% in the first quarter last year. The effective tax rate for the first quarter was 6.8% in Fiscal 2027 compared to 28.5% in the first quarter last year. The adjusted tax rate, reflecting Excluded Items, was 6.9% in Fiscal 2027 compared to 26.7% in the first quarter last year. The lower adjusted tax rate for the first quarter of Fiscal 2027 compared to the first quarter last year primarily reflects a lower expected tax rate for Fiscal 2027 versus Fiscal 2026 due to the impact of the valuation allowance in certain jurisdictions combined with the income tax law changes from the One Big Beautiful Bill Act (“OBBBA”). GAAP loss from continuing operations was $14.8 million in the first quarter of Fiscal 2027 compared to a loss of $21.2 million in the first quarter last year. Adjusted for the Excluded Items, the first quarter loss from continuing operations was $22.7 million, or $2.18 per share, in Fiscal 2027, compared to a loss of $21.5 million, or $2.05 per share, in the first quarter last year. Tariff Refunds The Company is expecting refunds under the International Emergency Economic Powers Act of approximately $23 to $25 million related to its branded businesses, for which it has already applied but which are not included in the financials this quarter. In addition, the tariff refunds are not included in the Company’s guidance for the remainder of the year. Cost Savings Program In connection with its IT Transformation and programs to drive automation, operating efficiencies and spend optimization, the Company is announcing a new cost reduction program which is expected to generate cost savings of $40 to $50 million between now and Fiscal 2029. This program is aimed at structurally reducing the cost base, continued investment in growth initiatives, further supporting operating margin expansion and continued utilization of AI capabilities which unlock additional opportunities. Cash, Borrowings and Inventory Cash as of May 2, 2026, was $27.1 million, compared with $21.7 million as of May 3, 2025. Total debt at the end of the first quarter of Fiscal 2027 was $45.3 million compared with $121.0 million at the end of last year’s first quarter. Inventories increased 6% on a year-over-year basis primarily reflecting increased inventory for Journeys, partially offset by decreased inventory at Genesco Brands. Capital Expenditures and Store Activity For the first quarter this year, capital expenditures were $15 million, related primarily to retail stores. Depreciation and amortization was $13 million. During the quarter, the Company opened two stores and closed 30 stores. The Company ended the quarter with 1,208 stores compared with 1,256 stores at the end of the first quarter last year, or a decrease of 4%. Square footage was down 4% on a year-over-year basis. Share Repurchases The Company did not repurchase any shares during the first quarter of Fiscal 2027. The Company currently has $29.8 million remaining on its expanded share repurchase authorization announced in June 2023, after repurchasing 604,531 shares during Fiscal 2026. The Company continues to view share repurchases as an important component of its balanced capital allocation strategy and is committed to deploying excess capital. Fourth Quarter Review


Net sales for the fourth quarter increased 7% to $800 million in Fiscal 2026 compared to $746 million in the fourth quarter of Fiscal 2025. The net sales increase reflects a 9% increase in comparable sales, including a 9% increase in same store sales and an 8% increase in e-commerce comparable sales and a favorable foreign exchange impact, partially offset by decreased wholesale sales and the impact of net store closings.

The overall sales increase of 7% for the fourth quarter of Fiscal 2026 compared to the fourth quarter of Fiscal 2025 was driven by an increase of 10% at Journeys, 9% at Schuh and 2% at Johnston & Murphy, partially offset by a decrease of 27% or $10 million at Genesco Brands. On a constant currency basis, Schuh sales were up 3% for the fourth quarter.


Fiscal 2026 fourth quarter gross margin was 45.9% compared to 46.9% last year. Adjusted gross margin for the fourth quarter was 46.0%, down 90 basis points compared with 46.9% last year. The decrease in adjusted gross margin as a percentage of sales compared to Fiscal 2025 is due primarily to increased promotional activity at Schuh and lower margins at Genesco Brands related to ongoing tariff pressure and changes in channel mix.


Selling and administrative expenses for the fourth quarter of Fiscal 2026 decreased 140 basis points as a percentage of sales to 39.1% compared with 40.5% last year. The decrease as a percentage of sales compared to Fiscal 2025 primarily reflects decreased occupancy costs and selling salaries, along with other expenses as part of our cost savings initiatives.


Genesco’s GAAP operating income for the fourth quarter was $51.3 million, or 6.4% of sales in Fiscal 2026, compared with $46.1 million, or 6.2% of sales in the fourth quarter last year. Adjusted for the Excluded Items in the fourth quarters of both Fiscal 2026 and 2025, operating income for the fourth quarter of Fiscal 2026 was $55.9 million compared to $47.9 million last year. Adjusted operating margin was 7.0% of sales in the fourth quarter of Fiscal 2026 and 6.4% in the fourth quarter last year.


The effective tax rate for the quarter was 6.4% in Fiscal 2026 compared to 25.8% in the fourth quarter last year. The adjusted tax rate, reflecting Excluded Items, was 27.4% in Fiscal 2026 compared to 23.8% in the fourth quarter last year. The higher adjusted tax rate for the fourth quarter of Fiscal 2026 compared to the fourth quarter last year primarily reflects a higher expected tax rate for Fiscal 2026 versus Fiscal 2025 due to the impact of the valuation allowance in certain jurisdictions and additional global minimum tax under the Organization for Economic Cooperation and Development’s Pillar Two framework. The divergence between the effective tax rate and the adjusted tax rate is due to income tax law changes under the OBBBA in Fiscal 2026, which we have excluded from the adjusted tax rate in Fiscal 2026.


GAAP earnings from continuing operations were $47.5 million in the fourth quarter of Fiscal 2026 compared to $33.6 million in the fourth quarter last year. Adjusted for the Excluded Items, fourth quarter earnings from continuing operations were $40.2 million, or $3.74 per share, in Fiscal 2026, compared to $35.8 million, or $3.26 per share, in the fourth quarter last year.


Full Year Review


Net sales for Fiscal 2026 increased 5% to $2.4 billion compared to $2.3 billion in Fiscal 2025. The net sales increase for Fiscal 2026 reflected a 6% increase in comparable sales, including a 6% increase in same store sales and a 4% increase in e-commerce comparable sales, and a favorable foreign exchange impact, partially offset by 42 net store closings and decreased wholesale sales.


Overall sales for Fiscal 2026 compared to Fiscal 2025 increased 7% at Journeys and 4% at Schuh, partially offset by a decrease of 4% at Genesco Brands, while sales at Johnston & Murphy were flat. On a constant currency basis, Schuh sales were flat for Fiscal 2026.


Gross margin for Fiscal 2026 was 46.3% compared with 47.2% last year. Adjusted gross margin for Fiscal 2026 decreased 90 basis points as a percentage of sales compared to last year. The decrease as a percentage of sales compared to Fiscal 2025 is due primarily to increased promotional activity at Schuh and lower margins at Genesco Brands related to the exit of licenses and ongoing tariff pressure. Gross margins were flat for both Journeys and Johnston & Murphy for Fiscal 2026.


Selling and administrative expenses for Fiscal 2026 decreased 120 basis points as a percentage of sales to 45.2% compared to 46.4% last year. The decrease as a percentage of sales compared to Fiscal 2025 reflects decreased occupancy costs and selling salaries along with other expenses as part of our cost savings initiatives.


Genesco’s GAAP operating income for Fiscal 2026 was $17.3 million, or 0.7% of sales, compared to $13.9 million, or 0.6% of sales last year. Adjusted for the Excluded Items in Fiscal 2026 and 2025, operating income was $26.6 million in Fiscal 2026 compared to $18.9 million last year. Adjusted operating margin was 1.1% of sales in Fiscal 2026 and 0.8% of sales last year.


The effective tax rate was -5.4% in Fiscal 2026 compared to 309.6% last year. The adjusted tax rate, reflecting the Excluded Items, was 29.9% in Fiscal 2026 compared to 27.7% last year. The higher adjusted tax rate for Fiscal 2026 compared to Fiscal 2025 reflects a higher expected tax rate for Fiscal 2026 versus Fiscal 2025 due to the impact of the valuation allowance in certain jurisdictions and additional global minimum tax under the Organization for Economic Cooperation and Development’s Pillar Two framework. The divergence between the effective tax rate and the adjusted tax rate is due to income tax law changes under the OBBBA in Fiscal 2026 and recording a $26.3 million U.S. valuation allowance in Fiscal 2025, both of which we have excluded from the adjusted tax rate in Fiscal 2026 and 2025.


GAAP earnings from continuing operations were $13.3 million in Fiscal 2026 compared to a loss from continuing operations of $19.5 million last year. Adjusted for the Excluded Items in Fiscal 2026 and 2025, tax law changes under OBBBA in Fiscal 2026 and the U.S. valuation allowance in Fiscal 2025, earnings from continuing operations were $15.4 million, or $1.45 per share, in Fiscal 2026, compared to $10.3 million, or $0.94 per share, last year.


Cash, Borrowings and Inventory


Cash as of January 31, 2026 was $105.4 million, compared with $34.0 million as of February 1, 2025. Total debt at the end of the fourth quarter of Fiscal 2026 was $3.4 million compared with zero at the end of last year’s fourth quarter. Inventories increased 2% on a year-over-year basis reflecting increased inventory for Journeys and Johnston & Murphy, partially offset by decreased inventory at Genesco Brands, while inventory at Schuh was down on a constant currency basis.


Capital Expenditures and Store Activity


For the fourth quarter of Fiscal 2026, capital expenditures were $10 million, related primarily to retail stores and other initiatives. Depreciation and amortization was $13 million. During the quarter, the Company opened six stores and closed 15 stores. The Company ended the quarter with 1,236 stores compared with 1,278 stores at the end of the fourth quarter last year, or a decrease of 3%. Square footage was down 2% on a year-over-year basis.


Share Repurchases


The Company did not repurchase any shares during the fourth quarter of Fiscal 2026. The Company repurchased 604,531 shares for $12.6 million, or $20.79 per share, during Fiscal 2026. The Company currently has $29.8 million remaining on its expanded share repurchase authorization announced in June 2023.
