Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 7, 2024, Kevin Mullins notified Wrap Technologies, Inc. (the “Company”) of his intention to resign from his position as President of the Company, effective May 23, 2024. Mr. Mullins’ resignation is not the result of any disagreement regarding any matter relating to the Company’s operations, policies, or practices.

Effective June 1, 2024, Mr. Mullins is expected to serve as a consultant for the Company (“Global Ambassador”). As Global Ambassador, Mr. Mullins will assist the Company in pursuing international and domestic sales opportunities and with such other services reasonably requested by the Company’s board of directors from time to time.
