PPS held up pretty well considering the stock market plunge. I should have used a plunger on this at 4.00. Minor news story seemed irrelevant.

Picked up 3,000 today @ sub $1.90.

This is a dice roll for me. I'm really upset that CORE Gaming is not providing the latest quarter financial statement. Got a bad feeling that their previous representations are not supported by the statements.

As I said previously, this dilution has a huge impact. At today's close of $2.10 and the new OS of 3,364,978, the current dividend is 1.51 shares. And it appears there will be more dilution before the merger.

Similar company Sonim received 4 dollar buyout offer. T-mobile should buy SYTA. No merger mania here so far. Will it ever see 6.99 again.

Well, the investors virtual conference hasnt helped so far. Great day to present with DJ down 1500. Stock moved up to 2.47 yesterday, but cant hold gains. At this point I suppose its up to regulatory approval to create a spark. The presentation was quite garbled on my device, but there was nothing new for followers.

I discount everything 24/7 Market News says. They are a paid promotion site masquerading as a "news" site. They were paid $2,500 to publish that "news" story.

It's not really math. Enterprise value is just a multiple of revenue. They project 2026 revenue at 240M so the EV multiplier they are using here is about 4. That is possible....depending on about 20 favorable assumptions and projections from CORE Gaming AKA Aitan the bullshitter.

And I call bullshit on this PR.

Revenue of 963,000,000 prediction for 2026 in 2/47 Market News article today. Lots of math in that story. Lots of confusion in my head.

I think Siyata itself is going down....fast. The value here is in the merger, if it happens. Core Caming has projected it's revenues at $145.8M in 2025 and 240.5M in 2026. We need to see at least one more quarter's financials from CORE Gaming to see if that is even realistic. For some reason, the annual statement should be available but is apparently being withheld from us. Which is strange because FINRA will want them before they approve any merger. Has me a bit concerned.

Could use some revenue guidance from company about Q 1 that just ended. Not many new SD7 deals announced for some time.

Q4 and full year financial to be announced on Monday Mar 31 2025 after market. Noticed 26k share sale today at 1.98 ... big chunk of change.

SYTA just jumped to 3.67 the other day, so is a target of 4.00 adequate.

First of all, I do not think Siyata is worth more than that on it's own. Were this announced merger fail, I think any perceived current value in Siyata would collapse. However, what Siyata is worth is of little consequence in evaluating the merger price as the "worth" of Siyata post merger is prevalued at $17.8 M in that deal, far eclipsing it's current market cap. Thus it all gets to 2 things: Do you think the deal would go through and what you think the post merger metrics will be ( Value of Newbyera, amount of dividend and premerger OS.). Of course, If the deal fails, which is a possibility, this conversation is Moot.

Honestly, it is just about what you think will happen. I am not optimistic knowing what I know so I choose to be in a position of win/no-lose. That is just me. I believe anything above that will put me in a position of losing a lot initially while I hope i make it up and more via the dividends. Maybe I could be more optimistic if I knew the details of the Moremo/Newbyera/Core Gaming agreement. There is simply not enough information to know if the rug will not be yanked from under us before we get more info from Core Gaming in the form of financials, and that first assumes they meet their "projections". I had already stated that I felt Newbyera's revenue/cost of revenue ratio was slipping greatly. Hidden in the "appraisal" today was another quarters financial results showing that to be the case...and badly. Their cost of revenue was 105% HIGHER than revenue in the last quarter showing a very troubling trend and taking the company from an ever decreasing quarterly profit to a loss of over $1M/quarter.

I guess it gets down to this. In an exchange listed company, I want to have a good assurance that my money will make money, even if it is only in the 10% area. These order of magnitude potential profit claims sound more like dealing in the pinkies. If I want that, I will play there where potential profits are in fact in the many orders of magnitude, not in the under 3 digit percentages I see here at best.

Yet, if all of the claims about the future come true, you could make some good money up to about $8.00/share pre-merger. Your choice and I wouldn't fault your decision either way.

Why do you believe the price point is 1.90 at 1.9m outstanding shares? Siyata alone should be worth more than that no? but for math's sake lets say $2 at price of merger, leaving 80 million shares post merger. you think price will drop significantly then to what? $1? making the combined company worth 80m after the drop. Siyata investors would get 8 million of those or a 4x dividend, 4 x $1 for that scenario? Is that not a decent return? Double for your trouble? I appreciate your insights, I truly do, I want to make an informed decision. I have a small position at about 2.36 avg

I am not impressed at all, frankly. A whole lot of analysis and formulas based on CORE's representations of the future is not persuasive to me. The "findings" reflect the company's REPRESENTATIONS slathered with forward looking disclaimers. In other words, this company is worth $185M because it says so.

I admit that if the Company's representations come true, it will be worth $185M in the future. But that is no different than a finding saying that it is worth $10M because it says it will be only be worth $10M in the future.

In my opinion, CORE Gaming smacks of a massive BS operation. Core Gaming is less than a year old, has no office, operations or employees. It acquired Newbyera 8 months ago by a stock transfer with a chinese company named Moremo who spun it (Newbyera) off to CORE Gaming. Moremo retains operational control, offices and employees. CORE Gaming has done NOTHING to demonstrate that it or Newbyera can effectively manage this company independently and there is no indication that Moremo could not yank it's tech back after the merger. Moreover, they have hidden this fact in a deluge of data, the needle in the haystack.

I don't like the fact that CORE Gaming tries to imply that it is some huge game creation company when it's business is actually deriving income from advertisements on games created by others, then paying most of that revenue back to them. What they say they are doing has some stability, but what they are actually doing is VERY susceptible to market risks being very highly leveraged.

I also don't like the fact that Hudson Partners may at any time prior to the merger convert up to $18M worth of stock at 85% of market which MAY have drastic negative effect of the amount of dividend received because of dilution.

All of that said, IF what they say does happen, then this company should skyrocket to about $2/share post merger and the only value here is in the dividend, but only if that actually happens too. Personally, I am not interested at any price point over $1.90....BUT, this could be a big winner if someone likes gambling, because at this point, it is not investing IMO.

My $1.90 price point is not changed by this PR which I believe is only a reiteration of earlier representations.

That is true. There will be no dividends if the share-price is higher than $9.05 Then the only consideration is if the Market believes this is a $178M company or not. If they don't, it will be a race to sell. So why buy it up to that price in the first place? The only reason would be if the the current market thinks it is worth $178M. I don't.

At the current price of $2.30, the market is valuing the post merger company at $45.5M or more. I don't think it is will be worth that but I can see how many others might.

If the Merger goes through, it is very probable another Reverse Merger will need to happen immediately. At the current price, the shares would be worth about $2.10 for a $160M market cap (they will always be 10% less than what is trading at the moment because of the way the deal is structured for a post merger cap of $160M). There would likely be a selling pressure for 2 reasons: (a) the perceived value of the company could be far less than $160M and (b) Existing shareholders may wish to sell before 90% of the shares (the "cheap" merger shares) go on the market. This could EASILY take this down under a dollar necessitating a reverse split in order to remain listed on NASDAQ.

Unless the shares are first registered (they aren't), it is a minimum of 6 months for a rule 144 exemption that would allow the restriction to be removed.

I believe the language used in the SEC filing is no more than six months. It could be rather quickly, though it is a valid point if post merger the market doesn't see the value we want

There may be an advantage in merging with Siyata....but only if CORE really plans on turning significant profits. SYTA brings a retained loss of about $110M that can largely be used to offset future profits of CORE, if any.

I feel too much like the coyote at this point being gripped by the neck by the sheepdog that only appears to be blinded by his hair. Too many variables for me. I dont trust this deal due to Core having their own appointed officers. Why not go public on their own. I dont trust big numbers being boasted. Was it 57,000,000.00 revenue and 1,000,000.00 profit. Will this turn into a continuous share offering event? I bought at 1.03 presplit, 5.18 and 4.72 and should have sold at 6.60. If it goes to 6 any time soon again I will probably sell. If you sell them before the merger, you can do so at any time. Yes, you will be able to sell your base shares (not divvy shares) held at the time of merger immediately after resumption of trading.

However, it is a PROBABILITY that you will not be able to do so at that price if the market values the combined entity at less than $178M. If the market values it at $88M, the value of your shares (including your pre-merger shares) would be less than half before you even got out of bed in the morning. After the merger, the fun begins as the market adjusts to what it feels is the real value of the company while you can only hold your divvy shares until the restriction comes off at least 6 months later.

There are 4 metrics that will determine the current pre-merger value of your shares assuming the merger goes through (not a given). (1) Share-price at the time of merger, (2) the amount of diluted outstanding shares, (3) the market valuation of the combined entity post merger, the market valuation 6 months post merger. We cannot evaluate the effect of any one of them without the other three. I have this all on a spread sheet. If you give me a hypothetical share price before merger, diluted OS at closing, the market valuation of the company at resumption of trading and then 6 months later, I can calculate your return (profit/loss).

News seems to be on hold for now. The word proposed is what it is, and lawsuit buzzards arent helping any, but they are only interested in protecting shareholders. I dont expect much action until well into April but who knows what lurks beneath the surface.

BUT BEWARE: the Dividend shares will not be able to be traded until a minimum of 6 months after the merger. So if share-holders believe the Valuation Of CORE Gaming will be less than $160,000,000, you will be stuck holding the Dividend shares while the Market adjusts.

For example: at today's $160M "valuation", $2.12 share-price and diluted OS of 1,963,831 and if the valuation will be $100M after 2 weeks and $80M after 6 months, assuming you immediately sell your current shares after the merger and sell the dividend shares 6 months later, your return on investment would be Negative! And that is why any overvaluation at the time of merger could be a killer.

There is no way to evaluate the value of this stock as there is a 500% swing in value depending on the OS at the time of merger, if any. The problem is that the proposed deal is a double hit to shareholders if the OS goes up. The dilution makes the current OS less and the dividend is also less because of the formulas of conversion etc. That is why is is absolutely necessary to track the OS and troubling that the company does not regularly update it to shareholders.

Yes, the actual value of Core Gaming comes into consideration. But not until after the merger, Then it could be a bloodbath.

Is it possible that Hudson global shares was still listing before reverse split?

Not possible as disclosed under the timeline. the split was on 12/27/24. they were restricted shares. The F-1 registering them for sale was effective on 1/28/25. I have seen no amendments to the agreement filed. There was an agreement for sale with Hudson on 10/21/24 for $7M. There was another deal with Hudson for $18M on Feb 26, 2025, well after the RS.

I created the account yesterday because I never heard of this board, saw your message regarding shares. I had just talked to Ir relations, been emailing them regularly to ask questions, they answered with the information I posted, so I shared. If it helps make an informed decision great. If you have other information, I would love to hear it. Have you spoken with the company yourself? Is it possible that Hudson global shares was still listing before reverse split?

How do you know there are "2M shares out"? Why didn't you answer my post asking what the CURRENT O/S is if you know.

Without knowing the current OS, there is NO WAY to estimate the value of the stock because of the conversion calculations stated in the merger deal. Plus the At todays price and assuming the 1/31/25 OS is still the current OS. we can estimate at the dilution to be:
> Current O/S = 1,646,287
> Purchase shares = 74,074,074
> 10% Dividend shares = 8,413,373

Minimum O/S at merger would be 84,133,734 giving a market cap of $1.094 BILLION at your claimed $13/share. Simple math shows that the current price should be around $1.9/share assuming a $160M valuation and Current OS of 1,646,287 with no dividend bonus. Figuring in the dividend bonus that would take it to a current value of $9.70

But what if the O/S was really 5,000,000 (for example). That would make the current value,including the bonus dividend of only 4.12/share - AND THAT IS WHY I AM ASKING WHAT THE CURRENT O/S is.

We also have $18M worth of shares convertible at 85% of market. Assuming today's close of $2.16, that would be a conversion price of $1.84 or potentially 9.783M shares. I have no idea how many of them have been converted and added to the last reported O/S from the end of January.....from 0 to all 10M of them. Do you?

Another 2 to 3 weeks before the announcement that SYTA has lost it's Auditor? Next auditor up will probably be Aloba Awomolo & Partners from Nigeria. Of course, there will be the necessary delay in the 10K associated with that.

Existing shareholders would get shares worth 4.85 (7,980,192/1,646,287) more then they are now worth. That would make today's shares worth $2.28 x 4.85 = $11.06/share.
