Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 15, 2024, Leonardo Fernandes, the Chief Financial Officer of Spectaire Holdings Inc. (the “Company”) tendered his resignation as the Company’s Chief Financial Officer, including any positions held with any of the Company’s subsidiaries, effective May 15, 2024. Mr. Fernandes will provide capital markets advisory services as an external consultant until September 30, 2024, and facilitate the orderly transition of duties and responsibilities of his successor. The Company has begun a search for a new Chief Financial Officer and will announce a replacement as soon as one has been hired.
