SBA Communications Corporation's Chairman Adopts 10b5-1 Plan BOCA RATON, Fla., March 11 /PRNewswire-FirstCall/ -- SBA Communications Corporation (including its subsidiaries, "SBA" or the "Company") announced today that Steven E. Bernstein, Chairmanof SBA's Board of Directors, has adopted two prearranged plans to trade up to 1,400,000 shares (approximately 25% of his total beneficial ownership) of SBA common stock owned by Steven E. Bernstein, as Trustee for the benefit of The Steven E. BernsteinRevocable Trust, and Bernstein Limited Partnership over approximately six months, subject to certain price limits and weekly volume restrictions. Mr. Bernstein, who has not been actively involved in SBA's day- to-day activities for several years, has adopted the plans to diversify his investment portfolio as part of estate planning activities and to fund other business activities. The plans are in accordance with SBA's insider trading policy and Rule 10b5-1 of the Securities & Exchange Act of 1934.Rule 10b5-1 permits the implementation of written, prearranged stock trading plans when insiders are not in possession of material non-public information, and allows the insiders to trade on a regular basis, regardless of any subsequent material non-public information they receive.
