Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) Effective March 31, 2022, Derrek Weaver stepped down as Executive Vice President of Rush Enterprises, Inc. (the “Company”). Mr. Weaver has agreed to continue his employment with the Company in the position of Special Counsel pursuant to a five-year employment agreement and his salary has been reduced to $360,000 per year. Mr. Weaver’s employment agreement is attached as Exhibit 10.1 to this Current Report on Form 8-K and the information set forth therein is incorporated by reference into this Current Report.
